.City, its officials, officers, agents, employees, and volunteers from any claims resulting from Contractor's officers', agents', owners', partners`., employees', volunteers',: assignees' or subcontractors' unlawful disclosure. and/or negligent use of such protected data, or other noncompliance with the requirements of this. section. Contractor agrees to promptly notify the City if it becomes aware of any potential claims, or facts gi.ving rise to such, under the MGDPA. The terms of .this section shall survive the cancellation or termination of this Agreement. I. Except for the obligation to make payments hereunder, neither Party shall be in default for its failure to perform or delay in performance caused by events .beyond its reasonable control, including; but not limited to, strikes, lock outs, labor disputes, riots, imposition of laws or governmental. orders, fires, acts of God,. and inability to obtain equipment, and the affected party shall be excused from performance during the occurrence of such events; provided, that if the force majeure circumstances persist for more than thirty (30.) days, the other Party may terminate this.Agreement without further penalty or liability.
