Meeting minutes
Mayor Uzpen called the meeting to order at 7,00 p.m, Councilmembers Artig=Swomley, Cacioppo, Kuny
and Lindner were.present. Others in attendance; City -Clerk Tori Leonhardt, City Engineer Justin Gese,
Paul Emeott, Todd Hagen, Ehlers, Steven Kleis, Greg. Martz, Bradley Millard, Stephen and Dan
asterkamp.

Justin Gese, City Engineer updated the Council on the status of the bid forthe project. 8: bids came in,
all underthe.proposed budget.
Public hearing was opened at 7:18 p.m:. Steve Osterkamp, Summit Mini Storage, 3716 Scheuneman
Road, questions —are curbs proposed? Concrete? Wide enough for on -street parking? Currently
business has none (on street parking). Concerned about curbs. with the disposal of snow. Semis parking
on the side of road currently a concern. Water main -why? Mr..Gese There wilt be concrete curbs,
roadway pavement will be wider. Small amount of parking on the west side, some parking available
with the widening.of the. roadway. Parking signs for winter months will be added. Mr. ❑sterkamp: [s
the water main going to go down the middle or the street? Now far will the piping for the water come
in? Concerned about competition in his market place, how will he pay for this? W1il.l. the value of my
property go up because of this; thus an increase in taxes? Does the cost. iinclude the cost of hooking up
to the water? Road limit - continue to be a. 9 ton road? Can I hook up to the water anytime within the
15 years? Councilrnernber Artig-Swomley: We don't.report into Ramsey County the increase in value.
The City of Gem Lake is required by the. Metropolitan Council to have a water plan. Mr. Gese: The cost
of hooking up to the water is separate. The valve is in th.e. street. Field personnel will work with
property owners to hook up the water. Water can be hooked up anytime within the life of the
assessment 15 years).

The council noted receipt of a letter from New Trax, --- Scheuneman Road, with regard about costs
concerns.
Greg Martz, AM/PM Auto 3696 Scheuneman Road: Ramsey County has. raised my taxes. significantly,
$70,000 assessment, costly. What about business access during the construction? Piping — how far will
it. come? Mr. Gese;: The contractor has been instructed to keep access to businesses at all time.
Construction is anticipated to start after the e of July, tree cutting the end of June, completion date.of
end of August; if no weather de.Iays. Drainage -- will be wider anal slope. Piping, only allowed to go to.
the property line. Account will be taken for current wells and retaining wails.
The public hearing was called at 7:44 p.m. by a motion. from Councilmember Artig-Swomley, seconded
by Councilmember Cacioppo.

A motion was made by Councilmember Lindner, seconded by CounciiImember Artig-Swomley to approve
the. S.F.H. cost estimate. Motion passes, costs approved.

Solicitor Permit Apolication
A motion was. mad e by Councilmember Lindner, seconded by Councilmember Artig-Swomley to approve
a Solicitor Permit for Jordan Marshall Hamilton Burk and Phillip Bottjen, Benson Properties, 6989
Washington Avenue, Edina, MN. Permit is for door to door, face to face soliciting abiding by the. rules of
conduct.stated on page 12 of the application. Voice vote .taken;. Artig-Swomley; Cacio:ppo, Kuny; yes,
Lindner -opposed. Motion passes. Solicitor permit granted. Current Solicitor Ordinance will.be
amended in June, 241$..
Resolution 2018-13 Approve the Final Plot and War
A motion was made by Councilmember Lindner; seconded by Co. uricilmern ber Artig-Swornley to
approval the final plat and Mylar for the Villas of Gern Lake. Motion passes, Resolution approved.
Resolution 2018-14 — Rea porove Developer's Agreement -- Villas of Gem Lake
Mr. Gese provided an overview of the irrigation system planned. for the Villas of Gem Lake. Separate
meters tap into city water main, HOA performs ail irrigat"ion.maintenanice and. is responsible for the.
system, one meter for irrigation. A. motion was made by Councilmember Artig-Swornley,. seconded by
Councilmember Cacipppo to reapprove the .l7evelope.'s Agreement for the Vilias of Gem Lake: A.. voice

We. are pleased to submit this letter proposal for providing engineering services relating to the
construction of the Scheuneman Road Reconstruction and Water Main Extension Project. This project'.
Was bid on April 19, 2018. and construction is anticipated to commence in the spring of 2018 with a final.
completion date of September 15, 2018. This letter. supplements the Agreement for Professional
Services between the City of Gem Lake, Minnesota (Owner), and Short Elliott Hendrickson Inc. (SEHO)
(Consultant), for providing professional services.
SCOPE OF WORK
1. Provide construction administration and construction staking as needed during the construction of
the improvements.
2, Provide daily on -site. construction observation services during the construction of the improvements.
The construction schedule is currently estimated to take approximately 5 weeks, We have estimated
the on -site observation time at 200 hours. The on -site observation will be billed on an, hourly basis
and may be impacted by forces beyond our control, such as.the weather, contractor's schedule and
how efficiently he prosecutes his work: We will provide the City updates on the project's progress
and how the observation budget estimate is tracking..
3. Coordinate material testing services with an outside consultant, The: City will be invoiced for these
services by the testing .consultant directly..
4. Provide construction administration during the project including coordination of preoonstruction
meeting; review contractor applications for payment and communications with the City during.
construction:
5. Prepare "as -built', construction drawings of the improvements in. hard copy and electronic AutoCAD
format:
SCHEDULE
As stated above construction is anticipated to begin in June of 2018 with final completion. by
September 15, 2a18. A pre -construction conference will be held prior to construction with the City and
Contractor, as well as private utility representatives,
If there are delays in the Project that are beyond our control, the City agrees to grant additional time and
compensation to complete. the services.

COMPENSATION
Compensation for the services identified in the scope of work will be made on an hourly basis plus cost of
reimbursable expenses. Totai compensation will not exceed $27,700 without prior authorization: The

A RESOLUTION FOR ADOPTING ASSESSMENT
WHEREAS, pursuant to proper notice duly given as required by law, the council has met.
and heard and passed upon all objections to the proposed assessment, for 5cheune.man Road
Reconstruction and extension of a: municipal water main along Scheuneman Road in Gem. Lake by
the City of Gem Lake.
NOW THEREFORE, BE IT RESOLVED BY THE CITY COUNCIL OF GEM LAKE,
MI NNESOTA'
1. Such proposed assessment, a copy ofwhich. is attached hereto and.mado a part hereof,
is hereby accepted and shall constitute the special assessment against the lands named
therein, and each tract of land therein included is hereby found to be benefited by the
proposed improvement in the amount of the assessment levied. agalnst it.
2. Such assessment shall be payable in equal annual. installments extending over a period
of _15_ years, the first of the. 'installments to be payable on or before the first Monday in
January (year) , and shall bear interest at the rate of T % percent per annum from the
date: of the adoption of this assessment resolution. To the first installment shall be added
interest on the entire assessment from the date of this resolution until December 31,
(year). To each subsequent €nstallment, when due, shall be added interest for one year
on all unpaid installments.
3. The owner of any property so assessed may, at any time prior to certification of the
assessment to the county auditor; pay the who of the assessment- on:such property,
with interest accrued to the :date. of payi?Zent, to: the city treasurer, except that nointerest
shall be. charged if the entire assessment is paid within 30 days. from the. adoption of this
resolution; and he/she may, at any time thereafter, pay to the city treasurer the entire
amount of the assessment remaining unpaid, with interest accrued to December 31 of
the year in. which such payment is made. Such payment must be made before
November 15 or interest will be charged through December 31 of the next succeeding
year.
4.. The clerk shall forthwith transmit a certified duplicate of this assessment to the county
auditor to be extended on the property tax lists of the county, Such assessments shall
be collected and paid over in the same manner as other municipal taxes.

SECTION 7. LICENSE TRANSFERABILITY. No license issued under this chapter shall
be transferred to any person other than the person to wham the license was :issued.
SECTION 8. REGISTRATION.
6.1 All solicitors shall be required to register with the city prior to engaging in
those. activities, Reg istration.shall be made on the same.form required for a license
application, but no fee shall be required. Immediately upon completion of the
registration form, the city clerk shall issue to the registrant a certificate of
registration as proof of the registration.. Certificates of registration shall be non-
transferrable.
8.2 Individuals that will be engaging in canvassing or non-commercial door-to-
door advocacy shall not be. required to register.

9.1 Calling attention to his or her activities or the items to be sold, by means of
blowing any hom or whistle, ringing any bell, crying out, or by any other noise, so
as to be unreasonably audible within an enclosed structure.
9.2 Obstructing the free flow of traffic, either vehicular or pedestrian, on any
street, sidewalk; alleyway; or other public right-of-way.
9.3 Conducting themselves or their business in a way as to create a threat to the
health, safety, and welfare of any specific individual or the general public.
9.4 Conducting business before 8 a.m. or after 8 p.m.
9.5 Failing to provide proof of license, or registration, and identification when
requested.
9.6 Using the license or registration of another person,
9.7 Alleging false or misleading statements about the products or services being
sold, including untrue. statements of endorsement. No peddler, solicitor, or
transient merchant shall claim to have the endorsement of the city solely based on

DEVELOPMENT AGREEMENT
THIS AGREEMENT made this. day of , 2018, is by
and between the. City of Gem Lake, whose primary address is 4200 Otter Lake Road,. Gerim Lake;
Minnesota.55:110, Ramsey County, a municipal corporation organized under the laws of`the State
Of Minnesota.,. (the "City"), and Landmark of Anoka LLC, a Minnesota Limited .Liability
Company, whose primary address is 13432 Hanson Blvd, NW, Andover, Minnesota 55304 (the
"Developer"}.
WITNESSETH;
WHEREAS, Developer has acquired the property situated in the City of Gem Lake,
County of Ramsey, and preliminarily platted and will be platted as Villas of Gem Lake (the.
"Villas"]; and.
WHEREAS, the Preliminary Plat for Villas was approved by. the City Council of Gem
Lake at their special city caunGil meeting, of March 7, .2018; and.
WHEREAS, the. Developer has agreed to construct single family homes :and other
improvements on the Property as more fully set forth. In this Development Agreement; and
WHEREAS; Developer proposes the construction of certain other improvements within
said Plat. Said other improvements include the general improvements to serve the Plat (Hereinafter
individually and collectively referred to as: the "Required Improvements' ); and
WHEREAS, the Developer has prepared final.plans and specifications for the Required
Improvements; and
WHEREAS, Minnesota Statute §462.358 authorizes the City to enter into a Development
Agreement, secured by a performance guarantee for completion of all such improvements.
following final approval by the City. Council and prior to the recording of the final plat at Ramsey
County; and
WHEREASs the City and the Developer have entered into this Development Agreement
to document their respective rights and. responsibilities with respect to. the construction of the.
improvements; and
WHEREAS; the City believes that the Development of the Plat and fulfillment of this
Agreement are vital to the best interest of the City of Gent Lake,
NOW THEREFORE, in consideration of the premises and the mutual obligations of the
parties hereto, each of them does hereby covenant and agree with the other as follows:
I
ARTICLE I
Definitions
Section 1.1; Definitions. In this Agreement; unless. a different meaning clearly appears
from the context:
"'Agreement" means this Development Agreement, as the same may be from time to time
modified, amended or supplemented..
"Articles and ections" mentioned by number only are the respective Articles and. Sections
of this Agreement so. numbered.
"Certificate of Completion" means the certification provided to the Developer upon
satisfactory completion of the Improvements:
"Cam" means the City of Gem Lake, Minnesota.
"Construction Plans" means the plans, specifications; drawings and related documents
prepared by .registered: architects or engineers for all construction work to be performed by the
Developer on the Property,. including all on -site improvements to be performed, installed or
constructed upon the Property, pursuant` to this Agreement. Such. plans shall, at a minimezm,
include the level of detail required for issuance of.building permits by the City.
"Develo er'S In1 rovements" means those improvements to or serving the.Property to be
performed. by the Developer, as more fully set forth under thisAgreement.
"Event of Default" shall have the meaning set forth in ofthis Agreement.
"Improvements" means the site preparation; grading, landscaping; streets, and utility
installation, in accordance with the approved Construction Plans for the Improv.ements and.
pursuant to the terms of this Agreement.
"Minnesota. Environmental R` hts Act" means the statutes located at Minnesota Statutes
Sections 116B.01 et seq., as amended;
"Parties"means the Developer and the City.
"State" means the State of Minnesota,
"Unavoidable Delays" means delays, outside of the control of the Party claiming its
occurrence, which are the direct result of strikes; other labor troubles; material shortages, unusually
severe orprolonged bad weather; Acts of God, fire or other casualty to the Improvements, litigation
commenced by third parties which, by injunction or other similar judicial action, directly results
in delays, or acts of any federal, state or local .governmental unit (other than the City) which
directly:result in. delays, or any other similar causes.

ARTICLE 11 .
Representations And Warranties
Section 2.1. Re resentations and Warranties by the Ci The City represents and
warrants that:
(a) The City is a public body politic and corporate under the laws.of the Mate
of Minnesota, has the power to enter into this Agreement and to carry out its obligations
hereunder.
Section 2.2. Representations and Warranties -by the Develo er. The Developer
represents and warrants that:
(a) The Developer is a limited liability company duly organized. and
authorized to transact business in the State, is not in violation of any provisions of its
corporation or the laws of the State, has power to enter into this Agreement. and has duly
authorized the execution,. delivery and performance of this Agreement by proper action of
the corporation.
(b) The Developer will construct the .Improvements upon the Property in
accordance. with the terms of this Agreement and all local; state and federal laWg and
regulations (including, but not limited to, environmental; zoning; building code and public
health laws and. regulations).
(c) It is the intent and understanding of the parties that uponcompletion of the
Improvements, consisting of single family homes upon the Property, that the Developer
will market the homes to. individuals intending to use the Property as their primary
residence as opposed to a rental property.
(ii). It is the intent and understanding of the parties that t ie`Villa Plans. (Plan
names. Vienna; Vennetian and Victoria) are approved%to be constructed upon the property.,
Homes will have a current .fair market value in excess of. $400,000, All. homes are to be
constructed by Hanson Builders. Building official will not need any further approvals from
Gem Lake's staff or Council. Monochromatic exterior color scheme will be used for the
entire neighborhood. 'The: construction hours are as follows: Monday -Friday 7:00 A.M,-
7:00 P.M. and Saturday 7:00 A.M.-4:00 P.M: No `construction is allowed or. Sundays or
Holidays.
(e) The Developer has received no notice or communication from any local,
state.or federal official that the proposed: activities of the Developer may be or will be in
violation of any environmental law or regulation. The Developer is aware of no violation
of any local, state or federal environmental law, regulation or review procedure, or of any
facts which would give any person a valid claim under the Minnesota Environmental
Rights Act.

(lj The Developer will use its best efforts to construct the Improvements in
accordance with all local, state or federal energy conservation laws or regulations.
(g) The Developer will obtain, in a timely manner, all required permits, licenses
and approvals, and meet, in a timely manner, all requirements.of all applicable local,. state
and.federal laws and.regulations which must be obtained or wet before the Improvements
may be lawfully constructed.
(h) Neither the execution and delivery of this Agreement, the consummation of
the transactions contemplated hereby, nor the .fulfillment. of or compliance with the terms
and conditions of this°.Agreement is prevented or limited by, or in conflict with or will
result in a breach of the terni.s., conditions or provisions of any evidence of indebtedness,
agreement. or instrument of whatever nature to which the. Developer is now a party or by
which it is bound; or will constitute a default under any of the foregoing.
(1) The Developer: shall prepare a final plat: for City review:and approval;
. U) The Developer shall provide to the City, upon execution of this Agreement
and prior to the commencement of construction of the Improvemen% proof of financing
in an: amount and from a source found sufficient :thy the City to assure the. Developer's
ability to construct the improvements contemplated by this Agreement.
ARTICLE III
Construction Of improvements
Section. 3.1. Construction. of Iinnrovements. The Developer will construct the.
Improvements on the. Property:in accordance with the approved Construction Plans and at all tunes
during the term of this: Agreement will operate. and maintain, preserve and keep the Improvements
or cause the Improvements to be operated, maintained, preserved. and . kept in. good. repair and
condition.
Section 3.2. Construo-Gon Plans.
(a) The. Developer shall cause. to be constructed, at his cost, the Required
Improvements according to City standards. All of the Required Improvements shall be
approved by the City prior to construction and shall be consistent with. approved Plat, the
Grading. Drainage and Erosion Control Plan, Tree & Pond. Planting Plan, Landscaping Plan,
the Development Utility Plan, and City Resolution. Number 2018-07 and any City
resolution associated with final plat: approval granted on April 17, 2018 as well as: any
requirements imposed by the City Engineer. A copy of the subdivision plat is attached
hereto and. incorporated herein. as Exhibit A.
(b) The. Developer shall have no. claim against the City .and its .officers and
employees for damages sustained or casts incurred resulting from Plat approval and.
development. The Developer agrees to indemnify, defend and. hold harmless the City; its
agents and employees from any claim, demand, suit,.action or other proceeding whatsoever
by any person for any loss or damage to. property or any injury to or death of any person
resulting from arty actions of the Developer, or their agents or. contractors. Until all of
Developer's obligations under this Agreement are fulfilled, the Developer shall provide
and maintain public liability and property damage insurance covering personal. injury,
including death, and claims for property damage which may arise. Limits for bodily injury
or death shall not be less than $1,000,000 for one person and $2,000,000 for each
occurrence. Limits for property damage shall not be less than $2,000,000 for each
occurrence. The City.shall be named as an additional named insured. on said policy, and
the Developer shall file a copy of the insurance coverage with the City prior to the
commencement of the Required Improvements. The insurance policy obtained by the
Developer is, subject to City approval. In the event that the City is held.liable to a third
party by a court of competent jurisdiction for damages and the insurance obtained by
Developer for any reason fails to cover the City, the Developer shall. be. liable under this
Agreement for any and all costs incurred or damages claimed against the City.
(c) This Development Agreement cannot be assigned or transferred without
prior written approval of the City,
(d) Any breach of the terms of this Agreement by the Developer shall be
grounds for%denial of the issuance of any building.permit.
(e) There is no intent to benefit any third parties and third parties shall have n.o.
recourse against the City under this Agreement.
(#) The Developer shall reimburse the City for all costs incurred by the City in
defense or enforcement of this. Agreement due to actions or inactions of Developer.
including court costs and reasonable engineering and attorneys' fees.
(g) If any portion, section, subsection, sentence, clause, paragraph, or phrase of
this. Agreement is for any reason held to be invalid by a court of competent jurisdiction,
such decision shall not affect or void any of the other provisions of the Development.
Agreement.
(h) It is agreed that the City has the right, privilege and authority as a condition
precedent to the approval of the plans and specifications and approval of Final Plat, to
prescribe design requirements for any Improvements within the. Plat,
(i) The provisions of this Section relating to approval, rejection and
resubmission of corrected Construction Plans shall continue to applyuntil.the.Construction
Plans have been. approved by the City, Approval of the Construction Plans by the City
shall not relieve the Developer.of any obligation to comply with the terms and provisions
of this Agreement. or the provisions of applicable federal, State and: local laws,. ordinances
and regulations, nor shall approval of the Coinstruction Plans by the City be deemed to
constitute. a waiver of any Event of Default. The. Construction Plans shall be deemed

approved by the City unless rejected in writing within thirty 30) days after receipt from
the Developer by the City with a statement of the . City's reasons for such rejection,
0) If the Developer desires to make any material change in the Construction
Plans after their approval by the City, the Developer shall submit. the proposed change, in
writing, to the City for its approval, If the Construction Plans, as modified by the proposed
change,. conform to the requirements of this Agreement and such changes do not materially
alter the nature; quality or exterior appearance of the Improvements, the City shall approve
the proposed change and notify the Developer in writing of its approval,
Section 3.3. Commencement and Com lotion of Con c 'ion. The Developer will
provide a schedule in writing outlining. in detail the proposed schedule which must be approved
prior to the stark.of construction. The construction shall be co
nunenoed by May ], 2018. Subject
to Unavoidable . Delays, and contingent upon Developer securing adequate financing, the
Developer shall commence construction of the Improvements by. Subject to Unavoidable. Delays,
the Developer shall have substantially completed the construction of the Improvements within 200.
days following the actual commencement of construction, unless amended by the parties.
Appropriate extension of time for completion shall. be made for time lost.as a result of Unavoidable
Delays or other factors approved by the. City; provided that within twenty (20) days after the.
occurrence of an. Unavoidable. Delay or other factor, the Developer shall. have notified the City in
writing of such. occurrence.
Until construction of the Improvements has been completed, the Developer shall make
reports to the City, in such detail and at such times as may reasonably be. requested by the City, as
to the actual progress of the Developer with respect to construction of the Improvements: The
Developer shall allow designated representatives of the City to enter upon the Property during. the
construction of the Improvements to inspect such construction..
Section 3.4. Certificate of Com Wetion.
(a) Promptly after completion,af the Improvements in. accordance with. those
.provisions of the Agreement relating solely :to the obligations of the Developer to construct.
the Improvements (including the dates for beginning and completion thereof), and upon
approval of the Improvements by the City, the City will furnish the. Developer with an
appropriate instrument so certifying (the Certificate of Completion). Such certification by
the .City shall be a conclusive determination of satisfaction and termination of the
agreements: and covenants in: the Agreement with. respect to the obligations of the
Developer and its successors and assigns, to construct the Improvements and the dates for
the beginning and completion thereof, Such certification and such determination shall not
constitute evidence of compliances with or satisfaction of any obligation of the City to any
Holder of a Mortgage, or any insurer of a Mortgage; securing. money loaned to finance the
Improvements, or. any part thereof.
(b) If the City shall refuse or fail to provide any certification in accordance
with the provisions of this Section; the City shall; within thirty (3.0) days after written
request by the. Developer, provide the Developer with a written statement, indicating in

detail in what respects the Developer has failed to complete the Improvements in
accordance with the provisions of the Agreement, or is otherwise in default, and: what.
measures or acts will be. necessary, in the. opinion of the City, for the Developer to tale or
perform in order to obtain such certification.
(c) The City will take ownership of the improvements when the last lot is
sodded and the City has signed.off on all public infrastructure.
ARTICLE IV
The Developer will construct and install, at Developer's expense, the. following.improvements
identified under Parts.A and B C Developer's.Improvemen& }, according to the terms and, conditions
stated herein.
Develo er's Improvements art A
Section 4J.. Site Grading. The Developer shall do all site grading associated. with
common greenway, trails/sidewalks and open spaces, storm water storage ponds and surface drainage
ways including sodding of boulevards, all in accordance with the Construction Plans. Upon
completion of all grading, Developer's engineer shall certify in writing that the site is graded to the
approved. plans and that 0 unbuildable soils are removed from within the street right-of-way and
within the buildable area identified herein. Also, :the Developer agrees prior to commencement of
grading to call a pre -construction meeting between the City, Developer and contractors for the site
grading.
Section.4.2. Soil Erosion and Tree _Protection.. The Developer shall control soil erosion.
ensuring -
(a) All development shall conform. to the natural limitations presented by the
topography and soil of the subdivision in order to create the best. potential for preventing soil
erosion. The Developer shall submit an erosion control plan as part of the grading and
drainage plan, detailing all'erosion control measures to be implemented during construction.
Said plan shall be approved by the City prior %to the commencement of site grading or
construction. The developer shall also submit a. copy of their Storm Water Pollution
Prevention Plan (SVVPPP) to the City prior to commencement of site grading or construction,
(h) Erosion and siltation control measures shall be coordinated with the different
stages of development, Appropriate control measures, as .required by the City, shall be
installed prior to development when necessaryto control erosion;
(c) Land shall be developed in increments of workable size such that adequate
erosion and siltation controls can be :provided as construction progresses. The smallest
practical area. of land shall be exposed at any one period of time.
(d) Where the topsoil is removed, sufficient comparable soil shall be set aside for
re -spreading over the developed area which shall also be seeded, mulched, and disk anchored,

The topsoil shrill be restored to a depth ofat least,four (4) inches and shall be of a quality at
least equal to the soil quality prior to development.
(e) The Developer shall be responsible to maintain the required tree protection
during all grading activities and any planting of trees will comply with the conditional use
permit; preliminary plat, and the tree consultant's input.
Section 4.3. Iron Monument Placement. The Developer shall place iron monuments at all
lot and Block corners and.at all. other angle points on boundary lines. Iron.monurnents shall be placed
after all streeettutilities (public and private) and lawn grading has been completed in order to preserve
the lot markers for future. property owners..
Section<4.4. Street -Signs. The Developer shall pay for the installation of all standard street
signs at :all locations required for the. development as determined by the City. Engineer. The City
Engineer shall, by, advise Developer of the required sign locations. The Developer has the option of
installing the signs per City design and installation requirenierits or the City shall install all sail?
signage and. the Developer shall reimburse the City for the cost thereof by payment in advance to the
City of the estimated cost thereof.
Seetion.4.5. Street and Stomi SewerMaintenpgg. The Developer shall. be responsible for
street and storm sewer maintenance, including curbs, boulevards, sod, street sweeping and.. storm
sewer cleaning until 144%a of the homes within the development are constructed upon the lots. The
City's Consulting Engineering Will conduct site visits to ensure compliance; Staff will contact the
Developer in writing and give a reasonable timeframe to meet compliance. Ifthis is not met, the City
will sweep the streets and. invoice the Developer for time spent. Warning signs shall be placed when
hazards develop in streets to prevent the public. from traveling on same and directing attention to
detours. If and when the street becomes impassable, such streets shall be barricaded and closed. In
the event residences are occupied prior to completing streets, the developer shall maintain a smooth
driving surface and adequate drainage on all temporary streets. Performance shall be guaranteed by
the financial guarantee recited.herein..
Section 4.6. Storm Water Holding Ponds and Infiltration Basin, - The Developer shall
dedicate and survey all storm water holding ponds and infiltration basins as required by the City. The
DoYcloper shall be responsible for storm sewer cleaning. and holding pond dredging; as reasonably
required by the City, prior to completion and acceptance of the development. The Developer grants.
the City the right to enter upon the property to perform all functions. required under this Agreement
and City Codes,. Performance shall be guaranteed by the Performmee Guarantee set`forth under`this
Agreement.
Wetlands. The Developer and Home Owners Association shall be responsible
for creation. and maintenance of wetlands for the life of the wetlands. The Developer shall prepare
and provide copies of all wetland monitoring .reports and maintenance activity records per the
requirements of the Watershed District, to. the City Engineer for. review;.
Section 417. At�provals and Permits, The Developer shall be responsible for securing all
necessary approvals and permits fror all appropriate Federal, State, Regional and Local jurisdictions
prior to. the commencement of site grading and prior to the construction of Developer Improvements.

(if available) and electric utilities to be installed to serve the development. Developer shall install
water meters in each of the homes consttuated according to City specifications.
Section 4.9. Dedication. of Land. Developerr shall dedicate land in the amount of 9,35 acres
to the City,
Section 4. 10. City Engineer. The. City shall provide a licensed professional engineer; or
their duly authorized representative to oversee, at the Developer's expense, the Developer's.
Improvements identified in this Agreement until such improvements are completed and accepted by
the City. The City shall.conduct an inspection within forty-eight (48) hours. of notice. or request by the
Developer. The forty-eight (48) hour. notice shall exclude weekends and holidays.
Section 4,11, TreePlan. Developer shall install trees within the open space according to the
Tree Plan submitted in the Plat.

Section 4.12, :Finance.
(a) As f nancial security, Developer shall furnish the City with a Letter. of
Credit or other security in a City approved format in an amount equal to One Hundred
Twenty -Five Percent (125%) of the improvement contract amount of, an executed copy
of which is attached as Exhibit C. The Developer's financial security shall be used to.
guarantee Developer's completion o f all of the Required Improvements, compliance with
this Agreement,. and compliance with the. terms and conditions of approval of the Villas
Plat, Said surety shall. be immediately available for City's use to complete part or all of
the construction in a timely and satisfactory manner, as determined in the sole discretion
of City. Said surety shall remain in foil force and effect until completion and acceptance
of the. Required Improvements based on the. sole determination of City. After the first lift
Of asphalt is applied to the streets and approved by the City Engineer, the financial
security may be reduced to an amount equal to the cost of the final lift of asphalt and any
remaining utility and/or restoration work to be done multiplied by l;S0°/o.
(b) The Developer agrees that the terms of the financial. security shall be
deemed to. have been viol ated. if the Developer faits to perform any of the terms of this
Agreement in the manner: required by the City. City shall provide Developer ten (10)
days written notice of any violation of the teens of the Agreement. Determination of a
violation of the terms of the Agreement shall be in the sole discretion of the City, which
shall not be unreasonable. The financial security shall be. available for use by the City to
remedy any violation of the: terms of this. Agreement, .subject to the "ten (14) days. written
notice to Developer and Developer's failure to rectify same within that. period of time.
(e) Water meters shall be installed per City requirements. (see above).
(d) WAC and SAC charges shall be paid with each building permit.
(e} All plumbing permit fees, electrical permit fees and any other permit.fees
required., for new construction shall be paid at the time ofthe building permit application.
(f) The Developer shall deposit with the City Twenty -Three Thousand Eight
Hundred Twenty -Seven and.501100 Dollars ($2.3,827,54), from which any and all costs
and expenses incurred by the City, in any way related to this Agreement, 'including, but.
not limited to, planning and engineering fees; legal fee ; City staff time; cost of
acquisition of easements, if any, shall `be paid. Costs for City staff time expended in.
conjunction with this Agreement are expected to. equal two and one-half percent (2.5%0)
of the construction. cost of the Required Improvements, Said fee can be increased or
reduced in the. sole discretion of the City, should staff time required vary dramatically
from this estimate:
(g) All current and outstanding bills and invoices from the City are to be paid
before start ofgrading and construction.

Section 4.13. Construction of CibLt ai ttained Improvements.
(a) Thi a Devveloper shall install allstreets and utilities (sanitary sewer, watermain:
and storm sewer) 'in accordance with the approved street/utility plan and specifications that.
has been. approved by the. City and/or the. City's consulting engineer. Also, the Developer,
agrees prior to commencement of construction to call a pre -constriction meeting between the
City, Developer and contractors for the street and utility construction: Developer further
agrees to coordinate its contractors' activities with. the City:for inspections. If improvements
are. installed without required City inspections, the City may require that such improvements.
be removed and reconstructed: City inspector shall be notified at least forty-eight (48) hours
prior to any and/or all construction activity.
(b) The Developer shall he responsible for securing all necessary approvals and
permits from all appropriate Federal, State, Regional and Local . jurisdictions prior to the
commencement of streets, trails/sidewalks, utilities, etc. and prior to the Developer awarding
construction contracts.
(c) Ins�ectlon. All of the work shall. be under and subject to the inspection and
approval of the. City% and, where appropriate; any other governmental agency having
jurisdiction. The City shall provide a.licensed professional engineer, ortheir duly authorized
representative, to. oversee, at the Developer's expense, the Developer's Improvements
identified in this Agreement until such improvements are completed and accepted by the City.

(d) Easements. The Developer shall dedicate to the City, as part of the final plat
and at no cost to the City, all permanent easements necessary for the construction and

(c} The Developer shall cause to be performed to the City Engineer's
satisfaction all. fuush grading, on each lot of the plat and shall maintain said grading. until
a Certificate of Occupancy is issued for each respective lot within the. Plat, including turf
establishment on any drainage easements, During this.period the Developer shall. prevent
erosion by wind and water to the pursuant to the approved Storm Water Pollution
Prevention Plan (SWPPP) and to the City Engineer's satisfaction. The Developer shall
prepare an as -wilt survey which verities elevations of each structure constructed as each
parcel is developed. Should Developer sell any lots to a third party prior to the
construction of a principal dwelling unit on any lot within the Development; then
Developer shall require the third party to assume these same responsibilities as a
condition. of the purchase agreement. The developer shall also include an additional
provision in the thirdparty purchase agreement that indicates the third party's
acknowledgement that should they fail to comply with any of the provisions delineated in
this section, the City will withhold the certificate of occupancy until these provisions are
fully complied with and that the third party is subject to any fines and penalties that said
violations may generate. Finally, the Developer shall attach.the approved SWPPP to the
third party purchase agreement to ensure full disclosure of this requirement to the third
.Party-
(d) The Developer shall install.Plat monuments within the Plat.. Said
monuments.shall. be installed and certified.. by a registered land surveyor. Monument
locations must.thereafter be verified prior to the issuance of any Certificates of
Occupancy for houses constructed within the ,development and, again after completion of
landscaping with replacement of any monuments that are no longer present.
(e) Developer shall instruct his engineer to provide adequate field inspection
personnel to ensure the project is constructed in accordance with approved plans and
specifications. Inaddition, the City's Engineer, at Developer's expense, shall also inspect
the construction of Required Improvements for the purpose of. certifying` the same and
recommending acceptance by City.. Developer shall also complete constructionstaldng.for
the project at Developer's expense.
Section 4;15. Miscellaneous,
(a) The Developer shall create a Homeowner's Association and set

dedicated open space based on the appraisal by Nagell.AppraisalIncorporated; dated

(c) The Developer represents that the Plat and Required. Improvements will

including, but not limited to, subdivision ordinances, zoning ordinances, .noise
ordinances, and environmental. regulations; including wetland impact. and mitigation.

as determined by the City. It shall be Developer's responsibility to obtain : any and all
temp orary easements as may be necessary for Developer's performance under this Agreement,
(e) Oyersizing Reimbursement. In the event. that .Developer is required to
construct any sanitary sewer, storm sewer, watermain improvements or trail improvements
that will benefit properties beyond the boundary of the Developer's plat, the City shall
reimburse Developer for the construction costs thereof as determined by the Developer, and
agreed. upon by the City, through invoices of work provided, This amount. shall be paid to
Developer %on. or about thirty (30) days after the City's receipt of an invoice showing the
amount due is provided to the City
(f) The Developer shall be responsible for all standard street signs at all locations
required for the development
(g) As -built drawings of all improvements identified in Part B.shall be filed with
the City Engineer. Such as -built drawings shall show the date of construction and shall be
drawn in such a manner and on such materials to meet the standards at the. City available in
the City engineer's office. As -built drawings must be completed and filed in the City
engineer's ofliice within six (6):months of the day of the. completion of such improvement. If
as -built drawings are not filed within the: time period, specified the City engineer may be
authorized to conduct surveys and complete#tie drawings and all ofthe costs pursuant Hereto
shall be paid. by the Developer,

Section 4:14; Engineering.
(a) The Developer shall cause to be constructed, at its cost and its Quiz risk;.
the Required Improvements according to City standards. All. of the Grading and
Drainage Improvements shall be approved by the City and shall be consistent with the
Final Plat and the. Grading, Drainage, Erosion Control Plaids approved March 30, 2018,
subject to. any revisions required by the City Engineer. A copy of said plans are attached
hereto and incorporated herein as Exhibit D. Developer shall provide: all. documentation.
required by the: City's Engineer to ensure any custom graded lots meet City standards,
including tree preservation. The Developer also agrees to adhere to all terms and
conditions as set forth by the Ramsey -Washington. Metro Watershed District (RWMyVi)}.
Developer shall provide a copy of the RWMWD Permit to the City prior to the
commencement of construction.
(b) Developer or their agents or assigns, shall comply with all provisions of
the Storm Water Pollution Prevention Plan (SWPPP) including but not limited to keeping
the public streets clear of any soil, earth or.debris resulting from work done.by Developer
or his agents or assigns. Any such materials roust be promptly removed and in no event
shall they be present more than twenty-four (24) hours after placement. Failure to
comply with this provision will result in the City undertaking this work with costs to be
reimbursed by Developerpursuant to this Agreement:
.Developer shall obtain all necessary permits and consents for the Required Improvements
including, but not limited to, any permits required by the Minnesota Department. of
Health. for water main. extensions, any permits required by the Minnesota Pollution
Control Agency for sanitary sewer main. extension, any permits required by the.
Metropolitan Council Waste. Water Services Division for connections to sanitary sewer
lines; any permits required by the Ramsey -Washington Watershed District for grading
and storm water discharge; and any permits: ar approvals necessary to properly comply
with Wetland regulations, Developer shall reimburse the City for any costs or expenses
incurred by the City due to the need for any permits or consents and shall be. responsible
for compliance with any other requirements imposed by the agencies in question.
(d) Developer shall comply with the City Engineer's recommendations,
including the creation of a storm water retention:pond planting plan that meets.with the
approval, of Ra nsey/Washington Metro Watershed District staff and City staff. Said
approval shall occur after the execution of this Agreement.
(e) Prior to the con mencement of any work, Developer or his engineer shall
schedule a preconstruction meeting to be held at the Gem Lake City Hall at a date and.
time.agreeable to City. Said meeting.shall include all parties concerned, including, but
not limited to, City staff, Developer's engineer, Developer's contractor(s), Developer's
builder(s); and if necessary, representatives of Ramsey -Washington Watershed District.
The purpose of this meeting will be to review the work program for construction to
achieve%a coordinated approach between all parties involved and shall. include a detailed
schedule in writing provided by the Developer.
(#) Developer warrants all work required to. be performed against poor
material and faulty workmanship fora period of two (2) years after its final completion
and approval by City. All landscaping. including, but not limited to, trees,. shrubs; grass
seed, sod, native plantings and aquatic plantings, if any, be warranted to be alive, of good
quality and disease free for twenty-four (24) months from the time of planting. Any
replacements shall be warranted to be alive, of good quality and disease free for twenty-
four (24).months from the time of planting.. Developer shall post maintenance bonds or
other security acceptable to City to secure the warranties.
(g) The action or inaction of City shall not constitute a waiver or amendment
to the provisions of this Agreement.. To be binding; amendments or waivers shall be.in
writing, signed by the parties and approved by written resolution of the City Council.
City's failure to promptly take legal action. to enforce this..Agreement shall not be a
waiver or release.
(h) This Agreement shall be binding upon the parties, their heirs, successors or
assigns., as the case. may be. All terms and conditions contained herein shall run With the
land and shall bind the Developer, its successors and assigns.
(i) Developer may obtain. one (1) building permit for a model homes to be
constructed within a lot to be determined:in the Villa plat prior to the completion of the

required improvements; However, Developer. acknowledges. that City will not issue a
certificate of occupancy for this structure until after the. first lift of asphalt is installed on
the street surfaces and other improvements have been substantially completed and
approved by the City.
{j) Developer shall construct a monument for the.entrance into the:Villas.
(k) Developer understands that the wetlands shall be maintained accordingly
by the Homeowner's Association for the life. of the wetlands,.Developer also understands
that the wetlands shall be maintained by Developer for a period of five.(5) years after
final approval.
(l} Developer shall complete all the obligations of the zonirig certificate
issued by the City on April 17, which shall include.conditional use permit as modified
(attached as Exhibit E),_
(m) The City of Gent Lake and the City of Vadnais Heights shall enter into a
water agreement to service the Villas.
(n) A Homeowner's Association shall be established along with a written
declaration to be approved by the City. The declaration shall include authorization for the
cityto enforce the provisions if the association fails to do so, The City shall require
reimbursement for costs of enforcement including, but not limited to, attorney fees. The,
declarationmay not be amended without City approvab:.which approval shall not be.
unreasonably withheld.
(o) Developer shall have a right to construct one (1) residential unit for
purposes of display prior to completion of all utilities and roads.
(p) The Homeowner's Association shall provide documentation for the ongoing
maintenance of any storm water facilities not within. public right-of-way, The
documentation shall include authorization for the City to enforce the provisions if the
association fails to do so. The City shall require reimbursement for costs of enforcement
including,: but not limited to, attorney fees..
(q) The Homeowner's Association shall be responsible for an irrigation
system to the homes. Additional responsibility includes maintenance, winter blowouts,
and general standards of repair, The Homeowner's Association. shall have a meter for
purposes of usage and billing which shall be read by the City of Gern. Lake. Water usage
for hTigation shall be billed by the. City of Gem Lake to the Homeowner's Association.
The irrigation and water usage will Ise subject to the rules and regulations established by
the City of Vadnais Heights.
(r) Developer shall complete all the requirements for issuance. of final Plat
and the requirements for the conditional use/zoning certificate.

declaration may not be arnended without City approval, which approval shall not be unreasonably

Will take over maintenance, Wetland. creation areas shall. be maintained by the developer until

Performance Guarantees

ARTICLE VIII
Reimbursement Of Costs
The Developer agrees to fully reimburse the City for all costs incurred by the City in
connection with this Agreement including, but not limited to, the: actual costs of preparation of the.
plans and specifications for said improvements, engineering fees,. legal fees, inspection fees, interest
costs, costs of acquisition of necessary easements, if any, and :any other costs incurred by the City
relating to this Agreement and the. installation of the aforementioned improvements:
Furthermore,. the Developer agrees to deposit with the City such sums reasonably.required
by the. City and relating to the costs.described.in the preceding paragraph, The amounts of such
deposits :shall be as shown in the. City Feb Schedule as adopted by City Code. Said amount shall
bear no interest. and.the City shall have the right to pay all fees and expenses and costs which are.
the obligations of the.Developer under this Agreement from the aforementioned escrow deposit.
Any monies remaining. after the payment of said fees and costs shall be returned to the Developer.
Any disputes regarding said fees shall be resolved in accordance with Minnesota Statutes §§
462,353 and.462:361.
All reimbursements from. the City to Developer as set forth in this Agreement shall be made
administratively, when possible; so that Developer will. not be.required to seek further City Council.

ARTICLE IX
Buildinz Permits And Certificates Of Occupancy
No Certificate of Occupancy permit shall he issued for any housein the plat until the.following

A. An .as -built plan of the development and a letter .from the .Developer's engineer
certifying the plat has been graded according to the ggrading, drainage and erosion

control plan as approved by the City. ;The Developer will notify the City a minimum
of two (2) weeks prior to any Certificate of Occupancy permit boing requested.
B. The first lift of street asphalt surface, sanitary sewer; stonn sewer and water has been
constructed; considered operational, and approved by the City Engineer.. The
Developer will notify the City a minimum of two (2) weeks prior to any Certificate of
Occupancy.permit being requested to allow adequate time'for an inspection to be
completed of all the: required improvements.
The Developer. further agrees that. it. will not causeto be occupied, any premises constructed
upon. the plat or Any.property within the plat until the completion of the gas; electric, telephone, cable
television (if available), streets to asphalt surface, sanitary sewer, storm sewer, and water,. unless the
City has agreed. in writing to waive. this requirement as to a specific premise.
Seeding and sodding of the .lot shall be completed .prior to a certificate of occupancy. In
the event a lot is not seeded or sodded and does. not have 4 inches of black dirt spread prior to
issuance of a Certificate of Occupancy, the builder of a house constructed upon a lot shall post a
$2,000 cash escrow for each lot that is not seeded or sodded, to assure that the lot will have.black.
dirt and. lawn established within six months. Escrowing prior to issuance of the Certificate of
Occupancy shall also be required for all other incomplete items.
The City Building Official may issue a stop work order for any violations relating to silt
fencing, erosion control or tree protection,
ARTICLE R
Cleanu
Developer shall promptly clean dirk and debris from streets that has resulted from construction
by the Developer, its agents or assigns. Performance shall: be guaranteed by the Performance
Guarantee recited herein. City reserves the right to perform such work as necessary and will invoice,

ARTICLE XI

property without further notice or action.
The Developer shall schedule City inspections through the City Engineering Department a
minimum of forty-eight (48) hours prior to constructing City maintained improvements within the
public right-of-way or easements.

Prior to acceptance by the City of the City maintained improvements lying within the public
fight -of -way or easements, the Developer shall provide evidence try sworn construction statement
that all contractors who may be.entitied to file mechanics liens. have been paid.
ARTICLE xII
Prohibitions Against Assigment`And Transfer;
Indemnification
Section 12.1. Release and Indemnification Covenants.
(a) Tile Developer releases from and :covenants and .agrees that the City, and
the governing body members, officers, agents; servants and employees thereof shall not be
liable for, and agrees to indemnify and hold harmless the City and the governing body
members, officers, agents, servants. and employees thereof, against anyloss or damage to
property or any injury to or death of any person occurring at or about or resulting. from MY.
defect in the Improvements or Developer's Improvements.
(b) Except for any willful misrepresentation or any negligent, millful or wanton
misconduct of the fallowing named parties, the Developer agrees to protect and defend the
City, and the governing body members, officers, agents, servants and employees thereof,
now and forever, and further agrees to hold the aforesaid harmless:from any claim, demand,.
suit, action or other proceeding whatsoever by any person or entity whatsoever arising or.
purportedly arising from. this.Agreement, or the transactions. contemplated hereby or the
acquisition, construction, installation, ownership, and operation of the Improvements or
Developer's Improvements and provided that such proceeding is based upon the acts of the
Developer or of others acting on behalf or under the direction or control of the Developer.
(c) The City, and the governing body members, officers; agents, servants and
employees thereof shall not be liable for any damage or injury to the persons or property
of the Developer, or its officers, agents, servants or employees or any other person who
may be about the Property due to. any act of negligence of any person, excluding the
negligent acts or misconduct of the City; its agents or employees.
(d) All covenants, stipulations, promises; agreements and obligations of the
City contained herein. shall be deemed to be the covenants, stipulations, promises,
agreements and obligations of the City and not of any. governing body member, officer,
agent, servant or employee of the City in the individual capacity thereof...
.ARTICLE XM
Insurance
Section 13.1. Insurance. Developer and/or all its subcontractors shall take out and
maintain during and until two (2) years after the City has accepted the improvements (streets,

trails/sidewalks & utilities) that were installed by the. Developer identified in Part B of Article IV
lying within the public right-of-way or easements, the fallowing insurance:
(a) Builder's risk insurance, written on the so-called "Builder's Risk -
Completed Value. Basis," in an amount equal to one hundred percent (100%) of the
insurable value of the Improvements at the date of completion, and with coverage
available in nonreporting form on the so called "all risk" form of policy; and
The policies of insurance required pursuant to clauses (a) and (b) above shall be in farm and.
content satisfactory to the City and shall be placed with financially sound and. reputable insurers
licensed to transact business in the State. The policies of insurance shall name the City as an
additional insured on the policy, and the Developer or all its subcontractors shall file with the City
a certificate evidencing coverage prior to any construction by the Developer or its subcontractors.
The certificate shall contain an agreement of the insurer to give not. less than thirty (30) days
advance written notice to the City and the Developer in the event of cancellation of such. policy or
change affecting the coverage thereunder. The certificate may not contain. any disclaimer far
failure to give the required notice.
ARTICLE XIV
Events of Default
Section 14.1. Events of Default Defined. The term. "Event of Default" shall mean,
^ whenever it.is used in this Agreement (unless the context.otherwise provides), any failure by the
Developer to substantially observe or perform any material covenant, condition, obligation or
agreement on its part to be observed or performed under this Agreement.
Section 14.2. Remedies on Default. Whenever any Event ofDefault referred to: in this
Agreement occurs, the City may take any one or more of the following actions after provision of
thirty (30) days' written notice to the Developer by the City of the Event of Default, but only if the
Event of Default has not been cured within said thirty (30) days or, if the Event of Default cannot
be cured within thirty (34) days, the. Developer does not provide assurances to the City reasonably
satisfactory to the City that the Event of Default will be cured as soon as reasonably possible:
(a) Withhold the Certificate of Completion.
(b) Refuse to issue building permits to any property within the plat until such
time as such default has been inspected and corrected to the satisfaction of the City.
(c) Perform. the. work of the Developer and the Developer shall promptly
reimburse the City for any expense incurred by the. City within thirty (30) days. Failure
to do so shall result in. the City withholding any cash deposit, certified check, letter of
credit, or any other form of Performance Guarantee of the Developer.

(d) If the plat is a phase of a multi -phase preliminary plat; the City may refuse
to approve final plats. of subsequent phases if the Developer has breached this:Agreement
and the breach has not been remedied,
(e) Take whatever action; including. legal or administrative action, which may
appear necessary or desirable to the City to enforce performance and observance of any
obligation, agreement, or covenant of the Developer under this Agreement and shall be
entitled to collect any and all expenses incurred by the City in connection therewith, including,
but not limited to, engineering, legal, planning and litigation costs and expense.
Section 14.3. NOR Exclusive_ No remedy herein conferred upon or reserved to the
City is intended to be exclusive of any other available remedy or remedies, but each and every
such remedy shall be cumulative and shall be in addition.to every other remedy given under this
Agreement or now or hereafter existing at law or in equity or by statute. No. delay or omission to
exercise any right or power accruing upon any default shall impair any such right or power or shall.
be construed to be a waiver thereof, but any such: right or power may be exercised from time to
time and as often as. may be deemed expedient.
Section 14.4, No Additional Waiverim Tied b One Waiver. In the event.any agreement
should be breached.. by Developer and thereafter waived by the City, .such waiver shall be limited
to the particular breach so waived. and shall not be deemed to waive any other concurrent, previous
or subsequent breach hereunder,
ARTICLE XV
.Additional Provisions
Section 15.1, Incorporation by Reference. All. City approved plans, special provisions,
proposals, specifications and contracts for the improvements. furnished and let pursuant to this
Agreement shall be and hereby are made a pari of this Agreement by reference as if fully set out
Herein.
Section 15,2. Notices and Demands: Except .as otherwise expressly provided in this
Agreement, a notice,. demand or other communication under the Agreement by either party to the
other shall be sufficiently given or delivered. if it is 'dispatched by registered. or certif ed mail,
postage prepaid,xetum receipt requested; or delivered personally to the addresses hereiribefore set
forth on Page 1, or at such other address with respect to either such Party as. that Party may, from
time to time, designate in writing and forward to the other as provided in this Section.
Section.15.3. Titles of Articles and Sections, Any titles of the several parts, Articles and
Sections of this Agreement are inserted for convenience of reference only and shall be disregarded
in construing or interpreting any of its provisions.
Section.15.4. Validity. If any portion,: section, subsection, sentence; clause, paragraph.or
phrase in this Agreement is for any reason held.to be invalid by a court of competent jurisdiction,
such decision shall not affect or void. any of the other provisions of this Agreement.

Section 15.5. Clerical Revisions. a the event that any technical or. clerical revisions are
needed in this document or if for any reason the County Recorder deems this Agreement un-
recordable, the Developer shall cooperate with the City in the execution or amendment of any revised
development agreement.
Section 15.6. Binding Effect, The terms and provisions hereof shall be binding upon and
inure to the.benefit ofthe heirs; representatives, successors and assigns of the parties hereto and shall
be binding upon all future owners of all or any part ofthe Subdivision and shall be deemed covenants
running with the land. Notwithstanding the foregoing; individual homeowners shall.not be obligated
to perfonn Developer's obligations hereunder.
Section 15.7, Counterparts. This Agreement may be executed in. any number of
counterparts, each of which. shall constitute one and the same instrument.
Section 15..8. Law Geyeming. This . Agreement will be governed and. construed. in
accordance with the laws ofthe State of Minnesota.
Section 15.9. Time of Performance. The Developer shall install all required improvements
in accordance. with the timetables set forth in this Development Agreement. The Developer: may,
however, request in writing .an extension of time from the City. If an extension is granted, it shall
be conditioned upon updating the security posted by the Developer to reflect cost increases; if
any, and the extended completion date.

Purpose:
To finance the construction of the 2018:Scheuneman Road . Reconstruction
Project. in the City.
nebt service will be. paid from special assessments and property taxes to be
cancelled each year with . available sewer revenues and any future water
revenues.
Authority:
The Bonds.arebeing issued pursuant to Minnesota Statutes, Chapters:
• 429 (special assessment pledge)
• 475 (general bondirig.authoriry)
Because. the City is assessing .at least. 20% of the project costs, the Bonds can
be a general obligation without :a..referendum and will notcount against the
City'.s debt limit.
The -Bonds will be .general .obligations of the. City for which its fult faith, credit
and taxing powers are pledged,
Term/Call Feature:
The Bonds are behig issued for a 156year term: Principal on the. Bonds will be
due on February 1 in the years 2020 through 2034. Interest is .payable. every
six months. beginning February 1, 2019. A portion of the bond proceeds will
be used to make the.February 1-2..0.19.interest payment.
The Bonds maturing on and after. February 1, 2028 will be subject to
prepayment at the discretion: of the. City on February 1., 2027 or any date.
thereafter.
Bank Qualification:
Because the City. is expecting to issue no more than $10,000,000 in tax exempt
debt during the.calendar year, the City will .be able to designate the Bonds as.
"bank qualified" obligations.
Bank. qualified status broadens the market for the Bands, which can. result in
lower interest rates.
Rating:
The City is seeking state credit enhancement;.:as described below,. which will
provide :the. Bonds. with the same rating:as.the State of Minnesota's bonds.
If the winning bidder on. the Bonds elects to purchase bond. insurance, the
rating for the issue .may be higher than the City's bond: rating in the event that
the bond ratingof the insurer is higher than that of the City.
State Credit Enhancement:
City bond issues for water, sanitary sewer and. storm water facilities are now
authorized: to .receive credit enhancement from the State. Under :current bond
ratings, the: state. credit.. enhancement would bring a .Standard & Poor's "AA+"
rating or a Moody's "Aa2" because the .State guarantees the debt service

payments on the Bonds. Currently, state credit enhancement provides a
significant interest cost savings, to lower or non -rated cities/counties.
To qualify for the credit enhancement; a City must. submit -an -application and
$50.0 fee to the State, There will also. be a credit rating ,fee that. is lower than
the standard fee to either rating agency.
.Ehlers will take care of the application to the State on your behalf.
Basis for Recommendation;
Based ,on our knowledge of your situation, your objectives communicated to.
us, our advisory relationship. as well as characteristics of various municipal
financing options, we are recommending the: issuance of general obligation
improvement bonds as a suitable financing option for the following reasons:
■ The. City's policy and past practice has. been to finance municipal
projects like this with this type of debt issue.
• This. is a cost-effective option among the limited other options
available to finance this type of project.
■ General. obligation bonds with the State Credit Enhancement provides
the lowest possible interest cost.
Method of Sale.IPla.cement:
In -order -to obtain the Iowest interest cost. to the City.; we. will competitively
bid the.purchase of the Bonds from local and national underwriters/banks.
We have: included an allowance for discount bidding equal to 1.30%Q of.the
principal amount. of the issue. The discount is. treated as.. an interest item and
provides the underwriter with all or a portion of their compensation in the.
transaction. Ifthe.Bonds are purchased at a. price greater than the minimum bid
amount (maximum discount), the unused allowance may be used to lower your
borrowing amount:.
Premium Bids: Under current market conditions, most. investors in Municipal
bonds prefer "premium" pricing structures. A premium is achieved when. the
coupon for any maturity (the interest rate paid by the issuer) exceeds the yield
to the investor, resulting in a price paid :that is :greater than the face value of
the.bonds. The.sum o£the..amounts paid in -excess -of face. value is considered
reoffering. premium."
For this issue. of Bonds we have been directed to use the premium to reduce
the. size of the issue. The adjustments may slightly change the true interest
cost of tho.original bid, either up or down.
Review of Existing Debt:
We have reviewed .all outstanding indebtedness for the City and find that there
are no refunding opportunities at .this -time.
We will continue to monitor the market and the call dates for the City's
outstanding debt. and will alert.you to any future. refunding opportunities.
Continuing Disclosure:
Because the amount of the Bonds to be issued is less than $1,000,000, this.
issue could be exempt from the Continuing Disclosure. requirements of the.
Securities and: Exchange Commission (SEC); however; some underwriters
require limited disclosure as one of the parameters for bidding, we recommend
that the City provide for the limited disclosure by agreeing to provide its

Audited Financial Statements annually as well as providing notices of the
occurrence of certain:. reportable events to the Municipal Securities
Rulemaking Board (the "MSRB").
The City will now be obligated to provide. such %reports, and may: do this on
their own or contract with Ehlers to prepare and file the reports.
Arbitrage Monitoring:
Because the Bonds are tax-exempt securities/tax credit securities, the City
must ensure. compliance with certain Internal Revenue. Service .(IRS) rules
throughout the life.of the.issue. These rules apply to all gross ,proceeds of the
issue, including initial bond.proceeds and investment earnings in construction,
escrow, debt service, and any reserve :funds, How issuers spend bond
proceeds and. how :they track 'interest earnings on :funds :(arbitragelyield
restriction compliance).are common subjects of IRS 'inquiries. Your .specific
responsibilities will be detailed in the Tax Certificate prepared by your Bond
Attorney and provided at closing.
We recommend that you.. regularly monitor compliance with these rules and/or
retain the services. of a qualified firm. to assist. you.
Risk Factors,:
Special Assessments: We have not assumed:any pre -paid. special assessments
and we have assumed that assessments are levied as projected. If the City
receives a significant amount of pre -paid assessments or does not levy the
assessments, it.may need to increase the levy portion of the debt service to
make up for lower interest earnings than the expected assessment. interest rate.
GO Pledge: Because the Bands will be general obligations of the City for
which its frill faith, credit and taxing powers arepledged,. if .the annual tax. levy
collected is not sufficient to pay the debt service payments, other City funds
will need to be used.

Resolution Providing for the Sale of
$665,000 General Obligation Improvement Bonds, Series 2018A
A. WHEREAS, the City Council ofthe City of .Gem Lake; Minnesota has heretofore determined that it..is
necessary and. expedient to .issue the City's $665.,0..00. General Obligation Improyement,Bo..nds, Series
.2018A (the "Sands"), to finance the construction of the 20:18 Scheuneman Road Reconstruction Project..
in the City; and
$.. WHEREAS; the City.has retained Ehlers & Associates, Inc.,.in Roseville, Minnesota {"Ehlers"), as its
independent municipal advisor for the Bonds in accordance with Minnesota Statutes, Section 475..60,
Subdivision 2(9);
NOW, THEREFORE, BE IT RESOLVED by the City Council. of the City of Gem: Lake, Minnesota, as
follows:
L. Authorization; Findings. The City .Council: hereby authorizes Ehlers to assist the. City for the sale of
the Bonds.
2. Meeting; ProposalOpening. The City Council shall meet at 7:00 p.m. on -June 19, 2018, for the purpose
of considering proposals for and awarding the sale of the Bonds.
3.. Official Statement. In connection. with said -sale, the officers or employees of the City are hereby
authorized to cooperate with Ehlers and participate in. the preparation of an official. statement for the
Bonds and to execute and deliver it on be of the City upon its completion.
The motion for the adoption of the. :forego ing resolution was duly seconded by City Council Member
and; after full discussion thereof. and upon a Vote being taken thereon, the.

Resolution Authorizing the City to Enter into a Credit Enhancement
Program Agreement with the Minnesota Public Facilities Authority
A. WHEREAS,.the City Council of the City of Gem Lake, Minnesota (the "City") proposes to issue. its
General Obligation. Improvement Bonds (the ".Bonds"), the. proceeds of Which will be used to finance
the costs :of construction, improvement or rehabilitation of water, sanitary sewer, and storm sewer
facilities; and
B. WHEREAS, the City Council hereby determines it. is in the best interests of the City to apply to the
Minnesota Public Facilities Authority (the. "Authority") for credit. enhancement of the Bonds;
.NOW, THEREFORE, BE IT .RESOLVED by the. City .Council of the City of Gem Lake, Minnesota,. as
follows:
1.. Approval of the Authorilys Credit Enhancement Program Agreement. The. Authority's Credit
Enhancement Program Agreement (the "Agreement") is hereby approved, the :same being before the
City.Councii and made a part of this: resolution by reference.
2. Authorization to Sign_ Agreement and Related Forms. The Mayor and the City Clerk are authorized to.
sign the Agreement. on the City's behalf and to execute. any other related forms. prescribed by the
Authority with respect to the Agreement.
3. Agreement to Comply with Minnesota Statutes, Section 446A.4$6. The City is entering into the
Agreement with the Authority pursuant to Minnesota Statutes, Section 446A.086 (the "Act") and the
City hereby agrees to comply with and be.bound by the provisions of the Act.
4. Submission ofthe Ayreeinent. The Mayor and City Clerk are hereby authorized to. submit; on the: City's
behalf, the Agreement .to the Authority, together with the nonrefundable application fee in the amount
of $540.

and, after full discussion thereof and upon a vote being taken thereon, the
