The current liquor ordinance needs to be: updated. liquor ordinance will be worked on by the Fla.nning
Commission.

Mr. Waldoch, owner of 3579, 3585, 3595, 3599 Hoffman Road,1568, E. County Road E.and 3588
Highway 61 North, u.pdate:d the. council on his progress of having a small piece of his property that. is in
Vadnais Heights annexed to Gem Lake. He agreed to pay Vadnals Heights for the lost tax revenue. Both
cities are in agreement to the annexation. Annexation to proceed following Minnesota Statute 414.061.
Mayor Uzpen - City of Gera Lake may have to. pay Vadnais Heights legal fees, estimate $3,04O-$51000,
July Planning Commission land use ordinance will be updated, will go to the City Council July.10 for a
vote,. S.E.H. will do a small traffic study on Hoffman Road. A motion was. made by Councilmember Artig
S.womley, seconded by Cguncilmember Kuny.to authorize tiie City Attorneyto.start.the process of
annexation with Vadnais Heights, get an estimate on Vadnais Heights' legal fees for annexation. Voice.

Resolution 201848 Awarding the Sale of Bonds for the Scheuneman Road Project
Todd Hagen, Ehlers, provided an overview of the safe report for the bands for the Scheuneman Road
Project; A motion:was made by Counciimember Artig=Swomley,. seconded by Councilmember Lindner to
Award the Sale of the Bonds to the Winning Bidder forthe Scheuneman Road Project. A voice vote was
taken, ail yes. Motion.passes, Resolution. approved.
Resolution 2018-19 — Amend Land Use: Ordinance 131 .

Council discussed who is responsible for boulevard or right-of-way trees. Council will gather policies

presented a proposal for.a meadery. at 1595 E. County Road E, Gem Lake. The council directed Mr.
Eckton to the city planner and to attend the July9, Planning Commission nieeting: Noted that parking
for customers will need to be addressed. August Workshop, discuss lessons learned for next
development. Ordered a report from S & S Tree to look at the trees. at the Villas developrnent,.some of :.

CITY OF GEM LADE, RAMSEY COUNTY, MINNESOTA
ORDINANCE NO.9.
AN ORDINANCE LICENSING AND REGULATING THE SALE AND CONSUMPTION
OF INTOXICATING LIQUOR AND PROVIDING A PENALTY FOR VIOLATION.
Section 1. Provisions of State LAW Adopted. The provisions of Minnesota Statutes, Chapter
340A, with reference to the definition of terms, applications .for license, granting of license,.
conditions of liicense., restrictions on consumption, provisions on sales, conditions of bonds of
licensees, hours of sale.; and all other matters pertaining to the retail sale, distribution, and
consumption of intoxicating liquor are hereby adopted and made a part of this ordinance as. if
fully set out herein.
Section 2. License Required.
2.1. No person, except wholesalers or manufacturers tothe extent authorized under state
license., shall directly .or indirectly deal in, sell, or keep for sale any intoxicating :liquor
without first having received a license to do so as provided in this ordinance.
2.2. "Oasale" liquor licenses shall be issued only to restaurants, clubs, and exclusive. "on
sale liquor stores and. shall permit "on sale" of liquor o nly.
2:3. On sale wine licenses shallbe issued only to. restaurants with facilities for seating at
least 25 guests at one time, and shall permit the sale of wine up to 14% alcohol by
voluine:for consumption with the sale of food.
2.4. Sunday on sale liquor licenses :shall be issued only to restaurants: or clubs with
seating capacity for at least 30 persons which hold a regular on sale. liquor license and
shall permit the sale of intoxicating liquor for consumption on the premises in
conjunction with the sale of food between the hours of 10:00 a.m. on .Sundays. and 2:00
a.m .on.Mondays.
2.5. "Off sale" licenses shall be issued .only to "off sale" exclusive liquor stores and. shall
perm it "off sales" of liquor only.
Section 3. Application for License,
3:1. Every application for a license to sell Iiquor shall be verified: and Aled 'with: the City
Cleric. It,shall state the name of the applicant,.his age; representations as to his character;
with such references .as may be required, his citizenship, the type. of license applied far;
the business in connection. with which the proposed license will operate -and its location
and type of b.uiIding, whether the applicant is owner and operator of the business, how
long he has been in that business at that place, and such other information as. the council
may :require from time to time. In. addition to containing such information, each
application for a license shall be in the form prescribed by the State Commissioner of
Public Safety: No person shall make a false statement in. an. application,
3.2. Each. application for a license shall be accompanied. by the minimum proof of
financial responsibility required by Minnesota Statutes Section 340A.409 (subd. 1) and
any .amendments thereto. or substitutes therefor that may from time to time .become
effective.
3:3. The proof of financial responsibility offered under Subdivision. 2 shall be approved
by the: City Council and in the case of applicants for off.sale licenses by the State
Commissioner of Public Safety. Liability insurance policies shall be approved as to form
by the City Attorney. The operation of such off.. -sate or. on -sale liquor business without
having on file at all tunes with the inunicipality the proof of financial responsibility
required. in.Siibdivision 2..shall be..grounds for immediate.revocadon of the. license.
'Section 4. License .Fees.
4.1. Each application for a license shall be. accompanied by a receipt From the .City T
reasurer for payment in full of the required fee for the license.. Al l fees. shall be paid into
the general fund of the municipality. Upon rejection of any application for a license,the
treasurer shall refund the amount paid..
4.2. All licenses shall expire on. the last day of December of each year. Each license shall
be issued for a period of one year except that if a portion of tie license year has elapsed
t.
when the application. is. made, a license inay be issued for the remainder of the: year for a pro rata fee. In computing such fee, an unexpired fraction of a month shall be counted as

one month.
4.1 (Repealed by Ordinance.94, adapted 2/10/2009).
4.4. No refund of any fee shall be permitted except as authorized udder Minnesota
Statutes, Section 340A.40.
Section. 5. Granting of Licenses.
5.1., The City Council shall investigate all facts set but in the application. Opportunity
shall be given to any person to be heard for or against the granting of the. license. After
such investigation and hearing, the City Council shall grantor refuse the application in its
discretion. N o "off sale" license shall become effective until it, together with the proof of
financial responsibility furnished by the. applicant, has been approved by the. State
Commissioner of Public Safety.
51. An applicant seeking an "on -sale" .license shall pay an :investigation fee with. the
required annual license fee. If investigation outside the State of Minnesota is.re.quired by
the city council or the State Commissioner of Public Safety, the: applicant. shall pay the
actual cost of the investigation, up to $19,00.a0, prior to any action to approve or deny
tl;e.iicense.
5.3. Each Iicense. shall. be issued to the applicant only, Each license shall be issued only
for the premises described in the application. No license may be transferred to another
person orto. another p]ace without the'approval of the City Council.
Section .O. Tersons .1neligible.. for License. No license shall. be granted to or held by any person
made ineligible for such a license by state law.. No license shall be issued to an individual who is
a nonresident of. the City..
Section 7. Places Ineligible for License.
7.1. No license shall be issued for any place or for any business ineligible for such a
license under state law.
7.2. No license shall be issued to any business, except an exclusive liquor store, until. it
has been in operation continuously for six months..
7.3. No license shall be granted for operation. on any premises on which.. taxes,
Assessments or other finaricial claims of the City are delinquent and unpaid.
7k No license shall. be granted within a reasonable distance of any school; church, or
private home at.the determ€nation of the. City Council.
Section 8. Conditions of License.
8.1. Every license shall be granted subject to the conditions in the following subdivisions
and. all. other provisions: of this ordinance and of any other applicable ordinance of the
City or state. law.
8.2. Every licensee shall be responsible for the. conduct of his place of business. and. the
conditions of sobriety and .order in it. The act of any employee on the licensed premises
authorized to sell or serve intoxicating liquor shall be deemed: the act of the licensee as
well and the licensee shall be liable to all penalties provided by this. ordinance equally
with the employee,
8.3, No sale: of liquor shall be made to anyone on credit.
8.4. Any peace officer, . health officer, or any properly designated officer or employee. of
the City shall have the unqualified right to enter, inspect; and -search the premises of the
licensee during business. hours without a warrant.
Section. 9. Restrictions on Purchase and Consumption.
9.1. No minor shall misrepresent his age for the purpose of obtaining intoxicating liquor.
9,2. No person shall induce a minor to purchase or procure liquor.
9:3. No person shall inix or prepare liquor for consumption in any public place or.place of.
business not licensed to sell liquor "on sale" and no person shall consume liquor in any
such place.
9.4.. No: liquor shall be: sold or consumed on a public highway or in an automobile.
Section 10.:Revocation. The council. may suspend or revoke any liquor license for violation of
anyprovision or condition of this ordinance or any state law regulating the .sale of intoxicating.
liquor and shall revoke such license. if the licensee willfully violates any provision of Minnesota
Statutes, Chapter. 340A. Except in the; case of a suspension pending a hearing :on. revocation,
revocation or suspension shall be preceded by written notice to the grantee arid. a public hearing.
The notice shall dive at. least eight days' notice of the time 'and place: of the hearing and shall state
the nature of the charges against the licensee. The council may, without any advance notice,
suspend any license pending a hearing. on revocation. for a period of not exceeding thirty (30)
days.
Section 11. Penally. Any. person violating any provision of this ordinance shall be guilty of a
misdemearior and upon conviction shall be punished by a fine of not more than $700.00 or
imprisonment in the county jail for not more. than. ninety (90) day$ or both plus the costs of
prosecution in. either case.
Section 12... Enactment. This Ordinance No. 9 was .placed in full forceand effect on.. 17
December 1963: by a unanimous vote of the .City Council of the City of Gem Lake:.

Chapters 429 and 475, as amended (collectively, the "Act"),
(b) The City. Council finds it necessary and expedient to the sound. financial
management of the affairs .of the City to issue its General Obligation Improvement Bonds.,.

Section 2. Registration and Payment.
2.01, Registered Form. The Bonds Will be issued .only in fully registered forin. The interest

2.01. Registration. The City will appoint a :bond registrar, transfer agent, .authenticating agent

Registrar with respect thereto. are as follows:
(a) Register. The Registrar must keep at its principal corporate trust office a bond
register in which the Registrar provides for the registration of ownership .of Bonds and the

(b) Transfer of Bonds. Upon. surrender for transfer of a Bond duly endorsed by the

the Registrar, duly executed by.the registered owner thereof or by anattorney duly authorized by
the registered owner :in writing, the Registrar. will authenticate and. deliver, in the name of the
designated transferee or transferees, one or more new Bonds of a like aggregate principal amount
and maturity, as: requested, by the transferor. The. Registrar may, however; close the books for
registration. of any transfer after the fifteenth day of the month preceding each. interest payment date
and until. that interest payment date.
(c) Exchange of Bonds. When Bonds are surrendered by the registered owner for
exchange the Registrar will. authentiicate. and. deliver one or more .new Bonds. of a likeaggregate
principal amount and maturity as requested by the registered owner or the owner's .attorney in
writing.
(d7 Cancellation. Bonds surrendered upon transfer or exchange will. be promptly
cancelled by the Registrar and: thereafter disposed of as directed by the City.
(e) Improper or UnautIiorized Transfer. When a Bond is presented to the Registrar for
transfer; the Registrar may refuse to transfer the Bond until the Registrar is satisfied that the
endorsement on the Bond or separate instrument" of transfer .is valid and genuine and that the
requested transfer is. legally authorized. The Registrar will incur no liability for the refusal, in good
faith, to:make transfers -which it, in its judgment, deems improper or unauthorized.
(f) Persons Deemed Owners. The City and the Registrar may treat the. person in
whose name a Bond is registered in the bond register as the absolute owner of the Bond, whether
the Bond is -.overdue or.not, for the purpose.of receiving payment of, or on account of, the principal
Of and interest on the Bond and for all other purposes, and payments so made to a registered owner
or upon -the owner's order will he valid and effectual to satisfy and discharge the liability upon the
Bond to the extent of the sum or sums so paid.
(g) Taxes, Fees and Charges. The Registrar may impose a charge upon the owner
thereof for a transfer or exchange of Bonds sufficient to reimburse the Registrar for any tax; fee or
other governmental charge required" to be paid with respect to the transfer or exchange.
(h) Mutilated. Lost, Stolen or.Destroyed Bonds. 1f a Bond becomes mutilawd or is
destroyed, stolen or lost, the Registrar will deliver a new Bond of .1 ike. amount,. number, inaturity
(, date andtenor in exchange: and substitution for and upon cancellation of the. mutilated Bond -or in
lieu of and .in substitution for any Bond destroyed, stolen or lost;. upon the payment of the

Bond destroyed, stolen or lost, upon filing with the Registrar of:evidence sad sfactory: to it that the
Bond .was destroyed, stolen or lost, and of the :ownership :thereof, and upon. furnishingto the
Registrar an. appropriate bond or indemnity in form, substance and amount satisfactory to it and as
provided by law, in which. both the: City and the Registrar must be named. as obligees.. Bonds so
surrendered to.the Registrar will be cancelled by the Registrar and evidence of such cancellation
must -be given to the City, If the mutilated, destroyed, stolen or lost Bond has already matured oz-
been called for redemption in :accordance. with its terms it is not necessary to issue anew Bond prior
to payment.
(i) Redemption. In the event any of the Bonds are .called for redemption, notice
thereof identifying the Bonds to be. redeemed will be given by the Registrar by mailing a copy of the
redemption notice: by first class mail (postage prepaid) to. the: registered owner of each Bond'to be
redeemed at the address shown on the registration books kept by the Registrar and by publishing the
notice if required by law: Failure to give notice by publication or by mail to any registered owner,
or any defect therein, will not .affect the validity of the proceedings: for the redemption of Bonds.
Bonds so called for redemptioni will cease to bear interest after the specified: redemption date,
provided that the funds for the redemption are on deposit with the. place of payment at that time.
104. Appointment of _Initial Registrar.. The City appoints Bond Trust Sot -vices Corporation,
Roseville, Minnesota, as the initial Registrar. The Mayor and the..City Clerk are authorized to execute.and
deliver, on behalf of the City, a contract with the Registrar. Upon merger or consolidation of the Registrar
with another corporation, if the resulting corporation is a bank. or trust company authorized by law to
conduct such .business, the resulting. corporation is authorized to act as successor Registrar. The. City agrees
to pay. the.. reasonable and customary charges of the. Registrar for the services performed. The City reserves
the right to remove the .Registrar upon thirty. (30) days' .notice. and. upon the appointment of,a successor
Registrar,. in which event the predecessor Registrar must deliver all cash and Bonds in its possession to the
successor Registrar and must deliver the bond register to the successor Registrar. on or before each
principal or interest. due date, without further order of this Council,. the: Treasurer transmit to the
Registrar moneys sufficient for the payment .of all principal and interest then due.
2.05. Execution, Authentication and Delivery. The. Bonds. will be prepared under the direction of
the :City Clerk and. executed on behalf of the .City by the signatures of the Mayor and the City Clerk,
provided that those signatures may be printed, engraved or lithographed facsimiles. of the originals. If an
officer whose signature. or a facsimile of whose signature appears on the Bonds ceases to be such officer
before the delivery of a Bond, that signature or facsimile will nevertheless be valid and sufficient for all
purposes, the same as if the officer had remained in office::until .delivery.. Notwithstanding such execution, a
Bond will not . be valid or obligatory for any purpose or entitled to any security or benefit. under .this
resolution.unless.and until -a certificate of authentication on the Bond has been duly executed by the manual
signature:of an:authorized representative of the Registrar. Certificates of authentication on different Bonds
need not be signed by the. same. representative. The executed certificate of authentication on a. Bond .is
conclusive evidence that it has been authenticated and delivered under this resolution. When the Bonds
have been so prepared; executed and authenticated, the City Clerk. will deliver the same to. the. Purchaser
upon payment of the purchase price in accordance with the contract of sale heretofore made. and .executed,
and the. Purchaser is not obligated to. see to .the application of the.purchase.:price-.
2.06. Temporary.Bonds. The City may elect to deliver in lieu of printed definitive Bonds one or
more typewritten temporary Bonds. in substantially the form.set forth in .EXIIIBIT B attached Hereto with
such changes: as may be necessary to. reflect more than .one: maturity in a. single: temporary bond. Upon the
execution and delivery of definitive Bonds the temporary Bonds will be exchanged therefor and cancelled.

Section 3. Form of Bond.
3.01. Execution of the. Bonds. The Bonds will be printed or typewritten in substantially the farm
set forth in.EXHIBIT B.
3.02. Approving Legal Opinion. The City Clerk is authorized and directed to obtain a copy of
the proposed approving legal opinion of Kennedy & Graven, Chartered., Minneapolis, .Minnesota, which
is to be complete except as to dating thereof and cause the opinion to be printed on or accompany each
Bond:
Section 4. Payment; Security; Pledges and Covenants.
4.01. Debt Service Fund. The Bonds wi1l be payable from the General Obligation Improvement
Bonds; Series 2018A Debt Service:.Fund (the "Debt Service Fund") hereby created. The Delft Service Fund
shall be administered and maintained by the Treasurer as .a bookkeeping account separate and apart from all
other funds maintained in the official financial records of the City. The Treasurer shall timely deposit in the
Debt Service Fund the following: (i) ad valorem taxes bereinatter levied (the "Taxes"..) and special
assessments levied. against property specially benefited by the 2018 Assessable improvements (the
"Assessments"); (ii) capitalized interest financed from Bond proceeds;, if any; (iii) amounts over the
minimum purchase price paid by the: Purchaser, to the extent designated for deposit in. the Debt Service
Fund in accordance with Section 1.03 hereof; (iv) any and all other moneys which are properly available
and appropriated. by the. City Council to .the. Debt Service Fund;. and (v),all investment. earnings. on fiends in
the Debt Service Fund.
4:02, Construction Fund. The City Hereby creates the General Obligation Improvement Bonds,
Series.2018A Construction Fund (the "Construction Fund"). Proceeds of theBonds, less the appropriations
made. in Section 4.01(a) hereof, together with Taxes, Assessments, and any other funds.. appropriated for the
2418 Assessable Immprovements collected during the construction of the 2018 Assessable Improvements, will
be. deposited in the Construction Fund to be used solely to defray expenses of the: 2018 Assessable
.Improvementsand the payment of principalof and interest on the Bonds prior to the completion and
payment of all costs of the 2018 Assessable .Improvements. Any balance :remaining in the. Construction
Fund after completion of the 201.8 Assessable Improvements may be used to pay thecostin whole or in part
of any other improvement instituted under the Act, under the direction of the. City Council. When the 2018
Assessable Improvements. are completed and the cost thereof paid, the Construction Fund is to be closed and
any subsequentcollections.. of Taxes and Assessments for the 20.18. Assessable Improvements are to be
deposited in the Debt. Service.l~und.
4.03. City Covenants. with .Respect to the Bonds.. It .is hereby detennined that the 2018
Assessable Improvements will. directly and indirectly benefit abutting property, and the City .hereby
covenants with the holders froin tune to time of the -Bonds as follows:
(a) The City hascaused. or wi1l cause. the Assessments for the 2018 Assessable
Improvements to be promptly levied so that the first. installment will. be collectible not later than
2019 and will take all steps necessary. .to assure: prompt collection, and the levy of the special
assessments is hereby authorized: The City Council will cause to betaken with due diligence all
further actions that are required for the construction :of each Assessable Improvement 'financed
wholly or partly from ,the proceeds of the Bonds, and will take all further .actions necessary for
the final and valid levy of the. Assessments and the: appropriation of any other funds. needed to
pay the Bonds and interest thereon when due.

(b) In the event of any current or anticipated. -deficiency M.Assessments and Taxes,.
the City Council will levy additional ad valorem taxes in the amount,of:the current or anticipated.
deficiency:
(c) The City will keep complete and :accurate books and records showing. receipts
and disbursements . in connection with the 2018 Assessable Improvements, Assessments; and.
Taxes levied therefor and other funds appropriated for their payment, collections thereof and
disbursements therefroi, monies on hand and, the balance of unpaid Assessments.
(d) The City will cause its. books: and records to be: audited at least annually and will.
furnish copies, of such. audit reports to any interested person upon request.
(e) At least. twenty %percent (201/q) of the cost to the City of the .2018 Assessable
Improvements described herein will be specially assessed against benefited properties.
4.04. General Dbli atiori. Pled e. For the: prompt.and full. payment ofthe principal. of:and interest
on the Bonds, asthe same respectively become due., the full faith, credit and taxing powers of the City will
be and.are hereby irrevocably pledged. If the balance in the Debt Service. Fund is ever insufficient to pay all.
principal and interest then due on the Bonds and any other bonds payable therefrom, the deficiency will be
promptly paid out of monies in the.general. fund ❑ f the City which. are available for such .purpose, and :such
.general fond may be reimbursed with or without interest from the Debt Service Fund. when a sufficient
balance. is available therein.
4.05, State Credit Enhancement.
(a) Pursuant to :a resolution adopted by the City Council on. May 15., 2.018, the City
Council authorized and directed City staffto enter the City..into a Credit Enhancement Program
Agreement (tile. "Credit_ Agreement") with the Minnesota. Public Facilities Authority (the
"Authority"): Pursuant to Minnesota. Statutes, Section 446A.086, as amended (the "Credit.
Enhancement Act"), the State of Minnesota, acting through the Authority, may provide a
guarantee of any deficiency of debt service .payments on. the Bonds. Pursuant to the Credit.
Enhancement Act, the City snakes the following representations and. covenants:
(i) the City will notify the. Authority of any default: or potential default in
the payment of principal or interest due on. the Bond;
(ii): the City will deposit with tile. Registrar all payments of princ.ipai and
interest due on the Bonds at least three business days prior to the payment due date;
(iii) the agreement. the City enters into with. the Registrar will .include all
provisions required by the Credit Enhancement Act; and
(iv) the City will comply with. all provisions of the Credit Agreement and
with the Credit Enhancement Act.
(b) Pursuant to subdivision 3 of the .Credit Enhancement Act, the City.acknowl.e.dges
and agrees that the Registrar is required to inform the Minnesota Corm-nissioner of Management
.. and Budget and the Authority if the Registrar becomes aware of a. default or potential defauit in
the payment of principal or interest on the Bonds or if, on the day two business days before the.

date..a payment is due on the :Bonds, there are insufficient funds to .make the payment. on deposit
with the Registrar,
.4.06. Pledge of Tax Levy, .For the purpose of paying.a. portion of the principal of and interest.
on the Bonds., there .is levied a direct .annual irrepealable: ad. valorem tax upon all of the .taxable property
in the City; whichwilt be spread. upon .the. tax rolls and collected. with and as part of other general taxes
of the City.. The Taxes will be credited to the Debt. Service Fund aboveprovided and will be in the years
and, amounts as attached hereto as EXHIBIT C.
4:07. Certification to County .Auditor :as to.. _Debt Service Fund Amount. It is hereby
determined that the. estimated collections of Taxes. and Assessments -will .produce. at least Lave percent.
(5%) in excess of the amount needed to meet when due the principal .and .interest payments on the Bonds.
The tax Ievy hereinprovided is. irrepealable until all of the. Bonds are paid, .provided that at the time the
City makes its annual tax levies the. City Clerk may certify to .the County Auditor of Ramsey .County;
Minnesota (the. "County Auditor") the amount available in the Debt Service Fund to pay principal and
interest due during the ensuing year, and the County Auditor will thereupon reduce the levy collectible
during such year by the amount.so certified.
4.08, Registration of Resolution. The City Clerk is authorized and directed to file a. certified
copy of this resolution with the County Auditor and to -obtain the certificate required by Section 475.63 of
the Act.
Section. 5. Authentication of Transcript.
5101, City Proceedings add Records: The officers of the City are authorized and directed to
prepare andfurnish to.:lhe Purchaser and to. the attorneys. approving. the. Bonds,. certified copies of
proceedings and records of the Cityxelating to the. Bonds. and to.. the :financial condition and affairs. of the
City; and such other certificates; affidavits and transcripts as maybe :required to show the facts within their
knowledge or as shown by the books and . records in their custody and under their control, relating to the
validity and marketability of the Bonds, .and such. -instruments, including .any heretofore furnished, will. be
deemed representations of the City as to the facts stated therein.
5.02. Certification as to Official Statement. The Mayor,. Treasurer and. the City Clerk. are
authorized. and directed to certify that they have examined the Official Statement prepared and circulated in
connection with the .issuance and sale of the Bonds and that to the best of their knowledge and belief the
Official Statement is a complete and accurate representation of the facts and representations made therein as
of the date of the Official Statement.
5.03: Other Certificates. The Mayor and the City.Clerk are hereby authorized and directed to
furnish to the. Purchaser at the: closing such. certificates as are required as .a condition of sale. Unless
litigation shall have been. commenced and be pending questioning the Bonds or the organization of :the
City or incumbency of .its officers,. at the:.closing: the Mayor and the City Clerk shall also execute and
deliver to the. Purchaser a suitable certificate as to absence of material .litigation, and the City Clerk shall
also execute and deliver a certificate as to payment for and delivery of the Bonds.
5.04, Payment of Costs of Issuance, The .City authorizes. the Purchaser to. forward the amount
of .Bond proceeds allocable to the payment of issuance. expenses to K1einBank, :Chaska, ..Ivlinnesota on the
closing date. for further distribution as directed by the.City's municipal advisor, Ehlers & Associates; .Inc.
Section 6. Tax Cov.enanL

6.01. Tax -Exempt Bonds. The City covenants and agrees. with the holders from time to time of
the Bands that it will not take or permit to be taken by any of its officers, employees or agents any action
which would cause the interest onthe Bonds to become subject to taxation under the Internal Revenue. Code
of 1986; as amended (the "Code"); and the Treasury Regulations:promulgated. thereunder, in effect at: the
time of such actions, and .that it will take. or cause its officers, employees or agents to take; all affirmative
action within its power that may be necessary to ensure that such interest will not become subject.to taxation
under the Code and applicable Treasury .Regulations, as presently existing. or .as. hereafter amended and
made applicable to the Bonds.
6.02. No Rebate. Required.
(a) The City will comply with requirements necessary under the Code to establish and
inaintairi the exclusion. from gross 'income ❑fthe interest on the Bonds under Section. 1.03 of the Code,
including without limitation requirements relating to temporary periods for investments, limitations on
amounts invested at. a yield. greater than the yield on the Bonds, :andthe rebate of excess. investment
earnings to the United States, if the Bonds (together with other obligationsreasonably expected .to .be
issued in calendar year201.8..) exceed the:small-issuer exception: amount of.$5,0p0,000.
(b) For purposes of qualifying for the small issuer exception to the federal arbitrage rebate
requirements; the City finds, determines and declares that the aggregate face. amount of all. tax-exempt
bonds (other than private activity bands) issued by the. City (and all subordinate. entities of the .City)
during the calendar year in which the Bonds are issued and outstanding atone time is not reasonably
expected to exceed .$5,000,000, all within the meaning of Section 148(t (4)(D) of the Code.
6.03. Not Private Activity Bonds. The City further covenants not. to. use the proceeds of the
Bonds or the .2018 .Assessable Improvements financed by the Bonds or .to cause Or permit .them orany of
them to be used,. in. such a manner as to. cause the Bonds to be "private activity bonds" Within the meaning
of Sections 1.03 and 141 through 1'50 of the Code.
604, Qualified Tax -Exempt Obligations: In order to qualify the Bonds as "qualified tax-exempt
obligations" within the meaning of Section 265(b)(3). of the Cade, the City makes the. following factual
statements and. representations;
(a.) the Bonds.are not "private activity bonds".as.defined in. Section 141 of the Code;
(b) the. City designates the Bonds as "qualified tax_exempt obligations" for purposes of
Section 265(b)(3) of the Code;
(c) the reasonably anticipated amount of .tax-exempt :.obligations (other than any
private activity bonds that are not qualified 501(c)(3) bonds) which will .be issued by the City (and
all subordinate, entities of the City) during calendar. year 2018 will not exceed $1.0,000,000; and`
(d) not more than $10 000,000 of obligations issued by the City during calendar year
2018.:have .been designated for purposes. of Section 265(b)(3.) of the Code.
6,05, Procedural Requirements. The City will use itg best efforts to comply with ally federal
procedural requirements which. may apply in. order to effectuate the designations made by this :section.

Section 7. Book -Ent S. stem: Limited Obligation of City.
7. 1. DTC. The Bonds will, be initially issued in the forin of a separate single typewritten of
printed fully registered Bond for each of the maturities set forth in Section 1.04 hereof. Upon initial
issuance, the ownership. of each Band will be registered in the registration books kept by Registrar in the
name of Cede .& Co., as. nominee for The Depository Trust. Company, New York, New York, and its .
successors and assigns ("DTC`). Except as provided in this section, all of the outstanding Bonds will be
tegistered in the :registration books: kept by the Registrar in thename of.Code & Co., as nominee of DTC.
7.02, Participants. With respect to Bonds registered in the registration books kept by the
Registrar in the name. of Cede &. Co., as nominee of DTC; the City, the .Registrar and the Paying Agent will
have no responsibility or obligation to. any broker dealers, banks. and other financial .institutions fiom time to
time for which DTC holds Bonds as securities depository (the "Participants") or ta any other person on
behalf of which a. Participant holds an interest in the Bonds, including. but not .limited to any responsibility
or obligation with respect to Q) the accuracy of the records. of DTC, Cede & Co. or any Participant with
respect to %any Ownership interest in the Bonds, (ii) the delivery to any Participant or any other person {other
than a registered owner of Bonds, :as. shown by the .registration books. kept by the. Registrar}., of any notice
with respect to the. -Bonds, including any notice of redemption, or (iii) the payment to any .Participant or any
other person; other than a registered owner of Bonds, of any amount with respect to principal of, premium,
if any, or interest on the Bonds: The City, the Registrar and the. Paying Agent. may treat .and. consider the
person in whose name each Bond is registered. in the registration books kept by the Registrar as. the holder
and absolute owner of such Bond..for the purpose df payment of principal,.premiuin and. interest with respect
to such Bond, for the purpose ofregistering transfers with respect to such Bonds, .and for all other purposes.
The Paying Agent will pay all principal of, premium, if any, and interest on the Bonds only to or on the.
order of the respective registered owners, as shown in the registration books kept by the Registrar, and all
such: payments will be valid and effectual to fully satisfy and discharge the Citys obligations with respect .to
payment of principal of, premium, if any, Or interest: on the Bonds to the extent of the sum or sums so: paid.
No person other than.a registered owner of Bonds, as .shown in the registration books kept by the Registrar,
will .receive a certificated Bona evidencing the obligation: of this resolution, Upon delivery by DTC to the
City Clerk. of a written notice to the effect that DTC has determined to substitute a new. nominee in place of
Cede &'Co., the words. "Cede .&: Co." will.refer to such new. nominee of.DTC; and upon receipt of such a
notice, the City Clerk will promptly deliver a copyof the same to the. Registrar and Paying Agent.
7,03. Representation Letter. The City has heretofore executed and. delivered. to DTC. a Blanket.
Issuer Letter of Representations (the "Representation Letter") which will govern payinent of principal of,
premium, . if any, and. interest on the Bonds and notices with. respect to. the Bonds. . Any.Paying Agent or
Registrar subsequently appointed by the :City with respect to: the Bonds will agree to take all action
necessary for all representations of the City in the Representation Letter with respect to the Registrar and
Paying Agent, respectively, to. be complied with at all times.
7.04. Transfers Outside Book -Entry System. In the event: the City,. by resolution of the City
Council, determines. that it is in the best interests of the persons.. having beneficial interests in the Bonds that
they be able to obtain Bond certificates,: the City will notify DTC, whereupon DTC. will notify the
Participants, .of the availability through DTC of Bond. certificates. In such event the City will .issue, transfer
and exchange Bond certificates. as requested .by DTC and any other .registered. owners .in accordance with
the provisions of this resolution. DTC may determine to discontinue. providing its services with respect to
the Bonds at any time by giving ..notice to the City and discharging its. responsibilities with respect thereto
under applicable law. In such event,.if no successor securities depository is appointed, the City will. issue

7.05. Payments. to Cede & Co. Notwithstanding any other provision .of this resolution.: to the
contrary,. so tong. as a Bond is registered in the name. of Cede & Co., as nominee of DTC, payments with
respect to principal .of,. premium,if any, and interest on the Bond and .all notices with respect to the Bond
will be: made and given, respectively in .the manner provided. in DTUS Operational Arrangements, as set
forth in the Representation .Letter.
Section S. Continuina.Diselosure.
9101. Limited Continuing_ Disclosure. In order to qualify. the Bonds. for limited continuing
disclosure under paragraph (d)(2) of Securities. and Exchange Commission Rules, Section. 15c242
(the "SEC Rule"); the City mattes the following factual statement and representation: As of the date of
delivery of the Bonds, the City will not.:be an obligated. person (as defined in paragraph (f) of the SEC
Rule) with respect to more than $10,000,0.00 in :aggregate amount of outstanding municipal securities,
including the Bonds .and excluding municipal securities that were exempt from the SEC Rule pursuant to
paragraph (0)(1.) thereof.
8.02. Execution of Continuing Disclosure Certificate. "Continuing Disclosure Certificate"
means that certain Continuing Disclosure Certificate executed by the Mayor and City Clerk and dated. the
date.of.issuance and delivery of the Bonds, as originally executed and as it may be amended from time to
time in accordance with the terms thereof.
$.03. City Compliance with Provisions of.Continuing_Disclosure Certificate. The City hereby
covenants and agrees that it will comply with and carry out all of the provisions of the Continuing
Disclosure Certificate. Notwithstanding any other provision of this resolution, failure of the City to comply
with the Continuing Disclosure Certificate is not to be considered an event of default with respect to the
Bonds; however, any Bondholder' may take such actions asmay be necessary. and appropriate, including.
seeking mandate or specific performance by court order, to cause the City to comply with its obligations
under this.section.
9. Defeasance: When all Bonds and all interest thereon Dave been discharged as :provided in
this section, all pledges, covenants and other rights.granted by this. resolution to the.l7oiders of the Bonds
will cease, except that the pledge of the full faith.:and credit of the City for the prompt and fiilI payment of
the principal of and interest on the ..Bonds. well remain in full force and effect. The City may discharge al l
Bonds which are due on any date by depositing with the Registrar on or before that date. a: sum suf cielit for
the payment.thereof in full. If any Bond should.not be paid when due, it may nevertheless.be discharged by
depositing with. the Registrar a sum suffcient..for the payment thereof in full with interest accrued to the
date of such deposit.

Bonds in denominations of $5,000 or any integral multiple thereof of single maturities.
The City Council has designated the issue of Bonds.of which this Bond forms apart as "qualified
tax-exempt obligations" within the meaning of Section 255(b)(3) of the Internal Revenue Code of 1986,
as amended (the "Code") relating to disallowance of interest expense for financial institutions and within
the $10 million limit allowed by the Code for the calendar year of issue.

WHEREAS, The City of Gem Lake Land Use Ordinance has all. of the rules for the land.
use.in the City of Gem. Lake;:
WHEREAS, The City of Gem. Lake needs to update the ordinance from time to time;
NOW, THEREFORE, BE. IT RESOLVED, that The Gateway section of the ordinance be
amended to reflect. changes to section 9.6.5.

Special Events Policy
Whereas, the City of Gem Lake receives request from organizations for special events that are
held in the City of Gem Lake, the following policy is hereby established-
ICY
All special events within the city limits shall. require City Council approval.
Z. Applicants: shall submit a written request explaining their request, including the date,.
time of day, maximum number of attendees, responsible person (name and day time
phone.number); and all streets they are requesting to use duruig the event.
3. The applicant shalt submit a Certificate of Insurance: for General. Liability, in the
maximum amount provided by law, name .the City of Gem Lake .as an additional.
insured for the event. Certificate shall be.stated as follows: "City of. Gem Lake, its
officers, employees and assigns".
4. Applicant's request shall include a statement regarding. their contact with approval (if
required) from all. agencies that may be involved with the event (i.e. White Bear Lake
Police. Department, Ramsey County Public Works, White Bear Lake Fire Department,
etc).
5. Applicant shall provide route notificationto. the residents and businesses in the affected.
neighborhoods by way of temporary signs. along the route; as .directed.bythe City of
Gem Lake, a minimum of 5 days in advance of the event. Spraying paint on roads,
telephone poles: and sidewalks is prohibited -chalk is acceptable. Permanent Toad
signage such as.speed limit signs. and. -directional signs shall not be -covered by event
signage.
5.. Applicant shall be. responsible for Mean -up of all debris; litter, etc. resulting from the
event. Applicant shall remove all temporary signage immediately after the.'event.
7, Ain of the above information must be.submitted to the City of Gem Lake office at
minimum of 30 days prior to the City of Gem Lake city council meeting at which the.
application will be considered. Incomplete applications will not be. considered. The 30
day requirement may be waived by the City Council by petition of the applicant for
special circumstances.
