WHEREAS, the City of Gem Lake provides services as well as dissemination..of public information to, all.
persons in -accordance with United States, State of Minnesota, County of Ramsey and City of Gem Lake laws
and. ordinances;. add:
WHEREAS; said .9ervices. and dissemination o1` information have exceptional costs associated with
providing same to the general public which arebbeyond budgeted costs; and
WHEREAS, the City of Gene Lake wishes to establish. a fair and uniform basis for providing said services.
and information to all persons so requesting.
NOW THEREFORE BE IT RESOLVED that the City Council of the -City of Gem Lake does hereby.
establish and approve. the .rates and fees set forth herein for the use of the City staff in providing said
services and information, said rates to -become effective immediately and to be.reviewed annually unless
otherwise required.

FINANCING UNDERTHE MUNICIP.AL.INDUSTRIA.L DEVELOPMENT ACT ON
BEHALF OF WHITE BEAR LAKE MONTESSORI SCHOOL
WHEREAS, this Council has:received-a, proposal that the City issue. revenue bonds to finance capital improvements; (the
"Project" ).pursuant to Minnesota Statutes, Sections.469.152.to 4G9.165, as amended '(the "Act"), on behalf of Whit4.Bear Lake
Montessori School (the "Borrower" 1, a.Minnesotanonprofit corporation, consisting.ofthe.issuance of up to $:1.,000,000 rev me,
bonds on behalf of the Borrower, and
WHEKREAS,,the Project consists of the acquisition and remodeling of,.:and an approximately 0,900 square footaddition to, an

authorized to - initiate the preparation of a proposed loan agreement and such other documents as may be necessary or appropriate
to the Transaction so that, when. and if this Council gives it'.s: final approval, .the. Transaction :may be carried forward

(a) White Bear Montessori School, Inc., a Minnesota:nonproft corporation.
(the "Borrower") proposes to acquire an existing churchbuilding, remodel the
building for use as.a school and construct an approximately 6,900 'square foot addition
thereto (ft "Project");
(b)' The Borrower has requesied.that the City issue its educationa
development revenue note and lend the poaeeds thereof to the Borrower. to fmance
the.Project;
(c) The City Council has .given preliminary approval to the Project.
NOW, THEREFORE, BE IT RESOLVED by the City Council ofthe City of
Gem Lake, as follows:
1: Authority: The City is, by the Constitution :arid laws of the State of Minnesota,
including Minnesota Statutes,.. Sections-469.1-52 to.46.9,165, as amended (the "Act")
authorized to issue: and sell its revenue obligations for the putpose of financing projects stick
as the Project. The City Council has. held a public hearing on. the Project and an application
for approval has been submitted. to the Minnesota.Commission. of Trade and Ecoiiomic
Deyelopment.
2. Proposal. It is proposed that the -City, for purposes of f naiacitig the Project,
issue its Educational Development Revenue Note (White Bear Montessori Project), Series
1998 (the "Note") in the principal amoun.t.408%000 to Premier Bank (the "Lender") and
loan the proceeds of the Note to the Borrower pursuant to a Loan and Purchase Agreement
dated as of July 1, 1.998(the. "Loan. Agreement"), between the City, the Lender and the
Borrower.
It is proposed. that. the Note be secured:by(i).an assignment of the Loan Agreement
(except for certain rights for payment of fees and reimbursement) pursuant to- a Loan
Agreement.Assignment.dated as of July L. 1998 from the City to the .Lender (the "Loan
Agreement Assignment"% (ii) a. -first mortgage lien bn and security interest. in the Project
pursuant to a.Combination 11 ortgage, Security Agreement and Fixture Financing Statement
dated as of July 1, 1998 from the Borrower -to the Lender (the" Mort -gage") and (iii) ari
assignment of leases and rents of the Project pursuant to a Assignment of Leases and Rents

(a) The issuance of the Note; the loaning of the proceeds. thereof and the
assignment of the Loan Agreement from the City to the Lender as described above are
Authorized to be undertaken by the City under the Act and serve the purposes -6f the
Act.,
*(b) *The. Loan Agreement provides for. paymenta by the Borrower --to the
Lender for the account of the. City of such amounts as will be sufficient to pay the
principal of, premium, if any, and interest on the*Note when due.
-(c.). The Note is ..not to be payable, from -nor charged upon any -funds other
than 'amounts bayable by the Borrower pursuant to the Loan Agreement which
amounts are pledged to the --payment. thereof.. and moneys derived from foreclosure or
other enforcement of the Mortgage, the. Assignment iheiJ oan, Agreement Assignment;
no holder of a Note shall ever -h6V.p the right to compel the exercise of the taking

6. _Approval of Terms „and Sale of Note. The City shall proceed forthwith -to issue
its Note, in an authorized principal. amount not to exceed $980,000; consisting of a single;
fully registered note. -In the form attached to the. Loan Agreement.as Exhibit A, rrtaturirig,
bearing interest, payable iri. the installments and otherwise containing the. provisions set forth
in such fozm, whidh terms and provisions are hereby approved and incorporated in this
Resolution -and made a part hereof.
As further provided herein; :the Note shall be issued and delivered :to the:

7: Execution, Delivery and Endorsement of Note. The Note may, be in
typewritten or:printed form and shall be executed by the manual signatures. of the Mayor and
City Clerk. When so prepared and executed; the Note phall be. delivered to the Lender upon

8. Registration Records. *The -City Cleric, as registrar, shall keep registration
records which -.shall set forth the: name, and registered:address of theregistered owner of the

9, Mutilated, Lost, Stolen or Destroyed Bond. If the Note.is-matilated, lost;
stolen or'destroyed,:the City may execute and deliver to the. registered owner a new Note .of

10. .Transfer of Note: Person Treated as weer. The Note shall be transferable by

notation of such transfer thereon at. the office of the City- Clerk, as Note registrar,
accompanied by a, Written instrument -of transfer in form .satisfactory to the City Clerk duly
executed by the registered owner omits attorney duly authorized in writing: The.Note shall

continue to be'subject to successive transfers in such manner at the option- of the registered
oWner of the Note. No service charge shall.be made for any such transfer,.but.the City Clerk
may require payment of a.sum sufficient to .cover any tax or other governmental charge
payable in connection therewith; *hich the Borrower shall pay under the. Loan Agreement.
The person in whose name. a Note shall -be issued or, if transferred, shall be. registered from
time to time.:shall :be. deemed and regarded as the absolute owner' thereof for all purposes, and
payment of or on. account of the principal of; premium, if any, and- interest on. the Note shal l
be made. only -to or upon the order of such owner thereof, or its attorney duly authorized in
writing, and neither the City, the City Clerk, the Borrower, nor the Lender shall be affected
by any notice to: the contrary. All .such payments shall be valid and. eliectual to satisfy -and
discharge the liability upon the Note to the extent of the sum -or su= so paid. The Note shall
-be initially registered ih the.hame of the Lender.
11. Amendments, Changes and Modifications to Documents and Note: Resolution.
Except. pursuant to the Loan Agreement, the City shall not enter into. or make any change,
modification alteration or-terinination of the Loan Agreement, the Loan Agreement
Assignment or this Resolution,
11 Covenants with Holder: Enforceability, All provisions. of the Note and of this:
Resoludwand ali representations and undertakings bythe City in the Loan. Agreement and
the. Loan Agreement -Assignment are hereby declared *to be covenants between the City and
the Lender and its successor holders of the Note and -shall be enforceable by the .Lender or.
.any such holders, in. a proceeding brought -for that -purpose. ~
.13. Bank Oualif cation. The Note is hereby designated as a qualified tax exempt
obligatign*for purposes of Section 265(b)(3) of the Internal Revenue Code of 1996.
14. Definitions and.interpreiation. Terms not. otherwise defined in this Resolution
but defined in the Loan.Agreement shall have the. same meanings in this Resolution and shall
be interpreted herein as provided therein .err case any prAvision of this Resolution is for any
reason illegal or invalid or inoperable; such-Illegallty .or invalidity .ofinoperability shall not.
affect the re maining.provisions of this Resolution, which'shall.be construed oar enforced as. if
such illegal or invalid or inoperable. provision were not contained herein.
I5. Certifications. The Mayor and City Clerk arnd other officers of the. City are
authorized and directed to prepare`and fu tush to bond counsel, to. the Borrower, to the
Lender and to counsel for. the. Lender, certified copies of all proceedings and records of the
City relating to the Project and the Note, and such other. affidavits and certificates. as maybe
required to show thefacts. appearing from the. books and records in the officers' custody acid
control or as: otherwise knpwn to them; and!-4l such certified copies, certificates and
:affidavits, including any heretofore furnished, shall constitute representations of the City -as

WHEREAS, the City Clerk has presented a(Proposed) Budget and (Proposed) Tax Levy for fiscal year 1990-based upon best
estimates of costs for running the City of -Gem Lake in-1999;'and
WHEREAS, these estimates were reviewed -by the City Council in August, 1098. amended based upon best information received
from outside contractors, and revised iti Decembdi, .1998 and
WHCREAS;*the. CityCouncil did revidw t}ie.(Ptoposed) Budget and Tax Levy for 1999, including a]I revisions thereto as of
the date first written.
NOW THEREFORE BE IT RESOLVED, that the City -Council of the City of ioem Lake does,. by means of this Resolution
No. 98-17, formally adopt the 1999 General Fund Budget of $141;855 and the 1999 Nei Tax Levy Afier:HACA Reduction of
$9.4,00.0 prepared by the City. Clerk; and
BE IT FURTHER RESOLVED that the.Cityi-Clerk is:charged with Certifying said Tax Levy to Ramsey -County Property
Taxation and other sovernnienr bodies for whom this inform. ition'is requited,
