Meeting Minutes
I. Call to Order
Mayor Gretchen Artig-Swomley called the meeting to order at 7:00 p.m.
II. Call of Roll
Mayor Gretchen Artig-Swomley, Councilmembers Len Cacioppo, Ben Johnson, Jim Lindner, and
Joshua Patrick were present. Also present: City Attorney Martin Norder, City Treasurer Tom Kelly,
and City Clerk Barb Suciu.
III. Approve of Agenda and Minutes
A. Approve the Agenda for May 19, 2026, City Council meeting.
A motion was introduced by Councilmember Lindner to accept the May 19, 2026, agenda,
seconded by Councilmember Patrick. Motion carried 5-0.
B. Approve the Minutes of April 21, 2026, City Council meeting.
A motion was introduced by Councilmember Lindner, seconded by Councilmember Patrick to
approve April 21, 2026, City Council Meeting minutes. Motion carried 4-0-1 (Cacioppo
abstained)
IV. Special Presentations/Public Hearings
Erik Johnston, White Bear Police Chief, provided a brief introduction and history of his law
enforcement experience. His priorities as the police chief are community and engaging with the
community and wellness for the officers that serve the department. He stated, “happy cops make
better cops.”
Chief Johnston stated he looks forward to a working relationship with the residents of Gem Lake.

A motion was introduced by Councilmember Lindner, seconded by Councilmember Cacioppo to
approve the Consent Agenda. Motion carried 5-0.

A. Newsletter Updates/Topics/Suggestions
Mayor Artig-Swomley stated the newsletter has a tight turn around for the next newsletter.
The issue is well on the way and will be distributed in the middle of June.

Mayor Artig-Swomley stated we have received two proposals. One from TKDA and SEH, Inc. Both
proposals are for the full report. Staff have requested a proposal from SEH for the sections the City
Engineers are required to do to have a better understanding of the total cost of creating the report.
A motion was introduced by Councilmember Lindner, seconded by Councilmember Cacioppo to
table the resolution awarding the 2050 Comprehensive Plan until June 16, 2026, City Council
meeting. Motion carried 5-0.
C. Little Fox Lane No Parking
Mayor Artig-Swomley stated there was discussion at the April 21, 2026, City Council meeting
regarding the temporary no parking on Little Fox Lane due to the construction of the apartment
building. This is the first of two buildings that will be built on the site, and the parking situation will
not improve.
At the April City Council meeting, staff were directed to survey the residents on Little Fox Lane with
the options of keeping the temporary no parking signs; no parking, Monday through Friday 7 a.m.
to 5 p.m.; or permanent no parking with the option of residents applying for a parking permit for
events. The majority of the residents were in favor of permanent no-parking with the option of
obtaining a parking permit for events.
A motion was introduced by Councilmember Patrick, seconded by Councilmember Johnson to
approve Little Fox Lane as a permanent no parking with the i. Motion carried 5-0.

IX. Community Outreach to other Cities and Government Bodies
Mayor Artig-Swomley stated the city is in the process of finalizing the Water Agreement with
Vadnais Heights. This will be settled when the City Engineer is back from vacation.

Re: Proposal for Planning Services
City of Gem Lake 2050 Comprehensive Plan Update
TKDA Project: P000002.684
Dear Ms. Barb Suciu:
In response to MN Statute 473.864, which requires the City to review and update the Comprehensive Plan at least
once every ten years, we propose to provide Planning services in connection with the 2050 Comprehensive Plan
Update, hereinafter referred to as the Project. Our services will be provided in the manner described in this Proposal,
subject to the terms and conditions set forth in our attached “Engineer – Architect Agreement,” dated July, 2009 .
Hereinafter, the City of Gem Lake is referred to as the CLIENT.
I. PROJECT DESCRIPTION
The CLIENT is seeking professional services to review and update the six (6) required plan elements, which include:
land use, housing, parks and trails, climate, natural systems, and implementation alongside public engagement
throughout the 2050 Comprehensive Plan process. Also included in the update will be the three (3) requested
chapters for the Executive Summary, Introduction – Purpose and Vision, and Community Facilities and Services.
The Metropolitan Council requires consistency with the 2050 Regional Development Guide plans for transportation,
water, and regional parks and trails systems. Housing and Land Use Policies are required to be reviewed and must
be consistent with the Metropolitan Council forecast for managing growth and development for the region.
Project milestones and schedule management will be achieved through coordination with the Planning Commission
and city staff. The final document will meet the statutory requirements of Minnesota’s Comprehensive Planning Law
and be consistent with the Metropolitan Council Imagine 2050 Regional Development Guide.
II. SERVICES TO BE PROVIDED BY TKDA
Based on TKDA’s understanding of the Project, we propose to provide the following Planning services:
A. Project Management and Coordination
1. Project Management
a. Internal team coordination throughout the duration of the project including monthly invoices and
project reports.
b. Meeting agendas and minutes.
c. Monthly staff coordination.
B. Engagement Support
1. Develop a Public Engagement Plan in support of City staff
2. Engage stakeholders including Planning Commission and City Council throughout plan development
(4 assumed)
3. Public engagement support
a. Prepare and facilitate open houses (2 assumed).
1. Open house #1 before vision statement is prepared
2. Open house #2 after draft Comprehensive Plan is prepared
b. Prepare and facilitate pop up events (3 assumed).
c. Online engagement support through City-hosted website.
1. Graphics, display boards, presentations and website content such as online survey &
comment map.

C. Chapter Development
1. Data Collection and Review of Existing Plans, Maps, and Data
a. Review existing plans, available data, planning efforts, and policies, to establish a community
background and identify opportunities and challenges anticipated over the next 20 years and
use allocated forecasts to update Land Use plans and system statements for other changes.
2. Assemble draft of the plan in coordination with the City Engineer: Prepare a draft of the 2050
Comprehensive Plan incorporating components from the following chapters. The following sections are
assumed:
a. Executive Summary
1. Summary of the elements/chapters of the 2050 Comprehensive Plan Update.
b. Introduction, Purpose and Vision
1. Narrative explaining the purpose of the Comprehensive Plan and use of the plan by
the City Council and Planning Commission for decision making and guiding the orderly
physical development of the City.
2. Creation of a vision statement using input from City staff and public engagement.
c. Land Use, including the following minimum requirements:
1. Updating forecast data tables
2. Preparation of (6) maps, including Community Designation; Existing Land Use; Future
Land Use; Available Land, Infill, and Redevelopment; Staged Development; and
Drinking Water Supply Areas (DWSMA)
3. Future Land Use Plan
a. For residential land use categories within the MUSA which allow the use type
of single family detached, at least one additional residential use type must be
permitted.
d. Community Profile
e. Housing, including the following minimum requirements:
1. Preparation of Existing Housing Assessment with top three existing housing needs,
methodology, and tools.
2. Preparation of map of subsidized housing units.
3. Support affordable housing opportunities at required densities to meet the total
allocation of future affordable housing needs.
f. Parks and Trails, including the following minimum requirements:
1. Preparation of (2) maps, including:
a. Regional Parks and Trails System facilities
b. Federal and state recreational lands
c. Existing and proposed local parks, trails, and recreation facilities
g. Climate, including the following minimum requirements:
1. Acknowledge statewide targets for Greenhouse Gas (GHG) reduction.
2. Provide GHG emissions inventory with transportation, energy use, solid
waste, livestock, and agriculture.
a. Provide at least one strategy to reduce emissions per sector
3. Identify vulnerabilities to systems from extreme heat and localized flooding.
a. Provide at least one strategy to address identified vulnerabilities
b. Strategies to improve access, security, and resilient local food systems
4. Evaluate strategies using the Met Council’s GHG Emissions Reduction Tool.
h. Natural Systems, including the following minimum requirements:
1. Preparation of the following four (4) maps:
a. Terrestrial areas and water bodies
b. Protected areas
c. Significant and sensitive terrestrial and water areas
d. Areas of opportunity for protection and improvement.
2. Goals and policies
a. Specific protection and improvement goals

b. Issues the goals address
c. Relation to water resource outcomes
d. List priority areas, strategies, initiatives planned or proposed
i. Community Facilities and Services
1. Narrative describing the intention of the City to provide or contract with other
governmental units in the area such as police, fire protection, road maintenance,
professional assistance, and municipal buildings such as City Hall, public schools,
health facilities, and outdoor recreational facilities.
j. Implementation, including the following minimum requirements:
1. Identify and assist in coordination of local ordinance changes including:
a. Required updates to local surface water management and housing plans
b. Zoning Code and official control updates identified
c. Align the City’s Capital Improvement Plan for parks and open space facilities
D. Comprehensive Plan Document Preparation
1. Prepare draft and final Comprehensive Plan documents in PDF format.
a. One revision is assumed.
2. Jurisdictional review
a. During the required six-month review period, the following agencies will be contacted for
review. Four (4) meetings are assumed.
1. Adjacent Communities: St. Paul – Source Water related; Vadnais Heights, White
Bear Lake, White Bear Township, Ramsey County
2. School Districts: 624 – White Bear Lake
3. Watershed Management Organizations: Ramsey Washington Metro and Vadnais
Lake Area Watershed Management Organizations
4. Other Agencies: Ramsey County (Regional Park Implementing Agency); MnDOT and
MnDNR.
E. Comprehensive Plan Adoption
1. Public hearing and plan adoption
a. Engage the Planning Commission as needed
b. One (1) City Council meeting is assumed
2. Submit plan to Metropolitan Council
a. One (1) revision is assumed
3. Authorize plan
a. Engage the Planning Commission as needed
b. One (1) City Council meeting is assumed
III. ADDITIONAL SERVICES
If authorized in writing by the CLIENT, we will furnish or obtain from others Additional Services of the types listed
below which are not considered as basic services under this Proposal. Additional Services shall be billable on an
Hourly Time and Materials basis, and such billings shall be over and above any maximum amounts set forth in this
Proposal.
A. Optional Task: Additional In-Person Engagement or mailings may be provided as needed.
B. Optional Task: Prepare Planning Commission-Led Approach with City staff, City Council, and public
participation in plan development to ensure the plan reflects the City Goals. The recommended structure for
the Planning Commission-Led Approach has the Commission reviewing plan updates during its regularly
scheduled monthly meetings, which are open to the public. The Commission will lead the update with Board
support. Feedback and meeting outcomes will be shared with the Board during its regular meetings. Eight (8)
facilitated meetings and two (2) Joint Meetings are assumed under the existing “Engineer – Architect
Agreement”. The existing plan and required elements will be reviewed and updated through consensus built by
the Planning Commission at the conclusion of each meeting with a recap to start the subsequent meeting to
confirm alignment on goals and policies. Below is a sample meeting schedule:
i. Meeting One: Kick Off + Issues and Opportunities
ii. Meeting Two: Vision, Goals and Policies + Review Existing Plan
iii. Meeting Three: Land Use + Housing + Coordination on Transportation

viii. Meeting Eight: Community Facilities and Services + Plan Implementation
ix. Meeting Nine: Draft Plan Review
x. Meeting Ten: Revisions, Final Review and Comments
C. Optional Task: Sign, Subdivision, and Zoning Code updates reflected in Implementation offered as an Additional
Service to improve and streamline ordinances.
IV. CLIENT RESPONSIBILITIES
These responsibilities include but are not limited to the following:
A. Designate one individual to act as a representative with respect to the work to be performed, and such person
shall have complete authority to transmit instructions, receive information, interpret and define policies, and
make decisions with respect to critical elements pertinent to the Project. This individual shall be identified in the
signature block area of this Proposal.
B. Provide TKDA with access to the site as required to perform services listed in SECTION II.
C. Provide reviews of materials furnished by TKDA in a reasonable and prompt manner so the Project schedule
can be maintained.
V. PERIOD OF SERVICE
We would expect to start our services promptly upon receipt of your written acceptance of this Proposal and to
complete SECTION II services by September 30, 2028. Our detailed schedule is attached.
VI. COMPENSATION
Compensation to TKDA for services provided as described in SECTION II of this Proposal shall be on an Hourly
Time and Materials basis in an amount not to exceed the estimated amount of $59,000.00. Our detailed Project
Fee Estimate is attached. Payment shall be made in accordance with Article 3 of the attached General Provisions.
The level of effort required to accomplish SECTION II services can be affected by factors which are beyond our
control. Therefore, if it appears at any time charges for services rendered under SECTION II will exceed the above,
we agree we will not perform services or incur costs which will result in billings in excess of such amount until we
have been advised by you additional funds are available and our work can proceed.
VII. CONTRACTUAL INTENT
We thank you for the opportunity to submit this Proposal. We agree this letter and its attachments constitute a
contract between us upon a signed copy returned to us. This Proposal will be open for acceptance for 30 days,
unless the provisions herein are changed by us in writing prior to that time. Please feel free to contact Andrew

General Provisions of Engineer-Architect Agreement
TKDA GENERAL PROVISIONS JULY 2009 (E/O)
ARTICLE 1. GENERAL
These General Provisions supplement and become part of the Agreement between Toltz,
King, Duvall, Anderson and Associates, Incorporated, a Minnesota Corporation,
hereinafter referred to as TKDA, and the other Party to the Agreement, hereinafter
referred to as CLIENT, wherein the CLIENT engages TKDA to provide certain
Engineering, Architectural, and/or Planning services. Either Party to this Agreement may
be referred to as a “Party” or collectively as “Parties.”
As used herein, the term “Agreement” refers to (1) TKDA’s original Engagement Letter or
proposal (the “Engagement Letter”) which forms the basis for the Agreement; (2) these
General Provisions, and (3) any attached Exhibits, as if they were part of one and the
same document. With respect to the order of precedence, any attached Exhibits shall
govern over these General Provisions and the Engagement Letter shall govern over any
attached Exhibits and these General Provisions.
ARTICLE 2. PERIOD OF SERVICE
The term of this Agreement for the performance of services hereunder shall be as set
forth in TKDA’s Engagement Letter. Any lump sum or estimated maximum payment
amounts set forth in the Engagement Letter have been established in anticipation of the
orderly and continuous progress of the project in accordance with the schedule set forth
in the Engagement Letter or any Exhibits attached thereto.
ARTICLE 3. COMPENSATION TO TKDA
A. Compensation to TKDA for services shall be as designated in the Engagement
Letter. The CLIENT shall make monthly payments to TKDA within 30 days of date of
invoice.
B. The CLIENT will pay the balance stated on the invoice unless CLIENT notifies
TKDA in writing of the particular item that is alleged to be incorrect within 15 days from
the date of invoice, in which case all undisputed items shall be paid and amounts in
dispute shall become due upon an adjudicated resolution or upon agreement of the
parties. All accounts unpaid after 30 days from the date of original invoice shall be
subject to a service charge of 1-1/2% per month, or the maximum amount authorized by
law, whichever is less. TKDA shall be entitled to recover all reasonable costs and
disbursements, including reasonable attorneys’ fees, incurred in connection with
collecting amounts owed by CLIENT. In addition, TKDA may, after giving seven days’
written notice to the CLIENT, suspend services under this Agreement until TKDA has
been paid in full for all amounts then due for services, expenses and charges. CLIENT
agrees that it shall waive any and all claims against TKDA and that TKDA shall not be
responsible for any claims arising from suspension of services hereunder.
ARTICLE 4. EXTRA WORK
If TKDA is of the opinion that any work it has been directed to perform is beyond the
Scope of this Agreement, or that the level of effort required exceeds that estimated due
to changed conditions and thereby constitutes extra work, it shall notify the CLIENT of
that fact. Upon written notification to CLIENT, TKDA shall be entitled to additional
compensation for same, and to an extension of time for completion absent timely written
objection by CLIENT to additional services.
ARTICLE 5. ABANDONMENT, CHANGE OF PLAN AND TERMINATION
Either Party has the right to terminate this Agreement upon seven days’ written notice for
convenience of either CLIENT or TKDA. In addition, the CLIENT may at any time reduce
the scope of this Agreement. Such reduction in scope shall be set forth in a written
notice from the CLIENT to TKDA. In the event of unresolved dispute over change in
scope or changed conditions, this Agreement may also be terminated upon seven days’
written notice as provided above.
In the event of a termination or reduction in scope of the project work, TKDA shall be
paid for the work performed and expenses incurred on the project work and for any
completed and abandoned work for which payment has not been made, computed in
accordance with the provisions of the Engagement Letter and payment of a reasonable
amount for services and expenses directly attributable to termination, both before and
after the effective date of termination, such as reassignment of personnel, costs of
terminating contracts with TKDA’s subconsultants, costs of producing copies of file
materials and other related close-out costs.
ARTICLE 6. DISPOSITION OF PLANS, REPORTS AND OTHER DATA
All documents, including reports, drawings, calculations, specifications, CADD materials,
computer software or hardware or other work product prepared by TKDA pursuant to this
Agreement are TKDA’s Instruments of Service and TKDA retains all ownership interests
in said Instruments of Service, including copyrights. Any use or reuse of such
Instruments of Service, except for the specific purpose intended, by the CLIENT or
others without written consent, verification, or adaptation by TKDA will be at the
CLIENT’s risk and full legal responsibility. In this regard, the CLIENT will indemnify and
hold harmless TKDA from any and all suits or claims of third parties arising out of such
use or reuse which is not specifically verified, adapted, or authorized by TKDA.
Copies of documents that may be relied upon by the CLIENT are limited to the printed
copies (also known as hard copies) that are signed or sealed by TKDA’s Engineer or
Architect. Files in electronic format furnished to the CLIENT are only for convenience of
the CLIENT. Any conclusion or information obtained or derived from such electronic files
will be at the user’s sole risk. If there is a discrepancy between the electronic files and
the hard copies, the hard copies govern. In the event electronic copies of documents are
made available to the CLIENT, the CLIENT acknowledges that the useful life of
electronic media may be limited because of deterioration of the media, obsolescence of
the computer hardware and/or software systems or other causes outside of TKDA’s
control. Therefore, TKDA makes no representation that such media will be fully usable
beyond 30 days from date of delivery to CLIENT.
If requested, at the time of completion or termination of the work, TKDA shall make
available to the CLIENT at CLIENT’s expense copies of the Instruments of Service upon
(i) payment of amounts due and owing for work performed and expenses incurred under
this Agreement, and (ii) fulfillment of the CLIENT’s obligations under this Agreement.
ARTICLE 7. CLIENT’S ACCEPTANCE BY PURCHASE ORDER
In lieu of or in addition to execution of the Engagement Letter, the CLIENT may authorize
TKDA to commence services by issuing a purchase order by a duly authorized
representative. Such authority to commence services or purchase order shall
incorporate by reference the terms and conditions of this Agreement. In the event the
terms and conditions of this Agreement conflict with those contained in the CLIENT’s
purchase order, the terms and conditions of this Agreement shall govern.
Notwithstanding any purchase order provisions to the contrary, no warranties, express or
implied, are made by TKDA. In order to implement the intent of Parties to this
Agreement, the Parties agree that the Engagement Letter, these General Provisions, and
any Exhibits constitute the entire Agreement between them. The Parties further agree
that the preprinted terms and conditions of any CLIENT-generated purchase order issued
to request work pursuant to this Agreement will not apply to the work, regardless of
whether TKDA executes the purchase order in acceptance of the work.
ARTICLE 8. CLIENT’S RESPONSIBILITIES
A. To permit TKDA to perform the services required hereunder, the CLIENT shall
supply, in proper time and sequence, the following at no expense to TKDA:
1. All necessary information regarding its requirements as necessary for orderly
progress of the work.
2. Designate in writing a person to act as CLIENT’s representative with respect to
the services to be rendered under this Agreement. Such person shall have
authority to transmit instructions, receive instructions, receive information, and
interpret and define CLIENT’s policies with respect to TKDA’s services.
3. Furnish, as required for performance of TKDA’s services (except to the extent
provided otherwise in the Engagement Letter or any Exhibits attached thereto),
data prepared by or services of others, including without limitation, soil borings,
probing and subsurface explorations, hydrographic and geohydrologic surveys,
laboratory tests and inspections of samples, materials and equipment;
appropriate professional interpretations of all of the foregoing; environmental
assessment and impact statements; property, boundary, easement,
right-of-way, topographic and utility surveys; property descriptions; zoning,
deed and other land use restriction; and other special data not covered in the
Engagement Letter or any Exhibits attached thereto.
4. Provide access to, and make all provisions for TKDA to enter upon publicly or
privately owned property as required to perform the work.
5. Act as liaison with other agencies or involved parties to carry out necessary
coordination and negotiations; furnish approvals and permits from all
governmental authorities having jurisdiction over the project and such
approvals and consents from others as may be necessary for completion of the
project.
6. Examine all reports, sketches, drawings, specifications and other documents
prepared and presented by TKDA, obtain advice of an attorney, insurance
counselor or others as CLIENT deems necessary for such examination, and
render in writing decisions pertaining thereto within a reasonable time so as not
to delay the services of TKDA.
7. Give prompt written notice to TKDA whenever the CLIENT observes or
otherwise becomes aware of any development that affects the scope or timing
of TKDA’s services or any defect in the work of Construction Contractor(s),
subconsultants or TKDA.
8. Initiate action, where appropriate, to identify and investigate the nature and
extent of asbestos, petroleum and/or pollution in the project and to abate
and/or remove the same as may be required by federal, state or local statute,
ordinance, code, rule, or regulation now existing or hereinafter enacted or
amended. For purposes of this Agreement, “pollution” and “pollutant” shall
mean any solid, liquid, gaseous or thermal irritant or contaminant, including
petroleum, smoke, vapor, soot, alkalis, chemicals and hazardous or toxic
waste. Hazardous Materials means any substance, waste, pollutant or
contaminant (including petroleum) now or hereafter included within such terms
under any federal, state or local statute, ordinance, code, rule or regulation
now existing or hereinafter enacted or amended. Waste further includes
materials to be recycled, reconditioned or reclaimed. CLIENT further agrees it

Dear Mayor Artig-Swomley:
We are pleased to submit this letter proposal for assisting the City with the preparation of the City’s 2050
Comprehensive Plan Update as directed by the Metropolitan Council. The updated plan must be
submitted to the Metropolitan Council by December 31, 2028.
This update will provide the City with a guidance document for future planning within the City in
accordance with the Met Council’s guidelines. This letter supplements the Agreement for Professional
Services between the City of Gem Lake, Minnesota (Owner), and Short Elliott Hendrickson Inc. (SEH®)
(Consultant), for providing professional services.
SCOPE OF WORK
We understand the project to consist of updating the necessary sections in the current comprehensive
plan titled City of Gem Lake Comprehensive Plan, March 2022. Additionally, the goal of the project will be
to update the plan to meet the requirements and projections outlined in the City’s System Statement
provided by the Metropolitan Council.
The final updated plan will consist of the following chapters/elements:

Based on the discussions with both the City Council and Planning Commission, our scope for this
proposal includes the following work tasks:
Task 1: Project Management, Administration, and Meetings
SEH project manager, Mark Nolan, AICP, will work with the SEH team to complete all aspects of this
project to the City of Gem Lake’s satisfaction. Mark will be responsible for tracking the budget and
progress of the Comprehensive Plan, as well as providing quality checks throughout the project duration.
SEH has included virtual bi-weekly virtual half-hour conference calls with the City’s project manager for
the duration of the project. In addition, our scope includes up to three (3) meetings with members of the
City Council and/or Planning Commission at key points in the project.
Task 1 Deliverables: Meeting agendas and minutes, monthly invoices, progress reports
Task 2: Engagement Support
SEH understands that the City wishes for the Gem Lake Planning Commission and City staff to lead
engagement efforts for the Comprehensive Plan Update, with support from SEH. Engagement activities
are assumed to include two (2) community open houses, up to three (3) pop-up events, and online
engagement (City-hosted website with an online survey and comment map). SEH will provide materials,
graphics and presentations to the City as well as an online survey and comment map. In-person
engagement will be provided as needed.
Task 2 Deliverables: Display boards, PowerPoint presentations, website content (including an
online survey and comment map)
Task 3: Chapter Development
SEH will prepare the Plan chapters as outlined above, with the following level of effort for the content of
each chapter:
1. Executive Summary
SEH will prepare this chapter, which will incorporate components from all other chapters.
2. Introduction, Purpose and Vision
SEH will prepare this chapter, with input from City staff and engagement for the creation of a
vision statement.
3. Community Profile
SEH will prepare this chapter, including demographics, trends, etc. (see Task 2 above).
4. Land Use
SEH will prepare this chapter, which will include forecasts (from the Metropolitan Council),
existing and future land use, density, etc.
5. Transportation
SEH assemble this chapter, incorporating work done by the City Engineer (fees not included in
this proposal).
6. Water Resources
SEH assemble this chapter (including Wastewater, Water Supply and Surface Water),
incorporating work done by the City Engineer (fees not included in this proposal).

element and supportive maps, photos and graphics. Using staff, City Council and Planning Commission
input, we will refine the draft Plan into final Comprehensive Plan for adoption.
Task 4 Deliverables: Draft and final Comprehensive Plan documents in PDF format.
Task 5: Comprehensive Plan Adoption
SEH will assist City staff in presenting the final plan to the Planning Commission, with City Council
members present. This will include attending one Planning Commission meeting, as well as providing a
digital summary (pdf or PowerPoint) of the plan for presentation purposes.
Task 4 Deliverables: Final presentation to Planning Commission/City Council.
COMPENSATION
Based on our understanding of the project and scope of services, SEH proposes to complete this work for
$78,000. SEH will not exceed this amount without prior authorization from the City. Compensation for the
services will be made on an hourly basis plus cost of reimbursable expenses.

will, where appropriate, endeavor to identify, remove and/or encapsulate
asbestos products, petroleum, pollutants or Hazardous Materials located in the
project area prior to accomplishment by TKDA of any work on the project.
If TKDA encounters, or reasonably suspects that it has encountered, asbestos
or pollution in the project, TKDA shall cease activity on the project and
promptly notify the CLIENT, who shall proceed as set forth above. Unless
otherwise specifically provided in the Engagement Letter, the services to be
provided by TKDA do not include identification of asbestos or pollution, and
TKDA has no duty to identify or attempt to identify the same within the area of
the project.
With respect to the foregoing, CLIENT acknowledges and agrees that TKDA is
not a user, handler, generator, operator, treater, storer, transporter or disposer
of asbestos, petroleum, Pollutant, or other Hazardous Materials which may be
encountered by TKDA on the project. CLIENT agrees to hold harmless,
indemnify and defend TKDA and TKDA’s officers, subconsultant(s),
subcontractor(s), employees and agents from and against any and all claims,
lawsuits, damages, liability and costs, including, but not limited to, costs of
defense, arising out of or in any way connected with the presence, discharge,
release, or escape of asbestos, petroleum or other Hazardous Materials or
waste on the site. This indemnification is intended to apply only to existing
conditions present at the site prior to TKDA’s commencement of services, and
does not apply to conditions that arise subsequent to TKDA’s commencement
of services that are caused or created by TKDA.
9. Provide such accounting, independent cost estimating and insurance
counseling services as may be required for the project, such legal services as
the CLIENT may require or TKDA may reasonably request with regard to legal
issues pertaining to the project including any that may be raised by
contractor(s), such auditing service as CLIENT may require to ascertain how or
for what purpose any contractor has used the monies paid under the
construction contract, and such inspection services as CLIENT may require to
ascertain that contractor(s) are complying with any law, rule, regulation,
ordinance, code or order applicable to their furnishing and performing the work.
10. Provide “record” drawings and specifications for all existing physical plants or
facilities which are pertinent to the project.
11. Act promptly to approve all pay requests, Supplemental Agreements, or
requests for information by TKDA as set forth herein.
12. Require all Utilities with facilities in the CLIENT’s right-of-way to locate and
mark said utilities upon request, relocate and/or protect said utilities as
determined necessary to accommodate work of the project, submit a schedule
of the necessary relocation/protection activities to the CLIENT for review and
comply with agreed upon schedule.
13. Provide other services, materials, or data as may be set forth in the
Engagement Letter or any Exhibits attached thereto.
B. TKDA shall be entitled to rely on the accuracy and completeness of information
furnished by the CLIENT. If TKDA finds that any information furnished by the CLIENT is
in error or is inadequate for its purpose, TKDA shall promptly notify the CLIENT.
ARTICLE 9. OPINIONS OF COST
Opinions of probable project cost, construction cost, financial evaluations, feasibility
studies, economic analyses of alternate solutions and utilitarian considerations of
operations end maintenance costs provided for in the Engagement Letter or any Exhibits
attached thereto, are made on the basis of TKDA’s experience and qualifications and
represent TKDA’s judgment as an experienced and qualified design professional. It is
recognized that TKDA does not have control over the cost of labor, material, equipment
or services furnished by others or over market conditions or contractors’ methods of
determining their prices, and that any evaluation of any facility to be constructed, or
acquired, or work to be performed on the basis of TKDA’s cost opinions, must of
necessity, be speculative until completion of construction or acquisition. Accordingly,
TKDA does not guarantee that proposals, bids or actual costs will not substantially vary
from opinions, evaluations or studies submitted by TKDA to CLIENT hereunder. TKDA
assumes no responsibility for the accuracy of opinions of probable project costs or
construction costs, and provides these estimates for the sole convenience of the CLIENT
for the purposes of general project budgeting.
ARTICLE 10. CONSTRUCTION PHASE SERVICES
CLIENT acknowledges that it is customary for the Architect or Engineer who is
responsible for the preparation and furnishing of Drawings and Specifications and other
construction-related documents to be employed to provide professional services during
the Construction Phases of the project, (1) to interpret and clarify the documentation so
furnished and to modify the same as circumstances revealed during bidding and
construction may dictate, (2) in connection with acceptance of substitute of or-equal
items of materials and equipment proposed by bidders and contractor(s), (3) in
connection with review of shop drawings and sample submittals, and (4) as a result of
and in response to TKDA’s detecting in advance of performance of affected work
inconsistencies or irregularities in such documentation. CLIENT agrees that if TKDA is
not employed to provide such professional services during the Construction Phases of
the project, TKDA will not be responsible for, and CLIENT shall indemnify and hold TKDA
(and TKDA’s professional associates and consultants) harmless from, all claims,
damages, losses and expenses including attorneys’ fees arising out of, or resulting from,
any interpretation, clarification, substitution acceptance, shop drawing or sample
approval or modification of such documentation issued or carried out by CLIENT or
others. Nothing contained in this paragraph shall be construed to release TKDA (or
TKDA’s professional associates or consultants) from liability for failure to perform in
accordance with professional standards any duty or responsibility which TKDA has
undertaken or assumed under this Agreement.
ARTICLE 11. INSURANCE
TKDA shall procure and maintain insurance for protection from claims against it under
workers’ compensation acts, claims for damages because of bodily injury including
personal injury, sickness or disease or death of any and all employees, and from claims
against it for damages because of injury to or destruction of property.
Also, TKDA shall procure and maintain professional liability insurance for protection from
claims arising out of performance of professional services caused by any negligent act,
error, or omission for which TKDA is legally liable.
Certificates of insurance will be provided to the CLIENT upon request.
ARTICLE 12. ASSIGNMENT
This Agreement, being intended to secure the personal service of the individuals
employed by and through whom TKDA performs work hereunder, shall not be assigned,
sublet or transferred without the written consent of TKDA and the CLIENT. Any
assignment of the Agreement, or claims arising under or relating to the Agreement
without the written consent of both Parties shall be null and void.
ARTICLE 13. CONTROLLING LAW
This Agreement is to be governed by the laws of the State of Minnesota.
ARTICLE 14. SEVERABILITY
Any provision or portion thereof in this Agreement which is held to be void or
unenforceable under any law shall be deemed stricken, and all remaining provisions shall
continue to be valid and binding between CLIENT and TKDA.
ARTICLE 15. WAIVER OF CONSEQUENTIAL DAMAGES
CLIENT and TKDA waive consequential damages for claims, disputes or other matters in
question arising out of or relating to TKDA’s services under this Agreement. This mutual
waiver of consequential damages applies and survives termination of this Agreement.
ARTICLE 16. LIMITATION OF LIABILITY
In recognition of the relative risks of CLIENT and TKDA relating to the work, CLIENT
agrees, to the extent permitted by law, that TKDA’s liability to the CLIENT or anyone
claiming through CLIENT for any and all claims, losses, costs, or damages whatsoever
arising out of, resulting from or in any way related to the Project or the Agreement from
any cause or causes including, but not limited to, the negligence, professional errors or
omissions, strict liability or breach of contract, or warranty express or implied, of TKDA or
its officers, directors, partners, employees, agents, or consultants, or any of them, shall
not exceed the total insurance proceeds paid or available on behalf of or to TKDA by its
insurers in settlement or satisfaction of CLIENT’s claims against TKDA under the terms
and conditions of TKDA’s insurance policies applicable thereto.
ARTICLE 17. CONFLICT RESOLUTION
In an effort to resolve any conflicts that arise during the design or construction of the
project or following the completion of the project, the CLIENT and TKDA agree that all
disputes between them arising out of or relating to this Agreement shall be submitted to
nonbinding mediation as a precondition to any formal legal proceedings.
ARTICLE 18. CONFIDENTIALITY
TKDA agrees to keep confidential and not to disclose to any person or entity, other than
TKDA’s employees, subconsultants and the general contractor and subcontractors, if
appropriate, any data and information furnished to TKDA and marked CONFIDENTIAL
by the CLIENT. These provisions shall not apply to information in whatever form that
comes into the public domain, nor shall it restrict TKDA from giving notices required by
law or complying with an order to provide information or data when such order is issued
by a court, administrative agency or other authority with proper jurisdiction, or if it is
reasonably necessary for TKDA to complete services under the Agreement or defend
itself from any suit or claim.
ARTICLE 19. UNDERGROUND UTILITIES
If authorized in the Engagement Letter, TKDA and/or its authorized subconsultant will
conduct the research that in its professional opinion is necessary and will prepare a plan
indicating the locations intended for subsurface penetrations with respect to assumed
locations of underground improvements. Such services by TKDA or its subconsultant will
be performed in a manner consistent with the ordinary standard of care. The CLIENT
recognizes that the research may not identify all underground improvements and that the
information upon which TKDA relies may contain errors or may not be complete.
The CLIENT agrees, to the fullest extent permitted by law, to waive all claims and causes
of action against TKDA and anyone for whom TKDA may be legally liable, for claims by
CLIENT or its contractors for delay or additional compensation relating to the
identification, removal, relocation, or restoration of utilities, or damages to underground
improvements resulting from subsurface penetration locations established by TKDA.

We are pleased to submit this letter proposal for assisting the City with the preparation of the City’s 2050
Comprehensive Plan Update as directed by the Metropolitan Council. The updated plan must be
submitted to the Metropolitan Council by December 31, 2028.
This update will provide the City with a guidance document for future planning within the City in
accordance with the Met Council’s guidelines. This letter supplements the Agreement for Professional
Services between the City of Gem Lake, Minnesota (Owner), and Short Elliott Hendrickson Inc. (SEH®)
(Consultant), for providing professional services.
SCOPE OF WORK
We understand the project to consist of updating the “technical” chapters of the 2050 Comprehensive
Plan. Additionally, the goal of the project will be to update these chapters to meet the requirements and
projections outlined in the City’s System Statement provided by the Metropolitan Council. Technical
chapters include:
• Transportation
• Water Resources
o Wastewater
o Water Supply
o Surface Water Management
• Implementation (SEH scope will focus on implementation actions for the above technical
chapters)
Based on the discussions with both the City Council and Planning Commission, our scope for this
proposal includes the following work tasks:
Task 1: Project Management, Administration, and Meetings
SEH project manager, Mark Nolan, AICP, will work with the SEH team to complete all aspects of this
project to the City of Gem Lake’s satisfaction. Mark will be responsible for tracking the budget and
progress of the Comprehensive Plan Chapter Update, as well as providing quality checks throughout the
project duration. SEH has included virtual bi-weekly virtual half-hour conference calls with the City’s
project manager for the duration of the project.

Task 2: Existing Conditions Analysis
In order to prepare for chapter updates and gain an understanding of existing and future conditions, SEH
will conduct an existing conditions analysis, working with City staff and consultants. These will include
review and assessment of base Traffic Analysis Zones (TAZs), updating base data for the technical
chapters, and coordination with key agencies.
Task 2 Deliverables: TAZ review summary, base data updates
Task 3: Chapter Content Development
SEH will prepare content for the Plan technical chapters as outlined above, including the required
elements in Gem Lake’s System Statement and 2050 Comprehensive Plan Minimum Required Checklilst.
1. Transportation
Required elements for the Transportation plan element will at minimum include existing and
future roadways, transit, biking, pedestrian, freight and TAZs.
2. Water Resources
Required elements for the Water Resources plan element will at minimum include existing and
future needs for wastewater (sewered forecasts, private treatment system and SSTS
requirements), water supply (source water protection, wells) and surface water.
3. Implementation
Implementation action items will be identified for transportation and water resources.
Task 3 Deliverables: Plan chapter content, including narratives, maps, tables and graphics
COMPENSATION
Based on our understanding of the project and scope of services, SEH proposes to complete this work for
$99,208. SEH will not exceed this amount without prior authorization from the City. Compensation for the
services will be made on an hourly basis plus cost of reimbursable expenses.

The Owner/Prime Contractor will provide access to both ends of the line, traffic control, and point repairs if needed.
Installation can be completed after point repairs and access to both ends are completed.

1. There will be a charge for each additional mobilization , for cleaning, above the 1 anticipated mobilization. The
additional mobilization cost will be provided in a Change Order request and must be approved by the GC, in writing,

4. Insituform submits this bid based on the plans and specifications furnished to it. Insituform’s bid is expressly
conditioned upon the negotiation of terms and conditions fair to Insituform. Insituform shall have no obligation to
perform and shall not be bound by its bid until the execution of a mutually agreeable written contract.

Proposal Exclusions
Not included in the prices stated in this estimate are costs associated with the items listed below. These items, if needed or
found to be applicable, would be provided by Insituform Technologies USA, LLC. at your additional cost; or would be
furnished by others, at your direction, at no cost to Insituform Technologies USA, LLC.:
a) Clear access to sewer through new or existing manhole, manhole frame and chimney/corbel removed if necessary.
b) If preliminary video inspection of the pipe interior indicates excessive damage, or other extra-ordinary condition, which
will require excavation, or other extraordinary remedy, to prepare the pipe for installation of the Insitutube, then those
services will be provided by the Prime contractor or Owner. This will include excessive roots, excessive debris and
protruding taps.
c) Additional cleaning and televising mobilizations and/or setups due to point repairs, obstruction removals, or delays out of
our control will be an additional charge.
d) Protruding tap removal unless specified
e) Water from fire hydrants within a convenient distance from each cleaning.
f) Legal dumpsite for debris resulting from pipe cleaning.
g) If any hazardous or toxic materials are encountered during the project, the Owner /Prime Contractor will be responsible
for the removal and disposal of the materials.
h) Project permits, special insurance, and/or local licenses.
i) Weekend/Holiday working hours.
j) State and local sales and/or use taxes on the value of the project. If you are exempt, please submit the appropriate
documentation.
k) Additional premiums for special insurance coverage(s) demanded by you or other parties particular to this project.
l) Performance and Payment Bond not included. This is available upon request, but if required please add 2.5% to the total
project cost.

Proposal Terms and Conditions
a) Limits of Liability. In consideration of Insituform Technologies USA, LLC.’s agreement to maintain no less than
$5,000,000 of comprehensive general liability insurance in the form required by the Contract, Insituform Technologies
USA, LLC.’s liability to the Owner for any matter covered by such insurance will be limited to the extent of such
insurance and the Owner will indemnify and hold Insituform Technologies USA, LLC. harmless from any third-party
claims covered by such insurance to the extent such claims exceed the limits of such insurance. Neither party shall be
liable to the other for consequential damage relating to the contract. In case of conflict between this provision and any
other provision in the Contract as ultimately executed, this provision shall govern and prevail.
b) LIMITED WARRANTY. IN LIEU OF ALL OTHER EXPRESSED, IMPLIED AND/OR STATUTORY.
WARRANTIES, INCLUDING WARRANTIES OF MERCHANTABILITY AND FITNESS FOR A PARTICULAR
PURPOSE, CONTRACTOR AGREES TO CORRECT ANY DEFECTS IN THE MATERIALS OR SERVICES
PROVIDED BY CONTRACTOR WHICH ARE BROUGHT TO THE ATTENTION OF CONTRACTOR WITHIN ONE
YEAR FOLLOWING COMPLETION OF CONTRACTOR'S WORK, PROVIDED OWNER AFFORDS
CONTRACTOR SUITABLE ACCESS AND WORKING CONDITIONS TO ACCOMPLISH SUCH CORRECTION.
c) MUTUAL RELEASE OF CONSEQUENTIAL DAMAGES. Neither party shall be liable to the other for consequential
damages relating to or arising out of the Contract.
d) PROPOSAL SUBJECT TO NEGOTIATION OF OTHER STANDARD TERMS OF AGREEMENT. This proposal is
subject to the agreement of the parties on other terms and conditions as are customary in contracts of this nature.
e) Quantities are estimated. Unit prices apply for actual invoices and payment.
f) Payments are due at net within thirty days of invoice. Final payment is due within thirty days of completion of the project.
g) Monthly progress partial payments may be requested for the value of work in progress or completed, including materials
secured and on site.
h) Prices stated are in effect thirty days from the date of this proposal. The acceptance period may be extended at the sole
option of Insituform Technologies USA, Inc.
i) If, during the performance of this contract, any cost price determining factor considered by Subcontractor in determining
the contract price significantly increases, through no fault of Subcontractor, the price of this contract shall be equitably
adjusted by an amount reasonably necessary to cover any such significant price increases. As used herein, a significant price
increase shall mean any increase in price exceeding 5% experienced by Subcontractor from the date of the contract signing.
Price increases resulting from increased costs of materials, labor, fuel, freight, and other cost inputs shall be verified, in
writing, by Subcontractor’s Vice President of Procurement. Due to the confidential nature of Subcontractor’s pricing from
Vendors, verification shall consist of a statement of percentage change in cost from the date of Subcontractor’s estimate
through the date of the change order request. Where the delivery of any material is delayed, through no fault of Subcontracto r
because of the shortage or unavailability of any raw materials, including resin, Subcontractor shall not be liable for any
additional costs or damages associated with such delay(s). Nothing contained in this clause shall preclude Subcontractor
from entitlement to more than one equitable adjustment if its costs continue to significantly (as defined above) rise during
the duration of the project.
j) Conflicts. In case of conflict between the provision of the aforesaid paragraphs and any other provision in the Contract as
ultimately executed the provisions as set forth above shall govern and prevail.

SECTION 10; MAINTENANCE OF SERVICE PIPE
THE CITY COUNCIL OF THE CITY OF GEM LAKE ORDAINS:
Section 10. Maintenance of Service Pipe. It shall be the responsibility of the consumer or
owner to maintain the service pipe from the City watermain in the street/boulevard, to the meter
inside the house, including the curb box. curb box into the house or building. In the case of
failure upon the part of any consumer or owner to repair any leak occurring in the pipe within
twenty-four (24) hours after verbal or written notice by the City thereof, the water will be shut
off. When the waste of water is great, or when damage is likely to result from the leak, water
may be turned off immediately pending repairs.
Section 2. Severability. Should any section, subdivision, clause, or other provision of this
Ordinance be held to be invalid by any court of competent jurisdiction, such decision shall not
affect the validity of the Ordinance as a whole, or of any part thereof, other than the part held to
be invalid.
Section 3. Effective Date. This Ordinance shall take effect and be in force from and after is
passage and publication.

Short Elliott Hendrickson Inc. (SEH®) appreciates the opportunity to provide this scope of services for the
Gem Lake MCES Connection Analysis. Thank you for reaching out to SEH to assist with this important
sanitary sewer monitoring and flow evaluation effort. We understand the City is interested in better
understanding actual discharge conditions to the MCES interceptor system so that future coordination
and planning can be supported by measured flow data.
PROJECT APPROACH
The goal of this work is to determine the actual discharge to the MCES interceptors by metering the two
primary connection points. SEH will install two laser meters for a six-month monitoring period and
complete routine meter reading and cleaning to maintain usable data throughout the monitoring period.
Following data collection, SEH will review the monitored flow information to evaluate dry weather and wet
weather sanitary sewer response and identify inflow and infiltration characteristics. This scope is focused
on flow monitoring and data analysis; hydraulic modeling is not included.
TASK 1 – PROJECT MANAGEMENT & MCES COORDINATION
You will receive project coordination throughout the monitoring and analysis effort, including project
startup, invoice coordination, and routine status updates as needed. SEH will participate in a kickoff
meeting to confirm monitoring objectives, meter locations, schedule, access needs, and coordination
requirements before field work begins.
SEH will also coordinate with MCES through two meetings during the project. These meetings are
intended to confirm monitoring expectations, discuss available connection data, and review data needs
for the final analysis.

TASK 2 – LONG-TERM MONITORING
SEH will install two laser flow meters for a six-month monitoring period. Field staff will complete biweekly
meter reading and cleaning visits to maintain equipment performance and verify that the collected data
remains suitable for analysis.
At the end of the monitoring period, SEH will remove the meters and compile the monitoring record for
use in the inflow and infiltration review. This task assumes the selected monitoring locations are
accessible and appropriate for laser meter installation.
Deliverables: Flow monitoring data collected over the monitoring period.
TASK 3 – DATA ANALYSIS
SEH will review the monitored flow data to evaluate dry weather and wet weather sanitary sewer
response. The dry weather analysis will establish baseline flow conditions during periods without rainfall
influence. The wet weather analysis will compare monitored flow response during rainfall or snowmelt-
influenced periods to identify potential inflow and infiltration trends.
SEH will summarize the results in a technical memorandum. The memorandum will document the
monitoring approach, summarize dry weather and wet weather findings, and identify key observations
from the collected data. No hydraulic modeling is included in this scope.
Deliverables: Technical memorandum summarizing dry weather analysis, wet weather analysis, and
inflow and infiltration observations.
ASSUMPTIONS / EXCLUSIONS
This scope assumes two laser meters will be installed for a six-month monitoring period. The data will be
analyzed for inflow and infiltration only, and no modeling is included. The City’s GIS data is assumed to
be current and suitable for use in supporting the analysis.

SCHEDULE
Goal will be to install the meters in the fall of 2026 through spring of 2027. A final report will be completed
with 45 days of the meter removal once the full dataset is available.
PROJECT COSTS
We propose to complete this meter analysis for a fee of $33,500. A full task/hour/budget with associated
bill rates for the inspection team is attached. This fee includes time and equipment expenses for the
study.
