Subdivision 5. Record of Appointment. Each City shall, within thirty (30) days <br />following the appointment of a Commissioner, file a written notice of such appointment <br />with the Secretary of the Board. <br />Subdivision 6. Compensation. Each City may compensate the Commissioners it <br />appoints, but the Commissioner shall not be compensated by the Organization or have <br />expenses reimbursed by the Organization. <br />Subdivision 7. Officers of the Board. At the first meeting of the Board in each <br />year, the Board shall elect from its Commissioners a chairperson, a vice chairperson <br />and such other officers as it deems necessary to conduct its meetings and affairs. In <br />the absence of the chairperson, the vice chairperson shall preside and perform the <br />duties of the chairperson. <br />Subdivision B. Rules and Reaulations of the Board. The Board shall adopt rules <br />and regulations governing its meetings. Such rules and regulations may be amended <br />from time to time in either a regular or special meeting of the Board provided that notice <br />of such proposed amendment has been given to each Commissioner at least ten (10) <br />day prior to the meeting at which the proposed amendment will be considered. <br />Subdivision 9. Quorum. A majority of the entire Board shall constitute quorum, <br />but less than a quorum may adjourn a scheduled meeting. <br />Subdivision 10. Votina Requirements. All actions of the Board shall require <br />three (3) affirmative votes. <br />Subdivision 11. Meetings. Regular meetings of the Board shall be held a least <br />quarterly on days selected by the Board. A schedule of regular meeting dates shall be <br />adopted annually by the Board. Special meetings may be held at the request of the <br />Board Chairman or at the request of two (2) Commissioners provided that such special <br />meeting shall be preceded by not less than three (3) days written notice of the time, <br />place and purpose of the special meeting. The notice of the special meeting shall be <br />delivered or mailed to the residence of each commissioner and to each person who has <br />filed a written request for notice of special meetings with the Board. All meetings of the <br />Board shall be subject to the provisions of the Minnesota Open Meeting Law. <br />Subdivision 12. Location of Board Office. The Board shall maintain a business <br />office at 2660 Civic Center Drive within the City of Roseville. All notices to the Board <br />shall be delivered or served to such office. Each City shall be compensated for <br />administrative services rendered to the Organization. <br />
