Agreement between Grass Lake WMO and Ramsey County <br />June 9, 2011 <br />This is an agreement between Grass Lake Water Management Organization ( GLWMO), 2660 <br />Civic Center Drive, Roseville, MN 55113, GLWMO and Ramsey County, a political subdivision <br />of the State of Minnesota, on behalf of its Public Works Department ( "County ") for County staff <br />to complete aquatic plant surveys for certain lakes as requested by GLWMO. <br />The County and GLWMO agree as follows: <br />1. Scope of Services <br />The County shall provide the services and products specified in Addendum 1, attached <br />hereto and made a part of this Agreement. <br />2. Time <br />The schedule for completion of the services and submittal of products is specified in <br />Addendum 1. <br />3. Cost/Payment <br />a. The GLWMO will pay the County according to the fee schedule specified in <br />Addendum 1. <br />b. The County shall submit an invoice to the GLWMO after services are provided. <br />The GLWMO shall make payment within 35 days of receipt of a detailed invoice. <br />C. Interest accrual and disputes regarding payment shall be governed by the <br />provisions of Minnesota Statutes §471.425. <br />d. The GLWMO shall be responsible for payment upon completion of survey(s) and <br />submittal of report(s). <br />4. Independent Contractor <br />It is agreed by the parties that at all times and for all purposes within the scope of this <br />Agreement, the relationship of the County to GLWMO is that of an independent <br />contractor and not that of employee and that the County shall be entitled to none of the <br />rights, privileges or benefits of GLWMO employees. <br />5. Indemnification <br />Each parry will be solely responsible for its own acts and omissions and the results <br />thereof, to the extent authorized by law. Minnesota Statutes Chapter 466 and other <br />applicable law govern liability of the County and GLWMO. <br />2011 Aquatic Plant Survey contract 1 of 4 <br />
