brands or trade names shall not appear in such publication, except <br />as necessary to describe the said work; nor shall the names of the <br />UNIVERSITY or of the SPONSOR be used for advertising purposes. <br />C. Prior to publication, either the UNIVERSITY or the SPONSOR shall <br />provide a of the proposed publication to the other party for <br />review and comment before publicizing the results of the said work. <br />ARTICLE XI Rights in Data and Copyright <br />A. The term "Subject Data" as used herein includes research data and <br />reports, writings, sound recordings, pictorial reproductions, <br />drawings or ocher graphical representations, and works of any <br />similar nature (whether or not copyrighted), which the UNNEIZSITY <br />shall deliver to the authorized representative of the SPONSOR <br />pursuant to ARTICLE N, above. The term does not include financial <br />reports, and materials, books, records, and other evidence <br />incidental to contract administration. <br />B. The UNIVVEERS?T Y shall own all copyrights arising from the Subj ec t Data. <br />However, if the University chooses not to obtain such copyrights, <br />the SPONSOR may secure theme. <br />C. In the event that either the iTNIVERSITY or the SPONSOR secures a <br />copyright pursuant to ((B) above, such party (the Licensor) hereby <br />grants to the other {the Licensee} aroyalty- -free, nonexclusive and <br />irrevocable license to publish, translate, reproduce, deliver, <br />perform, dispose of, ad to authorize others to do so for the <br />Licensee's use, all Subject Data now or hereafter covered by <br />copyright: Provided that with respect to Subject Data originating <br />outside of this contract but incorporated into the Subject Data <br />furnished hereunder, such license shall be only to the extent that <br />the Licensor has, or prior to the expiration of the contract may <br />acquire, the right to grant such license without becoming liable to <br />compensate ethers solely because of such a grant. <br />D. This ARTICLE shall not be construed to limit the rights of UNIVERSITY <br />employees to utilize Subject Data in other formats in pursuit of <br />scholarly activities and to publish Subject Data in scholarly or <br />
