Draft 8/24/2000 <br /> Underbar/Strikeout V rsion <br /> GROUND LEASE, DEVELOPMENT AND USE AGREEMENT <br /> THIS AGREEMENT ("Agreement") dated <br /> 2000, is by and between the CITY OF ROSEVILLE, a Minnesota municipal corporation <br /> ("Lessor", or "City"), and WILDLIFE REHABILITATION CENTER OF MINNESOTA, a <br /> Minnesota non-profit corporation ("Tenant"). <br /> RECITALS <br /> Lessor is the owner in fee simple of certain real property which is legally <br /> described on EXHIBIT A attached hereto and made a part hereof(the "Property"). <br /> Tenant desires to lease the Property from Lessor for the purpose of constructing a <br /> new multi-million dollar clinic facility to better protect and assist wildlife; <br /> specifically, the birds and animals of the region where the Property is located <br /> ("Re ig on"). This facility will be a leading wildlife rehabilitation facility in the <br /> state of Minnesota. <br /> Lessor, also passionate about the care of wildlife in the Rem, desires <br /> convenient access to wildlife care and educational services. <br /> The Statement of Policy attached hereto as Exhibit B verbalizes the collaborative <br /> intent of the parties in entering into and performing under this Agreement. The <br /> Statement of Policy shall not be construed as amending or modifying this <br /> Agreement, but may be used as a guide for interpretation. <br /> r_JI �N&W Of I AIR! 1E_E k��0 -InNOW, THEREFORE, in consideration <br /> of the sum of One Dollar ($1.00) and other good and valuable consideration, the receipt <br /> and sufficiency of which is hereby acknowledged, the parties hereby gree as follows: <br /> 1. COLLABORATION ON PROGRAM DEVELOPMENT. To further develoa <br /> and maintain the partnership between the parties during the Term and Renewal Term (as these <br /> terms are hereinafter defined) of this Agreement: (i) the parties will participate in an annum j Dint <br /> strategic planning retreat to review programming and identify opportunities for mutual support; <br /> (ii) Lessor may appoint one member of its staff or interested City Resident to serve as a Director <br />
