r <br /> Roseville, Minnesotai <br /> ARTICLE 1PV <br /> lDR. â–ºTII <br /> The duration of this Corporation shall be perpetual',. <br /> ARTICLE V <br /> DIRECTORS <br /> The affairs of the Corporation shall be managed by a Board of Directors (hereinafter the <br /> "Board"), mihich shall consist of five (5) voting directors. The original members of the Board <br /> shall be appointed as follows. <br /> (I) The hotel/motel industry in the City of Roseville shall appoint two directors, one <br /> with a term expiring on the second Thursday in January 2000, and one with a <br /> term expiring the second Thursday in January 002 <br /> (2) The City Council of the City of Roseville shall appoint one director from the <br /> general business community in the City of Roseville, with a term expiring on the <br /> second Thursday in January 200 2; <br /> (3) The City Council of the City of Roseville shall appoint one director from among <br /> its members, with a terra expiring on the second Thursday in January 000; and <br /> (4) The City Manager of the City of Rc sev it le, or the Manager's <br /> designee, shall be an ex officio voting director. <br /> ARTICLE VI <br /> DISSOLUTION <br /> Upon dissolution of the Corporation, assets and funds then belonging to the corporation <br /> sal be distributed to the City of Roseville. <br />
