OK"EQUEST FOR COUNCIL ACTION
DATE. 3/23/98
ITEM NO.. C-5
Department Approval: Manager Reviewed: Agenda Section:
Consent Agenda
Item Description.- Approval of technical modifications to contract with Northwest
Youth & Family Services (NYF ).
.............................. IIIIIIIIIIIIIIIIIIIII111111111111111111111hlAllolluorri'r(((( mrrrrmJhhhhhhW6Ahl
BACKGROUND
At the March 10 City Council meeting, the contract with Northwest Youth & Family Services
was approved subject to City Attorney and N S Board approval. Since that time, there
have been meetings with other City Managers and by the Northwest Youth and Family
Services Board. Certain changes have been suggested which are considered relatively
minor and technical amendments.
The most significant amendment is Section H, Part A and 13, which involve the distribution
of assets should Northwest Youth & Family Services cease to operate. As proposed, a
City Council may suggest that the Northwest Youth & Family Services operation has
deviated from its mission and recommend dissolution. The NYFS Board of Directors can
modify their practice to be consistent with the mission or reject the claim by a City Council,
at which point a City Council may opt to continue the contractual relationship or terminate.
POLICY OBJECTIVES
The most significant change with this contract involves the relationship between the
City(les) and NYFS. The cities are moving from a Joint Powers relationship to a contract.
Cities retain control of up to ten positions on the Board of Directors, half of the total Board.
As such, cities (as a group) can substantially influence the mission of N S and exert a
considerable amount of control over the organization. As such, the City Council's fiduciary
and policy responsibilities are satisfied.
FINANCIAL IMPLICATIONS
There is no change in the financial relationship between the City and NYFS from what has
been discussed and approved by the City Council at previous meetings.
COUNCIL ACTION RE Q ESTED
Motion to approve technical modifications to a contract previously approved by the City
Council at its March 10, 1998 meeting, and authorize the Mayor and City Manager to
execute the agreement subject to final approval by the City Attorney,,,,
