Section-2.7. The term of a director filling a vacancy expires at the end of the <br /> unexpired terra that the director is filling <br /> Section 2.8. The Board shall serve without compensation. <br /> Section 2.9. A director may resign at any time by giving written notice to the <br /> Corporation. A resignation is effective at the time it is delivered to the Corporation unless a <br /> later effective date is specified in the notice. <br /> Section 2.10. A director may be removed as follows <br /> (1) By the entity which appointed the director, without cause, at any time; <br /> (2) By the Board when the director has missed consecutive Board meetings <br /> without good cause or has missed % of the Board meetings during a <br /> twelve month period; <br /> (3) A director shall be removed and replaced by the entity which appointed the <br /> director when he is no longer qualified to be a director. <br /> Section 2.11. Written notice of the removal of a director shall be promptly given <br /> to the director and either to the Chair or Secretary of the Corporation and to the entity which <br /> appointed the removed director. Removal is effective as specified in the notice. <br /> ARTICLE III <br /> BOARD MEETINGS <br /> Section 3.1.
