The following is a summary of the conditions for the Counties participation(the specifics are in the attached agreement): 1. The County will pay their contribution in 3 annual installments of$83,333. 2. Upon receipt of the final insWIment, the City will give the County a quitclaim deed representing an undivided one quarter interest in the entire waterworks Property. 3. The City and County will jointly plan the future development of bath the Waterworks Property and the Integrated Corridor with the intent of developing the properties as a functioning cohesive unit with equal access to all residents of Ramsey County with common rules and regulations for public use* 4. The County, in accordance with the Master Plan, authorizes the City access to County land within the Integrated Corridor for development, operation and maintenance of recreation improvements (e.g. trails) provided the City accepts full costs of these activities and indemnifies the County in accordance with the terns of this Agreement. 5. The City shall be fully responsible for the entire costs, development, operation and maintemnce of the waterworks Property. Any revenues or income generated from the waterworks Property shali be used for the acquisition, development and maintenance of the property. 6� The City shall hold the County harmless for any claims relating to the waterworks Property and require all contractors working on the property to name the County as additional insured. 7. The Integrated Corridor shall be mutually named by both parties. $' The city shall not assess the County for any improvements, development or maintenance concerning any land in the Integrated Corridor. The City shall not assess the County for any other County park land within the City unless the improvements or other action causes a substantial benefit to the land in accordance with the County's blaster Plan governing such land.
