Loans in accordance with its usual practices and will exercise the same <br /> degree of care to protect Municipality's interest as it does its own. So <br /> long as Bank exercises such care in the servicing and management of a <br /> Loan,, it shall not be under any liability to Municipality with respect to <br /> anything it may do or refrain from doing in the exercise of its judgement <br /> or which may seem to Bank to be necessary or desirable in the servicing <br /> and management of the Loan except for its willful misconduct. <br /> 5. General. <br /> 5.1 It is understood and agreed that Bank shall not sell any portion of <br /> its interest in any Loan to any other institution without the prior <br /> written consent of Municipality. <br /> 5.2 Municipality shall not, without the prior written consent of B <br /> sell, pledge, subparticipate or otherwise transfer its rights in any <br /> Lowi purchased pursuant to the terms of tiis Agreement. <br /> 5.3 Any notice required or permitted to be given under this Agreement <br /> may be, and shall be deemed, given when deposited in the United <br /> States mail, postage prepaid or by telegraph or telex or telefax when <br /> delivered to the appropriate office for transmission, charges prepaid, <br /> addressed to the relevant party at its address as reflected in this <br /> Agreement, unless such party shall have provided the other party <br /> with subsequent written notice of change to that party's address. <br /> 5.4 This Agreement may be terminated by either party by giving thirty <br /> (30) days advance written notice to the other party. In the event of <br /> tenninatian, no ftirther Loans shall be made by Bank, but the rights <br /> and obligations of Batik and Municipality shall continue as provided <br /> in this Agreement with respect to all Loans originated or for which <br /> Bank shall have issued a commitment prior to the date of <br /> termination. <br /> 4 <br />
