C Prior to publication, either the UNIVERSITY or the SPONSOR <br />shall obtain written approval from the authorized <br />representative of the otter before publicizing the results of the <br />said work. <br />ARTICLE XI - Rights in Data and Copyright <br />A. The term "Subject Data" as used herein includes research data <br />and reports, writings, sound recordings, pictorial reproductions, <br />drawings or other graphical representations, and works of any <br />similar nature (whether or not copyrighted), which the <br />UNIVERSITY shall deliver to the authorized representative of <br />the SPONSOR pursuant to ARTICLE IV, above. The term does <br />not include financial reports, and materials, books, records, and <br />other evidence incidental to contract administration. <br />B. The UNIVERSITY shall own all copyrights arising from the <br />Subject Data. However, if the University chooses not to obtain <br />such copyrights, the SPONSOR may secure them. <br />C In the event that either the iJNIVERSITY or the SPONSOR <br />secures a copyright pursuant to { (B) above, such party (the <br />Licensor) hereby grants to the other (the Licensee) a royalty- <br />free, nonexclusive, and irrevocable license to publish, <br />translate, reproduce, deliver, perform, dispose of, ad to <br />authorize others to do so for the Licensee's use, all Subject Data <br />now or hereafter covered by copyright: Provided that with <br />respect to Subject Data originating outside of this contract but <br />incorporated into the Subject Data furnished hereunder, such <br />license shall be only to the extent that the Licensor has, or <br />prior to the expiration of the contract may acquire, the right to <br />grant such license, without becoming liable to compensate <br />others solely because of such a grant. <br />D, This ARTICLE shall not be construed to limit the rights of <br />UNIVERSITY employees to utilize Subject Data in other formats <br />in pursuit of scholarly activities and to publish Subject Data in <br />scholarly or professional ,journals, so long as any existing or <br />future copyright of the Subject Data is not prejudiced thereby. <br />ARTICLE X11 - Jurisdiction <br />
