basic payments to be made by the Company under the Loan A'::1reement ar8 fixed so as to producd revenue sufficient to pay the principal of, premium, if any, and interest on the Note and Bonds when due. The City will assign its rights to the basic payments and certain other riyhts under the Loan Agreement to funerican National Bank and Trust Company, in St. Paul, Minnesota (the "Trustee") as security for payment of the Bonds under an Indenture of Trust dated as of March 1, 1987 (the "Indenture"). Tne Company will grant a mortyage and security interest in the Project to the Trustee pursuant to a Mortgage and Security Ayreement dated as of March l, 1987 (tne "I>1ortyage") and to further secure the payment of the Bonds and the interest thereon, will enter into an Assignment of Leases and Rents dated as of March 1, 1987 (the "Assignment of Leases and Rents"). It is proposed that the City and the Trustee enter into a Supplemental Indenture relatiny to the Prior Bonds to authorize the Trustee to terminate the second mortgage securing the Prior Bonds. 4. Fonns of the following documents have been submitted to the Council foe approval: (a) The Loan Agreement. (b) The Note. (c) The Indenture. (d) The Mortgage. (e) The Assignment of Leases and Rents. (f) The Bond Purchase A.Jreement. (g) Th.i'.l Escrow Agreement. (h) The Preliminary OEficial Statement. (i) Supplemental Indenture. 5. It is hereby found, determined and declared that: (a) toe Proposal described in the Indenture and reEerred to above is authorized by the Act; (b) the purpose oE the Proposal is and the eEEect thereof will be to promot the public welfare by providing for the continuation of the health care ope~ations of the Company in the City; 3
