<br />basic payments to be made by the Company under the Loan <br />A'::1reement ar8 fixed so as to producd revenue sufficient to pay <br />the principal of, premium, if any, and interest on the Note and <br />Bonds when due. The City will assign its rights to the basic <br />payments and certain other riyhts under the Loan Agreement to <br />funerican National Bank and Trust Company, in St. Paul, <br />Minnesota (the "Trustee") as security for payment of the Bonds <br />under an Indenture of Trust dated as of March 1, 1987 (the <br />"Indenture"). Tne Company will grant a mortyage and security <br />interest in the Project to the Trustee pursuant to a Mortgage <br />and Security Ayreement dated as of March l, 1987 (tne <br />"I>1ortyage") and to further secure the payment of the Bonds and <br />the interest thereon, will enter into an Assignment of Leases <br />and Rents dated as of March 1, 1987 (the "Assignment of Leases <br />and Rents"). It is proposed that the City and the Trustee <br />enter into a Supplemental Indenture relatiny to the Prior Bonds <br />to authorize the Trustee to terminate the second mortgage <br />securing the Prior Bonds. <br /> <br />4. Fonns of the following documents have been <br />submitted to the Council foe approval: <br /> <br />(a) The Loan Agreement. <br /> <br />(b) The Note. <br /> <br />(c) The Indenture. <br /> <br />(d) The Mortgage. <br /> <br />(e) The Assignment of Leases and Rents. <br /> <br />(f) The Bond Purchase A.Jreement. <br /> <br />(g) Th.i'.l Escrow Agreement. <br /> <br />(h) The Preliminary OEficial Statement. <br /> <br />(i) Supplemental Indenture. <br /> <br />5. It is hereby found, determined and declared that: <br /> <br />(a) toe Proposal described in the Indenture and <br />reEerred to above is authorized by the Act; <br /> <br />(b) the purpose oE the Proposal is and the eEEect <br />thereof will be to promot the public welfare by providing <br />for the continuation of the health care ope~ations of the <br />Company in the City; <br /> <br />3 <br />
