"Lien " any mortgage, deed of trust, pledge, security interest, assignment, encumbrance,
<br />judgment, lien, claim or charge of any kind in, on, of or in respect of, any asset or property or any
<br />rights to any asset or property, including,, without limitation, the filing of, or any agreement to give,
<br />any financing statement relating to any such asset or property under the Uniform Commercial Code
<br />of any jurisdiction..
<br />"Limited Partners" means, collectively, Stratford Centennial Investors Limited Partnership,
<br />an Illinois limited partnership and Stratford SL P, Inc., a Delaware corporation..
<br />"Doan" has the meaning set forth in the Recitals hereto.
<br />"Obligations " means all indebtedness, liabilities, and obligations of the Pled or of any bind,
<br />nature or description whatsoever under the provisions of this Agreement or any of the other
<br />Financing Documents, including, without limitation, a all principal, interest, fees, late charges,
<br />attorneys" fees, Enforce ment Costs, collection costs, or any other Borrower's Obligations due or to
<br />become due, future advances, direct, indirect, primary, secondary, joint, several, joint and several,
<br />fixed or contingent, liquidated or unliquidated, regardless of how they arise or by what agree ment or
<br />instrument they may be evidenced or whether they are evidenced by any agreement or instrument,
<br />and whether incurred as maker,, endorser, surety, guarantor or otherwise, and b ) any and all
<br />renewals, extensions, and rearrangements of any such indebtedness, liabilities, and obligations.
<br />"Partners " means, collectively, the General Partner and the Limited Partners.
<br />"Partnership Agreement" means the Third Amended and Restated Limited Partnership
<br />Agree ment, dated October 1, 2010, and all a mendments, supple ments, and modifications.
<br />"Permitted Liens " means the Liens on the Collateral in favor of the Secured Party.
<br />"Person " means and includes an individual, a corporation, a partnership, a joint venture, a
<br />limited liability company, a trust, an unincorporated association, a government or political
<br />subdivision or agency thereof, or any other entity.
<br />"Pledged Amounts "' has the meaning set forth in Section 2. 1.
<br />"Records " means all agreements, boobs, ledgers, instruments, correspondence, memoranda
<br />or other documents comprising, covering or relating to the Collateral.
<br />"Taxes " means all taxes and assessments whether general or special, ordinary or
<br />extraordinary, or foreseen or unforeseen, of every character (including all penalties or interest
<br />thereon), which at any time may be assessed, levied, or imposed on the Pled or or any of the
<br />Pledor "s properties or assets or any part thereof or in respect of any of the Pledor "s franchises,
<br />businesses, income, or profits, and all claims for sums which by applicable laws have or may
<br />become a Dien or charge upon any of such property or assets.
