4. Continuation of Key Principals' Obligations. The undersigned as Key Principals hereby confirm and agree that the Financing Agreement and the other Documents,, and each of their obligations contained therein, as reaffirmed by this Reaffirmation,, is and shall continue to be in full force and effect and is hereby ratified and confirmed in all respects in light of the execution of the First Supplemental Indenture,, the First Supplemental Financing Agreement, and the Pledge Agreement and the transactions contemplated thereby. The Key Principals reaffirm and restate their obligations under the Financing Agreement and other Documents pursuant to and in accordance with the terms of the Financing Agreement and other Documents as and to the extent modified by the First Supplemental Indenture,, the First Supplemental Financing Agreement, and the Pledge Agreement. 5. Definitions. All references in the Guaranty and other Documents to "Documents"' shall hereafter be deemed a reference to the Documents,, as modified by the First Supplemental Indenture and the First Supplemental Financing Agreement and reaffirmed and ratified by this Reaffirmation. 6. B,indins! Effect. The undersigned Guarantors hereby confirm and agree that (a) this Reaffirmation reaffirms the legal, valid, and binding obligations of the undersigned under the Guaranty and the other Documents to which each is a party in light of the First Supplemental Indenture, the First Supplemental Financing Agreement, and the Pledge Agreement and the transactions contemplated thereby; (b) all representations and warranties made in this Reaffirmation,, the Guaranty and the Documents to which the undersigned are parties are true as of the date hereof and in light of the execution and delivery of this Reaffirmation. This Reaffirmation shall be binding upon and shall inure to the benefit of Issuer,, Trustee and Servicing Agent and their respective successors and assigns. 7. Govern ins! Law.
