Attachment G <br />1 2. If any portion, section, subsection, sentence, clause, paragraph or phrase of this Agreement is <br />2 for any reason held invalid, such decision shall not affect the validity of the remaining portion of <br />3 this Agreement. <br />4 3. The action or inaction of the City shall not constitute a waiver or amendment to the <br />5 provisions of this Agreement. To be binding, amendments or waivers must be in writing, signed <br />6 by the parties and approved by the Roseville City Council. The City's failure to promptly take <br />7 legal action to enforce a default under this Agreement shall not be a waiver or release of such <br />8 default. <br />9 4. This Agreement shall run with the land and shall be binding upon the Developer, and its <br />10 successors and assigns. The Developer shall, at its expense, record this Agreement with the <br />I I Ramsey County Recorder if the Property is abstract property and/or with the Ramsey County <br />12 Registrar of Titles if the Property is torrens property. Once the Public Improvements have been <br />13 approved and accepted by the City,, at the request of the Developer, the City will execute an <br />14 instrument in recordable form releasing the provisions of this Agreement as an encumbrance on <br />15 the Property, but without releasing any remaining obligations of the Developer hereunder. <br />16 5. The Developer shall comply with the terms and conditions of this Agreement and with any <br />17 and all City, County, State, Federal, and other laws and regulations including, but not limited to.- <br />18 subdivision ordinances,, zoning ordinances and environmental regulations that may apply to the <br />19 Plat and the development of the Property. <br />20 6. The Developer shall be responsible for recording this Agreement and the Plat, and the cost <br />21 thereof Arrangements for recording this Agreement and the Plat shall be made by the Developer <br />22 and the City to assure that title to the property at the time of recording is satisfactory to the City. <br />23 This Agreement shall be recorded prior to the recording of the Plat, unless otherwise agreed to <br />24 by the City. <br />25 <br />Page 1 0 of 15 <br />
