The City will pay all costs of any City special election that is not conducted on the date of a regularly scheduled City, Count y or state election. The City will also pay aII costs applicable to the City of any state special election that is not conducted on the date of a regularly scheduled City, Count y or state election. The Count y will submit an in�voice payable within 30 days of receipt to the City for aII costs incurred by the Count y to conduct a special election�. During the term of this con�tract, the Count y an�d City will maintain, through com�m�ercially available in�suran�ce or on a self- insured basis, property in�suran�ce coverage on the voting equipm�en�t each awns, for the repair or replacement of the voting equipm n�t if dam ged or stolen�. Each party shall be responsible for an deductible un�der its respective policy., Each party h�ereby waives an�d releases the other party, its em loyees, agents, officials, an�d officers from all claim�s, liability, an�d causes of action for loss, dam ge to or destruction of the waivin�g party's property resultin�g from fire or ether perils covered in the stan�dard property insurance coverage mint in d by the party. Furth rm�ore, each party agrees that it will look to its own property insurance for reim�bursem n�t for any loss an�d shall h ve no rights of subrogation against the other party., 10., Indemnification Each party to this con�tract will defend, hold harmless, an�d indemnify the other party, its officials, agents, an�d em loyees from any liability, loss, an�d dam ge it may suffer as a result of dem n�ds, claim�s, judgments, or costs including, but not limited to, attorneys' fees an�d disbursem n�ts, arising out of or related to the indemnifying party's performance or failure of performance under this con�tract., This provision shall not be construed nor operate as a waiver of any applicable limits of or exceptions to liability provided by Min�n�esota Statutes Ch ter 4,66 or otherwise set by law. This provision will survive the termination of this con�tract., 1. Legal Representation T'h�e Ram�sey County Attorney's office will advise an�d re resent the County in all election - related matters, except that the Roseville City Attorney will advise the County on any election �-related m tier applying to the Roseville m�un�icipal code., 12., Election Costs an�d Paym�en�ts Paym�en�ts to cover the costs incurred by the County for services provided in the performance of the provision�s of this con�tract for regularly scheduled elections will be m de by the City in four equal amounts to be billed quarterly, based on invoices submitted by the County. Payments will be due on March 31, Juno 30, September 30 an�d December 31 of 201 2., The cost of election services for 2012 will be $1 OT500.
