THIS AMENDED AND RESTATED LOAN AGREEMENT this "Agreement") dated <br />as of March 2008, among the City of Roseville, Minnesota, a body corporate and politic <br />under the Constitution and laws of the State of M'innesota the "'City"), Concordia Academy <br />Association of Schools, a Minnesota nonprofit corporation (the "Borrower") d Premier Bank <br />the "Lender"). <br />Wl'TNESSETH that the City, the Borrower and the Lender each in consideration of the <br />representations, covenants and agreements of the Other as set Forth herein., mutually represent, <br />covenant and agree as follows-, <br />RECITALS <br />1, Lutheran High School Association of St. Paul ("Luthcran"'), a predecessor to the <br />Borrower executed and delivered to the Lender a Promissory Note dated February 20, 2002 in <br />the principal amount of $4,500,000 of which $ principal amount remains <br />outstanding the "2002 Loan") to finance certain inn. provements to the Borrower's school located <br />at 2400 North Dale Street in the City the "Roseville Project"). <br />ir <br />2. At the request of the Borrower, the City has agreed to Issue its Educational <br />Facilities Revenue Note, Series 2008 (Concordia Academy Association of Schools Project) the <br />"Note") payable to the Lender and has entered into this Agreement with the Borrower and the <br />Lender to (a) make amendments to the 2002 Loan including changes to the interest rate, <br />redemption and repayment terms, and (b) lend an additional $ 1 to the <br />Borrower to refinance the cost of acquisition by the Borrower of a high school located at 8201 <br />Park Avenue South 'in the City of Bloomington, Minnesota and to 1`inance certain improvements <br />to such school (collectively, the "Bloomington Project"),. The 20,02 Loan is amended and <br />restated in its entirety by this Agreement. <br />FA <br />UR II <br />Section 1. 1 Definitions.
