LICENSE AGREEMENT BETWEEN METROPOLITAN COUNCIL AND C OF ROSEVILLE This Agreemient, effective on the date of execution by both parties, is made and entered into by and between the Metropolitan Council, a public. corpolra-filon and political subdivision of the State of Minnesota ("'Council") and City of Roseville ("City") WHEREAS, the CITY desires to provide transit alternatives to 'its residents and to contribute to the reduction of transportation problems in the St. Paul atid Minneapolis metropolitan area,, WHEREAS,, the COUNCIL Wishes to establish locations within the metropolitan area at wWch passengers may park their automobiles and ride a COUNCIL bus to the downtown areas of Minneapolis and St. Paul; WHEREAS, the CITY owns and maintains a parking lot presently used primarily for parking by employees and customers. AGREEMENT NOW, THEREFORE, FOR GOOD AND VALUABLE CONSIDERATION THE RECEIPT OF WHICH IT IS MUTUALLY AGREED,, by and between the parties hereto, as follows, 1. Use of Parking Lot. 'fhe COUNCIL may use 50 stalls of the parking lot (detailed on map attached hereto as Exhibit A. owned by the CITY, located at 2661 Civic Center Dn*ve in Roseville as a park-and-ride lot for the parkimg of automobiles of COUNCIL passengers and Metro Transit buses. 2. Thne of Usage. 'fhe parking lot may be used by ffie COUNCIL Monday through Friday ,except those which may be designated by the CITY from time to time for lot maintenance or major events. 3. Maintenance. The CITY shall provide or arrange for provision of non-routine maintenance or repair attributable to, the extra usage of the parking lot resulting from this Agreement. The .0 COUNCIL shall reimburse the CITY for such nor routine costs attributable to the ,COUNCIL'S usage upon documented, reasonable, out-of-pocket expenses for such non- routine maintenance or repair costs based on the percentage of the parking lot used by COUNCIL customers.
