EXHIBIT A <br />NOTICE of PUBLIC HEARING <br />ON THE ISSUANCE of REVENUE OBLIGATIONS <br />To FINANCE A PROJECT BY <br />PHM &S OFFICE BUILDING, LLC. <br />Notice is hereby given that the City Council of the City of Roseville, Minnesota, Will meet in the City <br />Council Chambers at the Roseville City Hall, in the City of Roseville, Minnesota (the "City "), at 6:00 <br />p.m. on Monday, June 30, 2005, to consider giving host approval to the issuance by a neighboring city <br />(the "Issuer ") of commercial facilities revenue obligations, in one or more series, under Minnesota <br />Statutes, Sections 469.152 through 469.1 651 (the "Act "), in order to finance the cost of a project <br />located in the City. <br />The project consists of financing, on behalf of PHM& S office Building, LLC (the sole member of <br />Which is Presbyterian Homes Management and Service, Inc., a Minnesota nonprofit corporation) (the <br />"Borrower "), the (i) construction and equipping of an approximately 27,000 square foot addition to the <br />Borrower's corporate headquarters located at 2545 Hamline Avenue North (the "office Facilities ") in <br />the City, and (ii) refinancing the remaining outstanding debt the proceeds of which were used by the <br />Borrower to acquire the Office Facilities all of which are located in the City. The Borrower will be the <br />initial owner and operator of the Project. <br />The Borrower has proposed financing the Project through the Issuer, with the total amount of the <br />obligations to be issued presently being estimated at not to exceed $5,500,000. <br />The notes or other obligations, as and when issued, will not constitute a charge, lien or encumbrance <br />upon any property of the City, except the Project and the revenues to be derived from the Project and <br />other financed facilities. Such notes or obligations will not be a charge against the general credit or <br />taxing powers of the City, but are payable from sums to be paid by the Borrower pursuant to a revenue <br />agreement. <br />At the time and place fixed for the public hearing, the City Council of the City will give all persons <br />who appear at the hearing an opportunity to express their views with respect to the financing of the <br />Project. Written comments will be considered if submitted at the above City office on or before the <br />date of the hearing. <br />Dated: June 9, 2005.
