Conflicts of interest may be <br />grounds for termination of this Agreement. <br />VII. Ownership of Work. Should the City elect to terminate this Agreement under Section III <br />hereof, Consultant shall promptly provide all work - product to the City for which payment <br />has been made and the City shall be entitled to utilize the work in any manner determined <br />by the City to be in its best interests. <br />VIII. Notices. All notices to be given hereunder shall be in writing and shall be deemed given <br />on the earlier of receipt or three (3) business days after deposit in the United States mail, <br />postage prepaid, addressed to: <br />A.
