<br />1. Property to be Sold. Froni time to time, Owner will designate items ofpetso -nal property (the "Property ") that
<br />it de- sites to provide to PRC fcr Dlspositioii Services, PRC retains the right to accept or reject certain items in its
<br />sale discretion,
<br />2. Title. Owner shall retain legal title to the .Property until i r is pu rc h -ased by auction. or otherwise disposed of in
<br />accordance with this Agreement at which dine Owner will be deemed to have trans fcrred title to the purchaser
<br />or other acquirer of the item of Property (th-e `.Buyer "). Owner appoints Plat as its attorney -bi -fact to signs any
<br />and all d o cilnien is necessary to assign to Brzyers all of Owners right, title arid- interest. in and to Property sold or
<br />disposed. Cash receipts, accounts receivables, contract rights, notes, general- intangibles, and other rights to
<br />payment of every kind, arising out of the sales -arid dispositions of property (collectively the "Proceeds ") belong
<br />TO Owner, subject to PRCs right to PRC's Nct proceeds and funds artributable to credit card processing costs
<br />arid other transaction costs. Owner's Property shall, at all times before sale or disposition, be subj cc t to the
<br />direotion and control of Owner,
<br />3. Method of Selling Praper'ty,,
<br />a. Portable Property Items. PRC will, on Ow ers behalf, pick -up, store and list property for sale by auction
<br />to the public on the intcrnet on one- or ,,loge don ai n names selected by PRC, To the extent that any Propei-ty
<br />is not sold by auction, PRC may, in any cou rnercia.11y realozlable inamier selected by PRC, dispose of
<br />P rop erty. PRC will d.ercrrnine all aspects, terms and conditions o -f a.uctio n s o -f Property and dispositions of
<br />Property not purchased at ariction, subject to- the ultimate control of Owner, PRC will be respcnsible for all
<br />phases of submitting the Property for auction, including, but not limited to, determining when Property will
<br />be auctioned} s e rti rig th -e opening and res ervc pries of Properly if any; d-e-ternuning tie se ll sng price,
<br />s e tting the length o f dime P� opert y will be au c clone d - creating text and graphics to describe and depic t

<br />auctioning and selling the Property on the Internet and disposing of Property that does not sell at auctioI3,
<br />PRC shall sell altd idispose of all Property "as, is" without any liability to tie Owner. PRC is solely
<br />responsible for dezitifying and resolving sales and use taX coltectfon issues arising from Property sales,.
<br />Including the necessity of Gharging and collecting such taxes.
<br />b. Large Property Items. Plat rvi tl, at Owner's requ e.st and on Owners behalf,. list physically large Prop cz-ty
<br />("Large- Items ") for. sale by auction, including but not limited to cars, trucks, boats, planes alid hulk lots of
<br />bicycles. For Large-Items, PRC offers Owner different selling options ("Silver "Gold," "Gold- Plus" and
<br />``Flatironm "), each with different service components and associatedi pricing.

<br />possession to Buyers as described in Portable Property Iter .
<br />(3) Large - items Service Summary. The Large -Item Auctions Services Option Table below depicts service
<br />Components associated with each option..
