This Agreement shall not be assigned or transferred by the City or the <br /> 48 DRA without written consent of the other party and a minimum of 30 days notice in writing by <br /> 49 the City. <br /> 50 <br /> 51 VI. Termination: This Agreement may be terminated by either party prior to the <br /> 52 termination date set forth in Provision 2 above, with or without cause, by giving the other party <br /> 53 written notice of such termination at least 30 days prior to the date of such termination. The date <br /> 54 of termination shall be stated in the notice. In the event of such early termination the amount <br /> 55 payable by the DRA to the City for the quarter in which the termination occurs shall be <br /> 56 determined by multiplying the number of hours (including fractional hours) of services <br /> 57 performed during such quarter x the Dourly Fee, which amount shall be paid within 10 days after <br /> 58 the early termination date, rather than at the end of the quarter. <br /> 59 <br /> 60 VII. Notices. Any notice to be given by either party upon the other under this Agreement <br /> 61 shall be properly given: a) if delivered personally to the City Manager if such notice is to be <br /> 62 given to the City, or if delivered personally to the Executive Director if such notice is to be given <br /> 63 to the DRA, or b) if mailed to the other party by United States registered or certified mail, return <br /> 64 receipt requested, postage prepaid, addressed in the manner set forth below: <br /> 65 <br /> 66 If to City: City of Roseville <br /> 67 Attn: City Manager <br /> 68 2660 Civic Center Drive <br /> 69 Roseville, MN 55113 <br /> 70 <br /> 71 If to DRA: Dousing &Redevelopment Authority <br /> 72 in and for the City of Roseville <br /> 73 Attn: DRA Chair <br /> 74 2660 Civic Center Drive <br /> 75 Roseville, MN 55113 <br /> 76 <br /> 77 Notices shall be deemed effective on the date of receipt if given personally, or on the date of <br /> 78 deposit in the U.S. mails if mailed; provided, however, if notice is given by deposit in the U.S. <br /> 79 mails the time for response to any notice by the other party shall commence to run one business <br /> 80 day after the date of mailing.
