This Agreement shall not be assigned or transferred by the City or the 48 DRA without written consent of the other party and a minimum of 30 days notice in writing by 49 the City. 50 51 VI. Termination: This Agreement may be terminated by either party prior to the 52 termination date set forth in Provision 2 above, with or without cause, by giving the other party 53 written notice of such termination at least 30 days prior to the date of such termination. The date 54 of termination shall be stated in the notice. In the event of such early termination the amount 55 payable by the DRA to the City for the quarter in which the termination occurs shall be 56 determined by multiplying the number of hours (including fractional hours) of services 57 performed during such quarter x the Dourly Fee, which amount shall be paid within 10 days after 58 the early termination date, rather than at the end of the quarter. 59 60 VII. Notices. Any notice to be given by either party upon the other under this Agreement 61 shall be properly given: a) if delivered personally to the City Manager if such notice is to be 62 given to the City, or if delivered personally to the Executive Director if such notice is to be given 63 to the DRA, or b) if mailed to the other party by United States registered or certified mail, return 64 receipt requested, postage prepaid, addressed in the manner set forth below: 65 66 If to City: City of Roseville 67 Attn: City Manager 68 2660 Civic Center Drive 69 Roseville, MN 55113 70 71 If to DRA: Dousing &Redevelopment Authority 72 in and for the City of Roseville 73 Attn: DRA Chair 74 2660 Civic Center Drive 75 Roseville, MN 55113 76 77 Notices shall be deemed effective on the date of receipt if given personally, or on the date of 78 deposit in the U.S. mails if mailed; provided, however, if notice is given by deposit in the U.S. 79 mails the time for response to any notice by the other party shall commence to run one business 80 day after the date of mailing. Any party may change its address for the service of notice by 81 giving written notice of such change to the other party, in any manner above specified, 10 days 82 prior to the effective date of such change. 83 84 85 86 2
