<br />B. Replacement Bonds. If the City has notified <br />Holders that Replacement Bonds have been made available as <br />provided in paragraph 6, then for every Bond thereafter <br />transferred or exchanged (including an exchange to reflect the <br />partial prepayment of a Global Certificate not previously <br />exchanged for Replacement Bonds) the Bond Registrar shall <br />deliver a certificate in the form of the Replacement Bond <br />rather than the Global Certificate, but the Holder of a Global <br />Certificate shall not otherwise be required to exchange the <br />Global Certificate for one or more Replacement Bonds since the <br />City recognizes that some bondholders may prefer the <br />convenience of the Depository's registered ownership of the <br />Bonds even though the entire issue is no longer required to be <br />in global book-entry form. The Replacement Bonds, together <br />with the Bond Registrar's Certificate of Authentication, the <br />form of Assignment and the registration information thereon, <br />shall be in substantially the following form: <br /> <br />22 <br />
