<br />Pursuant to due call and notice thereof, a regular meeting of the City Council of the City
<br />of Roseville, County of Ramsey, Minnesota was duly held on the 24th day of February,
<br />1997, at 6:30 p.m.

<br />Notice is hereby given that the City Council of the City of Roseville, Minnesota (the "City"),
<br />will meet in the City Council Chambers at the Roseville City Hall, 2660 Civic Center Drive,
<br />in the City of Roseville, Minnesota, at 6:30 p.m. on Monday, March 17, 1997, to consider

<br />issue revenue bonds to (a) refund the outstanding City of Roseville, Minnesota Health Care
<br />Facilities Revenue Refunding Bonds, Series 1987 (The Presbyterian Homes of Minnesota,
<br />Inc. Project) (the "Prior Bonds") which were issued to advance refund revenue bonds that
<br />were issued to finance Presbyterian Homes of Roseville Nursing Home and (b) to finance
<br />improvements hereinafter described to Presbyterian Homes of Roseville Nursing Home
<br />pursuant to Minnesota Statutes, Sections 469.152 through 469.165.
<br />
<br />The improvements consist of the acquisition, construction and reconstruction of
<br />improvements to Presbyterian Homes of Roseville Nursing Home located at 1910 West
<br />County Road D in the City, including the acquisition and installation of related equipment
<br />and furnishings, the making of any site improvements and any related demolition costs,
<br />and all in connection with the construction and provision of a subacute care unit. The
<br />Nursing Home is owned and operated by the Company.

<br />The maximum aggregate estimated principal amount of bonds or other obligations to be
