ROSEVILLE HOUSING AND REDEVELOPMENT AUTHORITY <br />CONSULTANT SERVICES AGREEMENT <br />th <br />THIS IS AN AGREEMENT <br /> entered into the ___17_ day of _January, 2012, by <br />and between the Roseville Housing and Redevelopment Authority, hereinafter referred to <br />as the RHRA, and George Hornik, hereinafter referred to as the Consultant. <br />WITNESSETH: <br /> WHEREAS <br />, the RHRA desires to hire the Consultant to continue marketing and <br />public outreach services for the RHRA Living Smarter campaign, and Consultant desires <br />to perform those services for the compensation and on the terms described herein. <br />NOW, THEREFORE, <br /> the parties hereto do mutually agree as follows: <br /> I. Scope of Services. The Consultant shall perform those services as are <br />described in the attached Exhibit A. <br /> II. Term. This Agreement shall be effective upon the approval of the RHRA <br />Board and execution by the RHRA Chairman and the RHRA Executive Director and <br />shall continue until terminated by either party upon a thirty (30) day written notice <br />thereof. <br />III.Compensation. The fees for the Consultant’s services will be billed in <br />accordance with the fees described in the attached Exhibit A. Fees shall be paid within <br />thirty (30) days following receipt of a monthly invoice and status report detailing the <br />services performed. <br />IV.Indemnification. The parties shall indemnify and hold harmless each other <br />and their officials, agents, and employees from any loss, claim, liability, and expense <br />(including reasonable attorney’s fees and expenses of litigation) arising out of any action <br />constituting malfeasance or gross negligence of the respective parties in the performance <br />of the service of this contract. <br />V.Assignment. This Agreement shall not be assigned, sublet, or transferred <br />without the written consent of the City. <br />VI.Conflict of Interest. The Consultant agrees to immediately inform, by <br />written notice, the RHRA Executive Director of possible contractual conflicts of interest <br />in representing the RHRA. Conflicts of interest may be grounds for termination of this <br />Agreement. <br /> <br />
