NOW, THEREFORE, BE IT RESOLVED by the Council of the City of Roseville, Minnesota, as follows: 1. Recitals. (a) The City of Roseville, Minnesota (the "City"), has the powers provided in Minnesota Statutes, Sections 469.028, 469.048 through 469.068, and 469.124 through 469.134 (collectively, the "Act"). (b) Pursuant to and in furtherance of the objectives of the Act, the City has undertaken a program to promote development of certain land within the City and in this connection is engaged in carrying out its development project known as Municipal Development District No.1, Industrial Development District No. 1 and Redevelopment Project Area in the City (the "Project Area") . (c) There has been approved by the Council, pursuant to the Act, a Municipal Development Plan, Redevelopment Plan and Industrial Development District No. 1 Plan for the Project Area (collectively, the "Redevelopment Plan") . (d) In order to achieve the objectives of the Redevelopment Plan, the City has determined to provide substantial aid and assistance in connection with the Redevelopment Plan through the financing of certain of the public redevelopment costs in the Project Area. (e) Ryan Twin Lakes Limited Partnership (the "Developer") presented the City with a proposal for construction within the Project Area, in contemplation of a certain Development Agreement between the City and Developer (the "Development Agreement") stating the terms and conditions of such development and the City's responsibilities respecting the assistance thereof, and the Development Agreement has been presented to the Council for its consideration. (f) Certain aspects of the Development Agreement cause entering into the Amendment and Supplement to be necessary, desirable and appropriate. 2. Approval. The City hereby approves the Development Agreement and the Amendment and Supplement, each substantially in the form presented to the Council, each to be dated as of its date of execution in 1997, and hereby authorizes the Mayor and City Manager to execute the Development Agreement and Amendment and Supplement on behalf of the City, with such additions and modifications as those officers may deem desirable or necessary, as evidenced by their execution thereof. 3. Implementation. Upon the execution and delivery of the Development Agreement and Amendment and Supplement, the officers 343721.2 2
