EXTRACT OF MINUTES OF MEETING OF THE CITY COUNCIL OF THE CITY OF ROSEVILLE Pursuant to due call and notice thereof, a regular meeting of the City Council of the City of Roseville, County of Ramsey, Minnesota, was held on the 20th day of June, 2005, at 6:00 P.M. The following members were present: Kough, Ihlan, Schroeder, Maschka and Klausing And the following were absent: none. Council Member Schroeder introduced the following resolution and moved its adoption: RESOLUTION NO. 10317 A RESOLUTION APPROVING A CONTRACT FOR PRIVATE REDEVELOPMENT WITH ROSEVILLE TWIN LAKES, LLC FOR OPPORTUNITY AREAS 1-5 AND 8 OF THE TWIN LAKES REDEVELOPMENT AREA BE IT RESOLVED by the City Council (the "Council") of the City of Roseville, Minnesota (the "City"), as follows: Section 1. Recitals. 1.01 On December 8, 2003 the Council approved the "Master Developer" concept for the Twin Lakes Redevelopment Area ("Twin Lakes") and established a Stakeholders Panel process to work with the selected Master Developer on a refinement of the master concepts. 1.02 On March 29, 2004, the Council approved a resolution designating the Rottlund Company, Inc. ("Rottlund") as the Master Developer of Twin Lakes and approved a Contract for Exclusive Negotiations with Rottlund. 1.03 On September 27, 2004, the Council approved a resolution authorizing the continuation of the Contract for Exclusive Negotiations based upon Rottlund successfully achieving the performance benchmarks under Section 7(a) of that Contract. 1.04 On November 8, 2004, the Council approved the extension of deadlines relating to the Contract for Exclusive Negotiations due to the delay in making a concept land use decision as a result of the notification regarding the petition from the Friends of Twin Lakes. The deadline was extended until 60 days after the City ruled on the concept land use plan. 1.05 On January 10, 2004, the Council approved the concept land use plan as proposed by the Master Developer and amended by the Planning Commission and City Council. Therefore, the deadline for Rottlund's completion of the benchmarks set forth in Section 7(b) of the Contract for Exclusive Negotiations became March 14, 2005 and for execution of a Redevelopment Agreement became either June 13 or 20,2005.
