ARTICLE I DEFINITIONS Section 1.1. Definitions. In this Agreement, unless a different meaning clearly appears from the context: "Act" means Minnesota Statutes, Chapter 469, as amended. "Administrative Expenses" means administrative expenses of the City related to the Tax Increment District, as defined in and to the ext~nt permitted by Sections 469.174, subd. 14 and 469.176, subd. 3, respectively, of the Tax Increment Act. "Agreement" means this Agreement, as the same may be modified, amended, or supplemented. "Approved Response Action Plan" means the plans for remediating the contaminated portions of the Redevelopment Property described in the Response Action Plan to be prepared by American Engineering Testing, Inc., as approved by the MPCA. "Areas" means the Opportunity Areas identified by the City's Twin Lakes Business Park Master Plan adopted on June 26, 2001 as an amendment to the City's Comprehensive Plan and identified in Exhibit A. "Block" means any of Blocks 1, 2, 3, 4, 5, 6, 7, and 8 of the Minimum Improvements indicated on the Site Plan attached as Exhibit B. "Building" means each of the structures included in the Minimum Improvements and shown on the Site Plan. "Certificate of Completion" means the certification in the form of Exhibit C to be provided to the Redeveloper upon completion of each Stage of the Project pursuant to Section 5.8. "City Event of Default" means an action by the City described in Section 8.2. "City" means the City ofRoseville, Minnesota. "City Parcels" means any Parcels as to which the Redeveloper is unable to acquire marketable title through voluntary acquisition (including gaps, gores, and property which is subject to boundary disputes and survey issues) and which the City acquires through eminent domain pursuant to Article III. "Closing" means the date on which title to City Parcels are conveyed to the Redeveloper. "Code" means the Internal Revenue Code of 1986, as amended. 2
