<br />ARTICLE I <br /> <br />DEFINITIONS <br /> <br />Section 1.1. Definitions. In this Agreement, unless a different meaning clearly appears <br />from the context: <br /> <br />"Act" means Minnesota Statutes, Chapter 469, as amended. <br /> <br />"Administrative Expenses" means administrative expenses of the City related to the Tax <br />Increment District, as defined in and to the ext~nt permitted by Sections 469.174, subd. 14 and <br />469.176, subd. 3, respectively, of the Tax Increment Act. <br /> <br />"Agreement" means this Agreement, as the same may be modified, amended, or <br />supplemented. <br /> <br />"Approved Response Action Plan" means the plans for remediating the contaminated <br />portions of the Redevelopment Property described in the Response Action Plan to be prepared by <br />American Engineering Testing, Inc., as approved by the MPCA. <br /> <br />"Areas" means the Opportunity Areas identified by the City's Twin Lakes Business Park <br />Master Plan adopted on June 26, 2001 as an amendment to the City's Comprehensive Plan and <br />identified in Exhibit A. <br /> <br />"Block" means any of Blocks 1, 2, 3, 4, 5, 6, 7, and 8 of the Minimum Improvements <br />indicated on the Site Plan attached as Exhibit B. <br /> <br />"Building" means each of the structures included in the Minimum Improvements and <br />shown on the Site Plan. <br /> <br />"Certificate of Completion" means the certification in the form of Exhibit C to be <br />provided to the Redeveloper upon completion of each Stage of the Project pursuant to Section <br />5.8. <br /> <br />"City Event of Default" means an action by the City described in Section 8.2. <br /> <br />"City" means the City ofRoseville, Minnesota. <br /> <br />"City Parcels" means any Parcels as to which the Redeveloper is unable to acquire <br />marketable title through voluntary acquisition (including gaps, gores, and property which is <br />subject to boundary disputes and survey issues) and which the City acquires through eminent <br />domain pursuant to Article III. <br /> <br />"Closing" means the date on which title to City Parcels are conveyed to the Redeveloper. <br /> <br />"Code" means the Internal Revenue Code of 1986, as amended. <br /> <br />2 <br />
