<br />"Reconciliation Date" means, following the issuance of all Certificates of Completion for <br />the Project, the 1st of April of the fIrst tax pay year following the year in which the Minimum <br />Improvements were fully assessed. <br /> <br />"Redeveloper" means Roseville Twin Lakes, LLC, a MiIll1esota limited liability <br />company, and its permitted successors or assigns. The initial members of the Redeveloper are <br />The Rottlund Company, Inc. and Twin Lakes Commercial, LLC, the members of which are <br />Roseville Properties, John J. Johannson and Christopher Simmons. <br /> <br />"Redeveloper Event of Default" means an action by the Redeveloper set forth in Section <br /> <br />8.1. <br /> <br />"Redeveloper Return" has the meaning given to that term in Section 4.4. <br /> <br />"Redevelopment Property" means the approximately 77 acres of real property described <br />in Exhibit A upon which the Minimum Improvements are to be constructed and which consists <br />of Areas 1-5 and 8. <br /> <br />"Redevelopment Property Deed" means the form of quit claim deed, substantially in the <br />form attached as Exhibit K, to be used to convey City Parcels to the Redeveloper. <br /> <br />"Regulations" means the Treasury Regulations promulgated under the Code, as amended. <br /> <br />"Site Improvements" means the improvements described in Exhibit F to be constructed <br />by the Redeveloper on the Redevelopment Property pursuant to Article V and the PUD <br />Agreement. <br /> <br />"Site Plan" means the plan attached as Exhibit B showing the nature and location of the <br />Minimum Improvements. <br /> <br />"Sources and Uses" means the Sources and Uses schedule of Project Revenues and <br />Project Costs to be submitted pursuant to Section 4.3 by the Redeveloper to the City in the <br />format attached as Exhibit 1. <br /> <br />"Stage" means any of Stages 1,2, 3, or 4. <br /> <br />"Stage 1" means the portion of the Project consisting of the construction of the storm <br />water basin, extension of utilities to property lines and construction of Twin Lakes Parkway <br />between Cleveland and Fairview Avenues, as set forth more fully in Section 5.1. <br /> <br />"Stage 2" means the portion of the Project consisting of the completion of Prior Avenue <br />and construction of Blocks 2 and 5. <br /> <br />"Stage 3" means the portion of the Project consisting of Blocks 1, 3, 4, and 6. <br /> <br />"Stage 4" means the portion of the Project consisting of Blocks 7 and 8. <br /> <br />5 <br />
