<br />EXHIBIT C <br /> <br />CERTIFICATE OF COMPLETION <br /> <br />WHEREAS, the City of Roseville, Minnesota, a municipal corporation (the "City") and Roseville <br />Twin Lakes, LLC, a Minnesota limited liability company (the "Redeveloper"), have entered into a <br />Contract for Private Redevelopment (the "Agreement") dated as of September 9, 2005, regarding certain <br />real property located in a tax increment fmancing district in the City (hereinafter referred to and referred <br />to in the Agreement as the "Redevelopment Property"); and <br /> <br />WHEREAS, the Agreement contains certain conditions and provisions requiring the Redeveloper <br />to construct improvements upon the Redevelopment Property (hereinafter referred to and referred to in <br />the Agreement as the "Minimum Improvements"); and <br /> <br />'WHEREAS, Section 5.8 of the Agreement requires the City to provide an appropriate instrument <br />promptly after the substantial completion (as defined in the Agreement) of the Minimum Improvement!:; <br />so certifYing said substantial completion; <br /> <br />NOW, THEREFORE, in compliance with Section 5.8 of the Agreement, this is to certifY that the <br />Redeveloper has substantially completed the Minimum Improvements in accordance with the conditions <br />and provisions of the Agreement relating solely to the obligations of the Redeveloper to construct the <br />Minimum Improvements (including the dates for beginning and completion thereof), and this <br />certification shall be a conclusive determination of satisfaction and termination of the agreements and <br />covenants in the Agreement with respect to the obligations of the Redeveloper, and its successors and <br />assigns, to construct the Minimum Improvements and the dates for the beginning and completion thereof. <br /> <br />Dated: <br /> <br />,2005 <br /> <br />THE CITY OF ROSEVILLE, MlNNESOT A <br /> <br />By <br />Mayor <br /> <br />By <br />City Manager <br /> <br />STATE OF MINNESOTA ) <br />)ss <br />COUNTY OF RAMSEY ) <br /> <br />On this day of , 20_ before me, a notary public, personally <br />appeared and , to me personally known and who by me duly <br />sworn, did say that they are the Mayor and City Manager, respectively, of the City of Roseville, <br />Minnesota, and acknowledged the foregoing instrument on behalf of said City. <br /> <br />Notary Public <br /> <br />46 <br />
