Attachment A <br /> <br />1 MEMORANDUM OF UNDERSTANDING <br />2 BETWEEN <br />3 CITY OF ROSEVILLE, MINNESOTA <br />4 AND HOUSING AND REDEVELOPMENT AUTHORITY <br />5 IN AND FOR THE CITY OF ROSEVILLE <br />6 <br />7 This MEMORANDUM OF UNDERSTANDING is hereby made and entered into by and <br />8 between the City of Roseville () and Housing and Redevelopment Authority in and for <br />9 the City of Roseville () as of the dates of signatures below. <br />10 <br /> <br />11 A.PURPOSE <br />12 <br />13 The purpose of this MOU is to articulate the general understanding about responsibilities of the <br />14 City and the RHRA in regards to redevelopment of parcels legally described on Attachment A <br />15 and generally located at the corner of Dale Street and Lovell <br />16 <br /> <br />17 B.THE CITY OF ROSEVILLE OBLIGATIONS: <br />18 <br /> <br />19 1.The City will convey the Property to the RHRA by quit claim deed for a purchase price equal <br />20 to the appraised value of land. The allocation of costs associated with demolition of the <br />21 existing building and environmental remediation of the Property will be furthered reviewed <br />22 and discussed by both parties prior to the transfer of the Property. <br /> <br />23 2. The RHRA will, at its cost, obtain the appraisal of the Property, and the costs of demolition <br />24 and remediation will be as mutually agreed upon by the City and RHRA. <br /> <br />25 3.Property will be conveyed to the HRA within 60 days after the Fire Department vacates the <br />26 Property. <br /> <br />27 4.Before expiration of this agreement, the City will rezone the Property up to HDR-1, High <br />28 Density Residential (subject to compliance with all procedures under City ordinances and <br />29 State law), based upon a redevelopment proposal received by RHRA. <br /> <br />30 5.The parties will mutually agree as to allocation of closing costs for conveyance of the <br />31 Property. <br /> <br />32 C.RHRA OBLIGATIONS: <br />33 <br /> <br />34 1.The RHRA will work with the surrounding neighborhood and City Council in envisioning a <br />35 preferred development on the Property. <br /> <br />36 2.The RHRA will seek a redeveloper to develop the Property, and negotiate with that <br />37 redeveloper regarding terms of sale of the Property and construction of the preferred <br />38 development on the Property. <br /> <br />39 3.The RHRA will undertake environmental review and remediation of the Property, including <br />40 conducting a Phase I and Phase II environmental review as necessary; a Hazardous Building <br />41 Assessment and resulting remediation as determined by the studies (the cost of which is <br />42 offset against the purchase price, as described above). <br />43 <br /> <br />
