<br />11. Public HearinG Notice. The form of Notice of <br />Public Hearing and the publication thereof in the ST. PAUL <br />PIONEER PRESS on May 1, 1998 is hereby ratified and approved. <br /> <br />12. Amended and Restated Development Agreement. The <br />Council approves the Amended and Restated Development Agreement <br />("First Amendment") dated June 1, 1998 to be entered into between <br />the City and the Developer. The Amended and Restated authorizes <br />the issuance of a Tax Increment Note in the amount of $532,390 in <br />connection with the Improvements as originally provided for in <br />the Development Agreement dated October 1, 1993 entered into <br />between the City and the Developer. <br /> <br />13. HeadinGs; Terms. Paragraph headings in this <br />Resolution are for convenience of reference only and are not a <br />part hereof, and shall not limit or define the meaning of any <br />provision hereof. Capitalized terms used but not defined herein <br />shall have the meanings given them in the Indenture or Loan <br />Agreement. <br /> <br />The motion for the adoption of the foregoing resolution was <br />seconded by member Goedeke and upon vote being <br />taken thereon, the following voted in favor thereof: <br /> <br />Mastel, Maschka, Wiski, Goedeke, and Wall, <br /> <br />and the following voted against the same: None. <br /> <br />Whereupon said resolution was declared duly passed and <br />adopted. <br /> <br />940544.1 <br /> <br />7 <br />
