ROSEVILLE HOUSING AND REDEVELOPMENT AUTHORITY CONSULTANT SERVICES AGREEMENT th THIS IS AN AGREEMENT entered into the ___15_ day of _January, 2013, by and between the Roseville Housing and Redevelopment Authority, hereinafter referred to as the RHRA, andGeorge Hornik, hereinafter referred to as the Consultant. WITNESSETH: WHEREAS , the RHRAdesires to hire the Consultant to continue marketing and public outreach services for the RHRA Living Smarter campaign,and Consultant desires to perform those services for the compensation and on the terms described herein. NOW, THEREFORE, the parties hereto do mutually agree as follows: I.Scope of Services. The Consultant shall perform those servicesas are describedin the attached Exhibit A. II.Term.This Agreement shall be effective upon the approval of the RHRA Boardand execution by the RHRA Chairman and the RHRA Executive Directorand shall continue until terminated by either party upon a thirty (30) day written notice thereof. III.Compensation. The fees for the Consultant’s services will be billed in accordance with the feesdescribed in the attached Exhibit Abut not to exceed $30,000. Fees shall be paid within thirty(30) days following receipt of a monthly invoice and status report detailing the services performed. IV.Indemnification. The parties shall indemnify and hold harmless each other and their officials, agents, and employees from any loss, claim, liability, and expense (including reasonable attorney’s fees and expenses of litigation) arising out of any action constituting malfeasance or gross negligence of the respective parties in the performance of the service of this contract. V.Assignment. This Agreement shall not be assigned,sublet, or transferred without the written consent of the City. VI.Conflict of Interest. The Consultant agrees to immediately inform, by written notice, the RHRA Executive Director of possible contractual conflicts of interest in representing the RHRA.Conflicts of interest may be grounds for termination ofthis Agreement.
