ICC LICENSE AGREEMENT <br />This ICC License Agreement (this "Agreement") is made and entered into, as of the <br />Effective Date identified in Schedule I, by and between INTERNATIONAL CODE COUNCIL <br />("ICC"), with offices at 5203 Leesburg Pike, Falls Church, Virginia 22041, and City of Roseville <br />with offices at 2660 Civic Center Drive, Roseville Minnesota 55113 (the "Licensee"). <br />WITNESSETH: <br />A. ICC has intellectual property rights, including copyrights and trademarks, in and <br />to the work identified in Schedule I as the "Licensed Material" and the City (Licensee) wishes to <br />incornor�te this Licensed Material into a derivative work icnown as Chapter 907 of the Roseville <br />City Code Property Maintenance and post tl�is derivative work on the Cit-y's secure website in a <br />Read Only fonnat, for viewing by the public, by obtaining a license from ICC. Licensee also <br />desires to print and distribute the derivative worlc in a printed format for distribution to interested <br />parties. <br />B. ICC desires to grant to Licensee a non-exclusive License to post a derivative work <br />which contains Licensed Material on Licensee's website in accordance with the terms and <br />conditions set forth in this Agreement. ICC desires to grant to Licensee a non-exclusive license <br />to print and distribute the Licensed Material as part of the derivative work in accordance with the <br />terms and conditions set forth in this Agreement <br />NOW, THEREFORE, for and in consideration of the foregoing and their mutual covenants and <br />agreements set forth below and other good and valuable consideration, the receipt and <br />sufficiency of which are hereby acknowledged, the parties, intending to be legally bound, hereby <br />agree as follows: <br />l. This Agreement consists of the provisions set forth on this page, the Standard <br />Terms and Conditions appended hereto (which are incorporated herein by this reference), and <br />Schedule I appended hereto (which is incorparated herein by this reference). If and to the extent <br />that any provision in Schedule I is inconsistent with the Standard Terms and Conditions, the <br />terms set forth in Schedule I shall apply. <br />2. In consideration of the Licensee paying a License fee to ICC as described in the <br />Standard Terms and Conditions and Schedule I appended hereto, ICC shall grant to Licensee a <br />personal, non-transferable, non-exclusive license to post the Licensed Material on its website as <br />part of a derivative work in a Read Only fonnat and to print and distribute the Licensed Material <br />as part of the derivative work. <br />3. Licensee shall use the Licensed Material solely in accordance with all terms and <br />conditions of this Agreement. <br />Page 1 of 5 <br />
