STANDARD TERMS AND CONDITIONS <br />A. Definitions. As used in these Standard Terms and Conditions, capitalized tenns <br />will have the meanings ascribed to them in the ICC License Agreement to which these Standard <br />Terms and Conditions are appended (or, more specifically if applicable, in Schedule I). <br />B. ICC Property. All Licensed Material shall remain the property of ICC, and <br />nothing contained in this Agreement shall be deemed to transfer any ownership of the Licensed <br />Material to Licensee. <br />C. Grant of License. Subject to Licensee's full and complete compliance with all of its <br />obligations under this Agreement, ICC grants to Licensee a personal, non-transferable, non- <br />exclusive license to post licensed material as part of a derivative work on its secure website in a <br />Read Only format for viewing by the general public. This license does not include the right to <br />sublicense and Licensee agrees that it will not knowingly permit any third party who has access <br />to any Licensed Material through Licensee to reproduce or distribute, any Licensed Material or <br />copies thereof. <br />D. Website Postin�. Licensee agrees to provide access to the Licensed Materials by <br />means of a website approved by ICC (the "Website") on the following terms and conditions: <br />l. The Licensed Material available via the Website shall bear a notice, in a <br />form provided by ICC, indicating the copyrighted nature of the Licensed Material and that <br />further distribution of the Licensed Material is prohibited. <br />2. The Licensed Material shall be posted only in a format to be mutually <br />agreed upon in writing in advance by ICC and Licensee. <br />E. Fees. <br />l. In consideration of the grant of the license by ICC to Licensee, Licensee <br />shall pay a one time fee in the amount set forth in Schedule I. Payment of the fee shall be made <br />prior to posting Licensed Material on Licensee's website. <br />F. Reserved Rights. ICC reserves all rights not expressly granted to Licensee <br />hereunder. <br />G. Copyright Notice. Notwithstanding anything to the contrary contained herein, <br />Licensee shall include notice, in substantially the applicable form below, affixed in such manner <br />and location as to give reasonable notice of ICC's claim of copyright, on all copies of the <br />Proposed Regulations reproduced or distributed by Licensee: <br />Based on copyrighted material owned by Inteinational Code Council. <br />Portions Copyright � 2003 International Code Council.
