16. Property Condition Disclosure. The parties acknowledge that the Seller must provide the <br /> Buyer a written disclosure, or Buyer must have received an inspection report, or Buyer <br /> and Seller may waive the written disclosure requirements under Minnesota Statutes <br /> Sections 513.52-513.60. THE SELLER AND BUYER EXPRESSLY WAIVE THE <br /> WRITTEN DISCLOSURE REQUIRED UNDER MINNESOTA STATUTES <br /> SECTIONS 513.52 TO 513.60. <br /> 17. Airport Zoning Regulations. If airport zoning regulations affect the Property, a copy of <br /> those airport zoning regulations as adopted can be viewed or obtained at the office of the <br /> County recorder where the zoned area is located. <br /> 18. Relocation Benefits: The Seller represents and warrants to the Buyer that the property <br /> was vacant and unoccupied before the initiation of negotiations between the parties for <br /> the Buyer's acquisition of the Property and that the Property has been continuously <br /> vacant and unoccupied since that time. The Seller further warrants and represents to <br /> Buyer that the Seller has not moved from the Property and has no right or claim to <br /> relocation benefits as a result of this transaction. <br /> 19. Studies and Other Materials. Within twenty (20) days after the Effective Date, the Seller <br /> shall provide the Buyer with copies of all soil reports, surveys, engineering studies and <br /> reports, environmental studies and reports and other documents that Buyer may request <br /> pertaining to the Property, if Seller has any. If the foregoing would work an <br /> inconvenience on the Seller, in lieu thereof, the Seller shall permit the Buyer to examine <br /> and make copies of such items during normal business hours, and shall provide facilities <br /> for these purposes. <br /> 20. Miscellaneous. <br /> A. Entire Agreement. This written Agreement constitutes the complete agreement <br /> between the parties and supersedes any prior oral or written agreements between the <br /> parties regarding the Property. <br /> B. Controlling Law. This Agreement has been made under the laws of the State of <br /> Minnesota,and will control its interpretation. <br /> C. Binding Effect. This Agreement is binding upon the inures to the benefit of the <br /> parties hereto and their respective heirs, executors, administrators, legal <br /> representatives, successors and assigns. <br /> D. Amendments. No amendment to this Agreement will be binding on either of the <br /> parties hereto unless such amendment is in writing and is executed by the party <br /> against whom enforcement of such amendment is sought. <br /> E. Time of the Essence. Time is of the essence of this Agreement and each and every <br /> term and condition hereof. <br /> 9 <br />
