Attachement C <br />Exhibit A <br />SETTLEMENT AGREEMENT <br />The City of Roseville ("City'T), Pikovsky Management, EEC ("'Pikovsky"), and <br />PIK Terminal Co. Limited Partnership ("PIKE') hcreby enter into this Settlement <br />Agrcerent on the latest date of the signatures set. forth below. P vsky and PIK shall <br />collectively be referred to as the '"Owners.1n <br />WHEREAS, the City sought to obtain fee title for road construction purposes on <br />property ("Propefty") owned by the Owners; and <br />WHEREAS, the C i ty and the Own ers c ou I d n of afire e on comp e n sati on for th e <br />Property to be acquired; and <br />R. <br />WHEREAS, the City commenced an eminent domain action against the Owners, <br />as well as other Respondcnts, in order to obtain the Property, and said action is Court File <br />N.+ 2-CV-09-5151, which is captioned as City of Roseville v., XT RA Lease , Inc., et al,; <br />and <br />WHEREAS, the City and the Owners wish to settle all clairns between them in <br />order to avoid ftLrther costly litigation; and <br />WHEREAS, as part of the settlement of this matter, the City and the Owners wish <br />to provide for the City's demolition of certain buildings on the Owners' remaining <br />property ("Owners" Remaining Property"') to be paid for by assessments agam'st the <br />Owners" Remaining Pre perty& <br />NOW, THEREFORE, in consideration of the mutual promises contained herein, <br />the Sufficiency of which "is hereby acknowlcdged by all parties, the City and the Owners, <br />agree as follows: <br />The legal description of land acquired by the City by eminent domain <br />("Pikovsky Prop erte j, in accordance with the Ramsey County District Court's July 301, <br />2009 Order -in the above-referenced matter, is: <br />That part of the following ,described tract of land in the City of Roscville: <br />(Parccl 3) <br />Lots 1, 2, 3 and 4,, Block D, Twin View. according to the recorded plat thereof, <br />Ramsey County, Minnesota. <br />Which lies within the following fee acquisition areas: <br />The west 10.00 feet of (Parcel 3). <br />
