Attachement C Exhibit A SETTLEMENT AGREEMENT The City of Roseville ("City'T), Pikovsky Management, EEC ("'Pikovsky"), and PIK Terminal Co. Limited Partnership ("PIKE') hcreby enter into this Settlement Agrcerent on the latest date of the signatures set. forth below. P vsky and PIK shall collectively be referred to as the '"Owners.1n WHEREAS, the City sought to obtain fee title for road construction purposes on property ("Propefty") owned by the Owners; and WHEREAS, the C i ty and the Own ers c ou I d n of afire e on comp e n sati on for th e Property to be acquired; and R. WHEREAS, the City commenced an eminent domain action against the Owners, as well as other Respondcnts, in order to obtain the Property, and said action is Court File N.+ 2-CV-09-5151, which is captioned as City of Roseville v., XT RA Lease , Inc., et al,; and WHEREAS, the City and the Owners wish to settle all clairns between them in order to avoid ftLrther costly litigation; and WHEREAS, as part of the settlement of this matter, the City and the Owners wish to provide for the City's demolition of certain buildings on the Owners' remaining property ("Owners" Remaining Property"') to be paid for by assessments agam'st the Owners" Remaining Pre perty& NOW, THEREFORE, in consideration of the mutual promises contained herein, the Sufficiency of which "is hereby acknowlcdged by all parties, the City and the Owners, agree as follows: The legal description of land acquired by the City by eminent domain ("Pikovsky Prop erte j, in accordance with the Ramsey County District Court's July 301, 2009 Order -in the above-referenced matter, is: That part of the following ,described tract of land in the City of Roscville: (Parccl 3) Lots 1, 2, 3 and 4,, Block D, Twin View. according to the recorded plat thereof, Ramsey County, Minnesota. Which lies within the following fee acquisition areas: The west 10.00 feet of (Parcel 3).
