Lessee's design or eng meermg specifications for its Antenna Facilities or the communication system to which the <br />Antenna Facilities belong. <br />Within 120 days written notice of tennination of this Lease for any reason, lessee shall remove its equipment, <br />personal property, Antenna Facilities, and leasehold improvements from the Property, and shall repair any damage <br />to the Owner's Property cause by such equipment, normal wear and tear and casualty and loss beyond Lessee's <br />control excepted; all at Lessee's sole cost and expense and to reasonable satisfaction of the Owner. Any such <br />property or facilities which are not removed by the end of the 1 2days period shall become proper if the Owner. <br />1. Insurance. <br />a During the Teruo, Lessee will carry, at its own cost and expense, the following insurance; i ) workers' <br />compensation insurance as required by law, and (ii) commercial general liability GL insurance with respect to <br />its activities on the Property, such insurance to afford protection of up to Three Million Dollars ($3,000,000) per <br />occurrence and Six Nfillion Dollars ($6,000,000) general aggregate, based on Insurance Services Office ISO Form <br />G 00 01 or a substitute form providing substantially equivalent coverage. Lessee's CL insurance shall contain <br />provision including Owner as an additional insured. Such additional insured coverage: <br />(i) shall be limited to bodily MU r , property damage or personal and advertising injury <br />caused, in whole or in part, by Lessee, its employees, agents or independent contractors; <br />(ii) shall not extend to claims for punitive or exemplary damages arising out of the acts or <br />omissions of Owner, its employees, agents or independent contractors or where such coverage is <br />prohibited by law or to claims arising out of the gross negligence of Owner, its employees, agents <br />or independent contractors; and <br />(iii) shall not exceed Lessee's indemnification obligation under this Lease, if any. <br />b ) Notwithstanding the foregoing, Lessee shall have the right to self-insure the coverages required in <br />subsection (a). In the event Lessee elects to self - insure its obligation to crude bier as an additional insured, the <br />following provisions shall apply addition to those set forth in subsection a: <br />(i) Owner shall promptly and no later than third 3 clays after notice thereof provide <br />Lessee with written notice of any clap., demmd, lawsuit, or the life for which it seeks coverage <br />pursuant to this Section and provide Lessee with copies of any demands, notices, summonses, or <br />legal papers received in connection with such claim, demand, lawsuit, or the like; <br />(H) Owner shall not settle any such claim, demand, lawsuit, or the like without the prior <br />written consent of Lessee; and <br />(iii) Owner shall fully cooperate with Lessee in the defense of the claim, demand, lawsuit, <br />or the like. <br />Lessee shall provide owner, prior to the Commencement Date and upon request from Owner, evidence of the <br />required insurance in the form of a certificate of insurance issued by an insurance company licensed to do business <br />in the Mate of Minnesota. Lessee shall provide Owner with at least thirty days' prior written notice of any <br />required policy that is cancelled or non- renewed and is not replaced. <br />15. Oannage or Destruction. if the property, or any portion thereof, is destroyed or damaged so as to hinder the <br />effective use of the Antenna Facilities, Lessee may elect to terminate this Lease upon thirty days' written <br />notice to Owner. In such event, all rights and obligations of the parties shall cease as of the date of damage or <br />destruction, and Lessee shall be entitled to the reimbursement of any rent prepaid by the Lessee. If the notice of <br />termination is given, or if the der undertakes to rebuild or resolving the damage or destruction of the Antenna <br />Facilities, Owner agrees to use its reasonable efforts to permit Lessee to place temporary transmission and reception <br />facilities on the Property at no additional Rent until such time as lessee is able to secure a replacement transmission, <br />location or the reconstruction of the Antenna Facilities is completed. <br />16. Indemnification. Lessee and Owner mutually agree to the extent permitted by law, to indemnify, defend and <br />hold h n less each other and its elected officials,, officers, employees, agents, and representatives, from and against <br />any and all claims, costs, losses , expenses, demands, actions or cause of action., including any reasonable attorneys' <br />
