<br />Class A. Class A members shall be all Owners with the exception of the <br />Declarant, and shall be entitled to one vote for each Lot owned. When more <br />than one person holds an interest in any Lot, all such persons shall be <br />members. The vote for such Lot shall be exercised as they determine, but in <br />no event shall more than one vote be cast with respect to any Lot. <br /> <br />Class B. The Class B member(s) shall be the Declarant and persons <br />succeeding to the rights of Declarant (as provided in the Declaration), and <br />shall be entitled to three (3) votes for each Lot owned. The Class B <br />membership shall cease and be converted to Class A membership on the happening <br />of the earlier of the following: <br /> <br />(a) when the total votes outstanding in the Class A membership equal the <br />. total votes outstanding in the Class B membership; or <br /> <br />(b) on <br /> <br />From and after the happening of the earlier of these events, any Class B <br />member shall be deemed to be a Class A member entitled to one (1) vote for <br />each Lot in which it holds the interest required for membership. <br /> <br />The right of any member to vote shall be suspended during any period in <br />which such member shall be in default in the payment of any assessments levied <br />by the Association. Such rights may also be suspended after notice and <br />hearing, for a period not to exceed sixty (60) days for any infraction of any <br />rules or regulations adopted and published by the Association. <br /> <br />ARTICLE VII. <br />BOARD OF DIRECTORS <br /> <br />The affairs of the Association shall be vested in the Board of <br />Directors. The first Board of Directors of the Association shall consist of <br />three persons, whose names and addresses are: <br /> <br />Todd M. Stutz, 138 White Oaks Lane, Vadnais Heights, MN 55127 <br />Lawrence B. Shapiro, 1801 Westwood Hills Dr., St. Louis Park, <br />MN 55426 <br />Bernard J. Rotter, 9001 Chesshire Lane, Maple Grove, MN 55369 <br /> <br />Except as otherwise provided in the Bylaws of the Association, the term of the <br />first Board of Directors shall run until the fifth anniversary of the date of <br />filing of the Declaration. The number of directors, term of office, method of <br />removal from office, and method of the filling of vacancies in the Board of <br />Directors shall be as provided in the Bylaws of the Association. <br /> <br />-3- <br />
