Section 2. In the case of any conflict between the Articles of Incorporation and these Bylaws, the Articles shall control; in the case of any conflict between the Declaration and these Bylaws, the Declaration shall control; and in the case of a conflict between the Articles of Incorporation and the Declaration, the Declaration shall control. ARTICLE XV. DISSOLUTION The Association may be dissolved with the assent given in writing and signed by not less than the members entitled to cast seventy-five percent (75%) of the votes of each class of members. Upon dissolution of the Association, other than incident to a merger or consolidation, the assets of the Association shall be dedicated to an appropriate public agency to be used for purposes similar to those for which this Association was created. In the event that such dedication is refused acceptance, such assets shall be granted, conveyed and assigned to any non-profit corporation, association, trust or other organization to be devoted to such similar purposes. No such disposition of Association property shall be effective to divest or diminish any right or title of any member vested in him or her under the Declaration unless made in accordance with the provisions of such Declaration. ARTICLE XVI. FHA/VA APPROVAL If all or a portion of the Property involves financing through the Federal Housing Administraiton or the Department of Veteran Affairs, the following actions shall require the prior approval of the Federal Housing Administration or the Department of Veterans Affairs as long as there is Class B membership: Annexation of additional properties and amendment of the Declaration. ARTICLE XV. MISCELLANEOUS The fiscal year of the Association shall begin on the First day of January and end on the 31st day of December of every year, except that the first fiscal year shall being on the date of incorporation. -8-
