<br />exercises the Option to Sell (the "Date of Closing"), "is hereby deleted in its entirety and <br />replaced with the following: <br /> <br />Subject to the provisions of Section 14, 18 and 19 below, Seller <br />and Buyer must meet on September 1, 1997 or such earlier date <br />as the Parties may mutually agree upon (the "Date of Closing") <br /> <br />6. Section 13 . Evidence of Title. Section 13 is deleted in its entirety and <br />replaced with the following: <br /> <br />"13 . Evidence of Title. Buyer has obtained a commitment for <br />title insurance and survey of the Property (the "Evidence of <br />Title"). On or before the Date of Closing, Seller must deliver <br />an abstract of title to those portions of the Property that are not <br />registered property and an owners duplicate certificate of title <br />for all portions of the Property that are registered property to <br />Buyer. Buyer agrees to accept the Abstract of Title without <br />recertification. <br /> <br />7. Section 14 . Examination of Title. The initial clause of the first sentence of <br />Section 14, which reads: "Within fifteen (15) days following Buyer's receipt of the last item <br />of the Evidence of Title." is hereby deleted in its entirety and replaced with the following: <br /> <br />Within 30 days following Buyers exercise of the Option to <br />Purchase or Sellers exercise of the Option to Sell, <br /> <br />8. Section 16 . Seller's Representations and Warranties. Notwithstanding the <br />language in the last paragraph of Section 16 which states: <br /> <br />"Each of the representations and warranties herein contained <br />shall survive the closing." <br /> <br />Buyer agrees that Buyer must assert any claims based upon the representations and <br />warranties set forth in Section 16 on or before the date nine (9) months from the date of <br />closing or Buyer shall be deemed to have waived such claims. <br /> <br />9. I.R.C. ~1031 Exchanee. Seller has advised Buyer that Seller desires to <br />complete this transaction as a part of a Section 1031 Exchange. Buyer agrees that to <br />facilitate Seller's exchange, Buyer will execute an agreement in the form attached as Exhibit <br />A <br /> <br />356051.3 <br /> <br />2 <br />
