<br />current estimate of such taxes and special assessment installments, assuming for estimating <br />purposes that the Property will be fully assessed. The Escrow Agent shall hold such deposit <br />in escrow and shall pay all interest earnings on such deposit to Owner. The Escrow Agent <br />shall retain such deposit to pay Owner's share of the actual real estate taxes payable in the <br />year of Closing and installments of special assessments, including interest, payable therewith. <br />. When the amount of such real estate taxes, including interest, payable therewith is <br />determined and announced by the appropriate public authorities, the Escrow Agent shall <br />promptly pay Owner's prorated share thereof to Purchaser and shall pay any excess of such <br />deposit over to Owner. If the escrowed funds are insufficient to pay Owner's prorated <br />share, Owner shall promptly pay any deficiency to Purchaser. <br /> <br />5.3 Utilities. All utilities provided to the Property prior to the Closing <br />shall be paid by Owner. The provisions of this Section 5 shall survive the Closing. <br /> <br />5.4 Closing Fee. Owner and Purchaser will each pay one-half of any <br />reasonable and customary closing fee or charge imposed by the Escrow Agent or its <br />designated closing agent. <br /> <br />6. OWNER'S TITLE EVIDENCE AND SURVEY. Owner shall furnish the <br />following to Purchaser: <br /> <br />(a) Within twenty (20) days after the date of this Agreement, an Abstract of Title <br />or a Registered Property Abstract certified to date including proper searches covering <br />bankruptcies and State and Federal judgments, liens, and levied and pending special <br />assessments. Purchaser shall have ten (10) business days after receipt of the Abstract of <br />Title or Registered Property Abstract to make an application for a title insurance policy and <br />notify Owner of the application. <br /> <br />(b) Within thirty (30) days after the date of this Agreement, a report of UCC <br />Searches made of the Uniform Commercial Code records of the Secretary of State of <br />Minnesota and Ramsey County UCC Division showing no DCC filings regarding any of the <br />Property. ' . <br /> <br />(c) Within twenty (20) days after issuance of the title insurance commitment, <br />at Purchaser's sole expense, a current boundary survey of the Property made by a registered <br />Minnesota surveyor which survey shall certify to the Purchaser the matters described on <br />Exhibit B attached hereto. <br /> <br />Purchaser shall have ten (10) business days after receipt of the latter of (i) commitment for <br />title insurance or (ii) survey to provide Owner with written objections. <br /> <br />6 <br />
