Purchaser hereby acknowledges that the Property is being <br />purchased on an "As Is, Where Is" basis except as to any and all representations, warranties and <br />covenants contained in this Agreement. <br /> <br />14. GENERAL PROVISIONS. <br /> <br />(a) This writing shall be construed, governed and administered in accordance with <br />the laws of the State of Minnesota. <br /> <br />(b) This writing is the final and entire expression of the agreement between <br />Purchaser and Owner with respect to its subject matter and may not be amended, modified, or <br />supplemented, except by written agreement of Purchaser and Owner, executed by their duly <br />authorized representatives. <br /> <br />(c) Either Owner or Purchaser may assign its rights under this Agreement, <br />without the prior written consent of the other party. This Agreement shall be binding upon and <br />shall inure to the benefit of Purchaser and Owner and their respective heirs, successors, personal <br />representatives and assigns. <br /> <br />(d) All representations and warranties shall survive the Closing. <br /> <br />8 <br />
