<br />constructed, on the Property unless and until the Construction Plans have been approved <br />by the Seller. Consent to the Construction Plans shall not be unreasonably withheld; <br />provided, however the Seller shall not be required to approve the Construction plans <br />unless: (i) the Construction Plans conform to the terms and conditions of this Contract, <br />including but not limited to the requirements set forth in the HRP Guidelines; (ii) the <br />Construction Plans conform to all applicable federal, state and local laws, ordinances, <br />rules and regulations; and (iii) the Construction Plans are adequate to provide for <br />construction of t.he Minimum Improvements. Approval may be based upon a review by <br />the Seller's building official or officials or other designated staff member or members of <br />the Construction Plans. In the event that the Construction Plans are rejected, the Seller <br />shall deliver in writing to the Purchaser the reasons therefor. If the Seller rejects any <br />Construction Plans in whole or in part, the Purchaser shall submit new or corrected <br />Construction Plans. <br /> <br />(c) CONSTRUCTION OF MINIMUM IMPROVEMENTS. <br /> <br />(d) <br /> <br />~ <br />F).. 0 <br />MJ~~ // <br />.5e{ <br /> <br />(i) The Purchaser agrees that following closing 'it wiU construct the Minimum <br />Improvements on the Property in accordance with the Construction Plans and at <br />all times operate and maintain. preserve, and keep the Minimum Improvements <br />and the Property in good repair and condition. The Seller shall not have any <br />obligation to construct or maintain the Minimum Improvements. <br /> <br />(ii) The Purchaser will construct the Minimum Improvements in accordance with all <br />local, state and federal energy-conservation laws or regulations. <br /> <br />(iii) The Purchaser will obtain, in a timely manner, all required permits, licenses, and <br />approvals, and will meet. in a timely manner. all requirements of all applicable <br />local, state and federal laws and regulations which must be obtained before the <br />Minimum Improvements may be lawfully constructed, including without <br />limitation, the requirements of any necessary special use permits. <br /> <br />(iv) The Purchaser shall promptly advise the Seller in writing of all litigation or claims <br />affecting any part of the Minimum Improvements and all written complaints and <br />charges made by any governmental authority affecting the Minimum <br />Improvements or affecting Purchaser or its business which may delay or require <br />changes in construction of the Minimum Improvements. <br /> <br />COMMENCEMENT AND COMPLETION OF MINIMUM IMPROVEMENTS. Subject to <br />Unavoidable Delays, the Purchaser shall commence demolition of existing improvements <br />and thereafter construction of the Minimum Improvements on the Property within ten <br />(10) days after Seller approved the Construction Plans. Subject to Unavoidable Delays. <br />the Purchaser shall substantially complete the construction of the Minimum <br />Improvements within 180 days after the commencement of construction. All work with <br />re~nect to the Minimum Improvements to be constructed or provided by the Purchaser <br />on 'the Property shall be in strict conformity with the Construction Plans (as submitted <br />by the Purchaser and approved by the Seller) and the HRP Criteria. unless otherwise <br />provided by the Seller in writing. <br /> <br />7 <br />
