<br />CONSENT BY MOFlTGAGEE

<br />THE MONEY STORE COMMERCIAL MOFlTGAGE INC., a
<br />corporation, as mortgagee of Lots 3 and 4, Block 2,
<br />Gateway Business Park, Ramsey County, Minnesota, pursuant to those certain
<br />instruments described below (collectively, the "Mortgage") hereby consents to the
<br />foregoing Utility Easement in order to subject and subordinate its right, title and
<br />interest in the Mortgage to the Utility Easement. The Mortgage, which is fIled with the
<br />Offices of the County Recorder and Registrar of Titles, Ramsey County, Minnesota, is
<br />described as follows:

<br />Minnesota limited liability company, dated April 16, 1998, filed April 21, 1998, as
<br />Document Number 3053249, Office of County Recorder, and fIled April 21, 1998, as
<br />Document Number 1185051, Office of Registrar of Titles, in and for Ramsey County,
<br />Minnesota, in the original amount of $1 ,612,305.00.

<br />B. Construction Mortgage executed by Jainson Investments, LLC, a
<br />Minnesota limited liability company, dated April 16, 1998, filed April 21, 1998, as
<br />Document Number 3053250, Office of County Recorder, and fIled April 21, 1998, as
<br />Document Number 1185052, Office of Registrar of Titles, in and for Ramsey County,
<br />Minnesota, in the original amount of $729,000.00.
