"--- <br /> <br />- <br />. -- <br /> <br />. . <br /> <br />LETTER OF UNDERSTANDING <br /> <br />This Letter of Understanding is made between the Fridley Housing <br />and Redevelopment Authority (hereby referred to as the "HRA") and <br />the City of (hereby referre ~ to as the <br />"City") to outline the common understandings and expectations as <br />related to the production of a remodeling handbook for housing in <br />fully developed and/or inner ring cities of the Twin City <br />Metropolitan Area. <br /> <br />The HRA agrees to execute a contract with Robert Gerloff <br />Residential Architects, Kristi Johnson, and Peter Musty (hereby <br />referred to as the "Architects") in the amount of $60,000 with the <br />following understanding: <br /> <br />1. The city agrees to pay $5,000 to the HRA to be held on account <br />to pay for the contractual services as outlined in the <br />contract identified as Exhibit 1 of this document. <br /> <br />2. The City acknowledges that the HRA is administering the <br />contract on behalf of several cities as identified in Exhibit <br />2 as an efficient means to producing the content of a planbook <br />which can be used by the cities identified in Exhibit 2. <br /> <br />3. The city agrees to deferld, indemnify, and hold HRA, its <br />officers and employees, harmless from any liability claims, <br />damages, costs, judgements, or expenses, including reasonable <br />attorney fees, resulting directly or indirectly from an act <br />or omission of the HRA, its officers and employees, in <br />administration of the contract identified in Exhibit 1. <br /> <br />4. The HRA agrees to administer the contract in consultation with <br />the cities as outlined in Exhibit 2 at meetings regularly <br />established by the cities' representatives. This may include, <br />but is not limited to, requesting additional services, <br />reviewing the Architects work performance, and specific <br />direction regarding preparation of the requested product. <br /> <br />5. The HRA agrees to refund any unused portion of the cities' <br />payments in a manner as mutually agreed to by the <br />cities in Exhibit 2. The HRA agrees that the use of the funds <br />is for the purposes as described in this Letter of <br />Understanding. <br /> <br />6.
